POSITION DESCRIPTION – BOARD MEMBERS
Position title:
Board Member
Criteria:
Applicants for Board Members positions must:








not be an employee of HITO;
be 18 years of age or older as at the date of the application;
not be an undischarged bankrupt;
not have been convicted of a dishonesty crime under the Crimes Act 1961
within the last 7 years;
not have been convicted of an offence punishable by imprisonment of 2 or
more years;
not be a disqualified director or promoter;
not be subject to a property order; and
not be mentally incapable as defined in the Protection of Personal and
Property Rights Act 1988.
Appointment:
Appointed by the Board Appointments Panel (Appointed Board Member) or
elected at a General Meeting (Elected Board Member).
Term of Appointment:
Three years
Remuneration:
Voluntary role but may be reimbursed and/or provided an honorarium for
reasonable expenses.
ORGANISATION DESCRIPTION
HITO is the hair and beauty industry training organisation appointed by the Government to develop and
implement industry qualifications for the hair and beauty sectors.
HITO exists to provide leadership within the hairdressing, beauty and barbering industries so that trainees and
employers experience the benefits of an excellent professional standard of qualifications which ensures that
training meets the needs of employees, employers, the industries and the Tertiary Education Commission.
KEY TASKS
Board Members are expected to be involved in the following general tasks of the Board:



Develop and implement strategies, policies and procedures for the administration, promotion and
development of HITO.
Appoint a Chief Executive and enter into a contract on such terms and conditions as the Board thinks fit,
and, if necessary, terminate such appointment.
Delegate such powers as it considers appropriate from the Board to the Chief Executive.

Establish such other commissions, subcommittees, forums, and groups, including consultative groups, as
it considers appropriate to assist it to carry out its responsibilities, including filling vacancies of any
commissions, committees and other groups which are established by it.
Develop and implement prudent policies to protect and enhance finances and property of HITO.
Control expenditure and raise funds to fulfill the Objects of HITO and the requirements of the Tertiary
Education Commission and/or any other funders.
Open and operate in the name of HITO such bank accounts as deemed necessary.
Determine any membership or other fees it considers appropriate.
Make, repeal or amend any Regulations in accordance with the Constitution, and any policies and
procedures as it thinks appropriate, provided that such policies and procedures are not inconsistent with
this Constitution.
Appoint such persons as it considers appropriate to committees, positions and roles within HITO and
determine the terms and conditions of such appointment, (except as otherwise specified in the
Constitution or the Regulations), and, if necessary, terminate such appointments.
Delegate such powers as it considers appropriate to employees, commissions, committees, forums, or
other groups, including consultative groups, appointed by it.
Engage, contract or otherwise agree to obtain the assistance or advice of any person or organisation for
the Board.
Discipline Members as specified in the Constitution or the Regulations.
Resolve and determine any disputes or matters not provided for in the Constitution.
KEY COMPETENCIES
Board Members must display one or more of the following key competencies:




Prior governance experience (e.g. director, trustee), including demonstrated achievement in such role/s.
Knowledge of and experience in the hairdressing, beauty and/or barbering industries.
Knowledge of and experience in Industry Training Organisations and/or not for profit organisations.
Occupational skills and experience in commerce, finance, marketing, law and/or general business.
