DEFINITIONS AND INTERPRETATION
Definitions in this Agreement:
Application Form
means the duniatrade Guarantee Application Form submitted by the Customer
requesting the issuance of the Guarantees.
• Beneficiary
means either the UAE Ministry of Labour or the UAE Ministry of Interior or
another beneficiary as stated in the Application Form.
• Business Day
means a day in which financial institutions are open for Business in the UAE.
• Customer
means the body corporate, unincorporated association, partnership or other
entity applying for the issuance of a Guarantee.
• Deposit
means a deposit account no. of the Customer with dunia, with a credit
balance equal to the Guaranteed Amount of the Guarantee.
• Government charges
means the charges as specified by the Ministry of Finance to be levied on the
Guarantee from time to time and stipulated in the dunia Schedule of Fees &
Charges which is available at www.dunia.ae/fees.
• Guarantee Facility
means a guarantee facility for a sum not exceeding the credit balance of the
deposit.
• Guaranteed Amount
means the face value of a Guarantee, which together with all other
Guarantees previously issued will not exceed the Guarantee Facility.
• Guarantees
means one or more guarantees issued by dunia in favour of the Beneficiary
in the aggregate face value not exceeding the Guarantee Facility and each a
“Guarantee”.
• Information
has the meaning given to it in clause 8.8(a)(i) of this Agreement.
• Permitted Purpose
means the Purpose mentioned in the Application Form.
• Pledge
means the pledge over the Deposit created by the Customer in favour of dunia
in accordance with Clause 3 of this Agreement.
• Received Information
has the meaning given to it in clause 8.8(a)(ii) of this Agreement.
• Terms and Conditions for dunia deposits
means the terms and conditions agreed between dunia and the Customer in the
Agreement for dunia deposit dated

2. THE GUARANTEE
2.1 The Customer may from time to time utilize the Guarantee Facility by applying
to dunia for the issuance, extension or renewal of a Guarantee upon the
following Terms and Conditions:
a)an application for a Guarantee shall be made by the Customer in the form
provided by dunia;
b)the tenor of a Guarantee shall be such period as is acceptable to dunia;
c)the Guarantee shall be issued in favour of the Beneficiary in form and substance
acceptable to dunia;
d)the Guarantee will be issued only for the Permitted Purpose; and
e) the Customer shall, at least two (2) Business Days prior to the issuance of a
Guarantee, credit the Deposit with the Guaranteed Amount of the Guarantee
and pay any Government Charges related to the Guarantee.
2.2The Deposits opened and maintained by the Customer with dunia pursuant
to the requirements under this Agreement shall be subject to the terms and
conditions for dunia deposits.
2.3dunia shall be entitled, in relation to a Guarantee issued by it under the
Guarantee Facility, to extend the tenor of the Guarantee or to pay the
Guaranteed Amount under such Guarantee immediately upon demand by the
Beneficiary without reference to the Customer.

‫يصدر الضمان لصالح المستفيد بالشكل والمضمون المقبول لدنيا؛‬
)‫ج‬
‫يصدر الضمان للغرض المسموح به فقط؛ و‬
)‫د‬
‫ أن يضيف إلى الوديعة‬،‫) عمل على األقل من إصدار الكفالة‬2 ( ‫ قبل يومي‬،‫على العميل‬

2.4Forthwith upon receipt by dunia of a claim from the Beneficiary under a
Guarantee, dunia shall apply the funds in the Deposit towards payment of the
Guaranteed Amount to the Beneficiary. The Customer hereby authorises dunia,
without notice or other reference to the Customer to apply the funds in the
Deposit towards payment of the Guaranteed Amount to the Beneficiary of the
Guarantee.
2.5dunia shall be entitled to debit any of the Customer’s account(s) with dunia for
any payments that dunia may be required to make pursuant to the Guarantees.
3.PLEDGE
3.1I n consideration of and as security for the Guarantees issued by dunia, the
Customer does hereby pledge to dunia all of the Customer’s right, title, claim
and interest in and to all amounts that will be in the credit of the Deposit, from
time to time, together with all interest and other amounts that may accrue
thereto from time to time and any renewal or re-designation thereof.
3.2The Deposit shall be held under the possession and control of dunia and the
Customer shall have no access to the Deposit. The Deposit shall be automatically
renewed upon expiry of its term for such periods and on such terms concerning
interest as may from time to time be agreed in writing between dunia and the
Customer (failing which agreement for such periods and such terms concerning
interest as dunia may determine) and such sums shall continue to be subject to
the pledge to dunia hereunder and the other provisions hereof.
3.3The Pledge shall remain in full force and effect as a continuing security unless
and until dunia has been released of its obligations under the Guarantees by
the Beneficiary in writing. The Customer hereby undertakes not to withdraw,
transfer, pledge, or otherwise dispose or encumber the Deposit until the
liabilities owing to dunia by the Customer are completely and finally discharged
together with interest, fees, charges and expenses. This Pledge will continue
to be valid and enforceable notwithstanding any change in the constitution
or ownership, insolvency, bankruptcy or liquidation of the Customer and
notwithstanding any merger or amalgamation of dunia or any change in its
constitution.
4.COVENANTS
4.1 The Customer hereby agrees to the following covenants:
a)to utilise the Guarantee Facility only for a Permitted Purpose;
b)to continue to maintain the Deposit and the Pledge over it until the Beneficiary
of the related Guarantee has, in writing, released dunia of its obligations under
the related Guarantee;
c)to pay to dunia, on first demand, any and all amounts that dunia may be
required to pay pursuant to the Guarantees.
5. EVENTS OF DEFAULT
5.1If in the sole opinion of dunia any one or more of the events stated in Clause
5.2 shall occur dunia may, without prejudice to other remedies it may have
under this Agreement or law, by written notice to the Customer, declare an
Event of Default.
5.2The occurrence of any one or more of the following events shall be an Event of
Default:
a)the Customer shall fail to pay any amount due and payable hereunder;
b)any representation or warranty made by the Customer is incorrect or false or
the Customer fails to disclose any material information to dunia;
c)the Customer fails to perform or observe any of its obligations, covenants,
undertakings or agreements set forth in this Agreement, or in the Pledge or
in any application form or other agreement or document executed or given in
connection with this Agreement;
d)the Customer commences negotiations with its creditors to reorganize its
debts or becomes bankrupt or insolvent or is generally unable to repay its
debts as they become due or initiates proceedings to obtain the benefit of any
bankruptcy or other law relating to bankruptcy,
insolvency, reorganization or relief of debtors, or a moratorium is declared with
respect to payment of debts (principal or interest) of the Customer;
e)an administrative order or a judgment is issued by a competent court or
authority within or outside the United Arab Emirates against the Customer or
an order or judgment is issued for the attach­m ent of assets of the Customer or
an order or judgment is issued which results in a material adverse change in the
business, assets, operations or financial condition of the Customer;
f)this Agreement or the Pledge shall become invalid, be unilaterally modified or
revoked or ceases to be in full force and effect, be disaffirmed or challenged by
the Customer or any third party or shall for any reason cease to be in full force
and effect or it becomes illegal or unviable for dunia to make or maintain any
of its obligations hereunder or under the Pledge;
g)t here shall occur a default under any of the terms of the Pledge; and
h)
there is a material adverse change in the business, assets, operations or
financial condition of the Customer or the business in which the Customer is
engaged or other circumstances or events shall occur, on the basis of which
dunia, in its sole discretion, concludes that the Customer may not be willing
or may be unable to perform its obligations under this Agreement and/or the
Pledge.
5.3Simultaneously with declaring an Event of Default dunia may by written notice
(a) declare dunia’s commitment to make the Guarantee Facility available to the
Customer under this Agreement as termi­n ated, whereupon such commitment
shall terminate immediately,
(b) apply amounts in the Deposit against all outstanding Guarantees and transfer

the amounts into an account in the name of dunia, and
(c) utilise any accrued interests on the Deposits towards settlement of any charges.
6. COSTS AND EXPENSES
6.1The Customer shall on demand reimburse dunia for all costs and expenses, incurred
by dunia in the preparation and enforcement of this Agreement and the Pledge
including all reasonable legal costs.
7. SET-OFF AND INDEMNITY
7.1dunia is hereby authorized to set-off and apply any and all funds or deposits of the
Customer held or received by dunia, either individually or together with another
person, towards the payment of any and all of the amounts outstanding from the
Customer to dunia pursuant to this Agreement or otherwise and all fees, costs and
interest accrued and unpaid thereon.
7.2All payments required to be made by the Customer pursuant to this Agreement
shall be made without set-off or counterclaim and free and clear without deduction
by the Customer for any taxes, levies, import duties, charges, fees, deductions, with
holdings, restrictions or conditions of any nature. If the Customer is required to
make any such deduction, the amount payable to dunia shall be increased so that
dunia receives the amount which it would have received had no such deduction
been made.
7.3The Customer shall indemnify and hold dunia free and harmless against any and all
claims, actions, liabilities, losses, costs and expenses (including, without limitation,
court costs and attorney charges) which dunia may suffer or incur arising from or
relating to or in connection with
(a) the entry by dunia into this Agree­m ent or any other agreement or contract relating
thereto,
(b) the provision by dunia of the Guarantee Facility under this Agreement or
(c) the breach by the Customer of this Agreement, the Pledge or any other agreement
or contract relating thereto. The indemnification obligations of the Customer under
this Agreement shall survive the termination of this Agree­m ent and shall con­s titute
separate and independent obligations of the Customer.
8. MISCELLANEOUS
8.1Any notice under this Agreement shall be given in writing by
facsimile, registered mail courier, hand delivery to the following addresses
of the parties (or at such other address which a party shall notify to the other).

If the notice is delivered through facsimile, the originals shall be hand delivered or
mailed to dunia within 48 hours.
8.2All notices/communications, or other documents served in the foregoing manner
shall be deemed delivered (a) when delivered in person, (b) five (5) Business Days
after the same has been sent by registered mail, and (c) upon receipt of confirmation
when sent by facsimile or electronic mail. No notice or other communication shall
be deemed to have been given by the Customer to dunia unless and until the same
has in fact been received by dunia.
8.3dunia may at any time assign or other­w ise transfer this Agreement or all or part
of its rights or obligations hereunder to another bank or financial institution. The
Customer shall not assign or otherwise transfer this Agreement or any of its rights
or obliga­t ions hereunder without the prior written consent of dunia.
8.4All amendments to this Agreement shall be in writing and signed by all parties
hereto.
8.5This Agreement shall be binding on the parties hereto and on their respective heirs,
executors, administrators, successors and permitted assigns and shall inure to the
benefit of each of them and to their respective successors and permitted assigns.
8.6No course of dealing between dunia and the Customer nor any delay or omission by
dunia
in exercising any right or remedy shall be construed as a waiver by dunia of any
such right or remedy.
8.7If any transaction under this Agreement involves the conversion of one currency
into another, unless otherwise agreed, dunia shall make such conversions at its
then prevailing rate of exchange for purchasing or selling the relevant currency,
as the case may be. The records of dunia shall in the absence of manifest error be
conclusive and binding on the Customer.
8.8The Customer acknowledges that dunia may from time to time share confidential
information obtained by dunia regarding the Customer with dunia’s affiliates,
agents, regulators, third party service providers, consultants, credit and collection
agencies and potential transferees.
(a) The Customer is hereby notified that dunia may:
(i) disclose and furnish any information provided by the Customer to dunia concerning
the Customer and/or its shareholders, partners, directors and/or beneficial
owners (as applicable) and information concerning the Customer’s accounts and
relationship with dunia (“Information”) to; and
(ii) obtain and receive any information concerning the Customer and/or its
shareholders, partners, directors and/or beneficial owners (as applicable) (“Received
Information”) from dunia’s subsidiaries, affiliates, associates, branches, service
providers, assignees, agents, insurers, third party contractors, third party financial
institutions, credit reporting agencies, credit bureaus, debt collection agencies,

regulators, potential transferees and other persons within and outside
the U.A.E. to enable dunia to evaluate the Application Form, review the
Customer’s performance, perform its obligations under this Agreement or
under any other agreement to which dunia is a party or may become a
party, to enforce the Customer’s obligations hereunder or to provide or
procure the provision of products and services to the Customer or for other
reasons deemed fit by dunia without further consent from or notification
to the Customer.
(b) The Customer hereby warrants and represents that that it has notified
each of its shareholders, partners, directors and/or beneficial owners (as
applicable) that Information may be disclosed by dunia or that dunia may
obtain and receive Received Information.
(c) The Customer hereby authorises and permits dunia to disclose Information
or obtain and receive Received Information.
(d) The Customer hereby warrants and represents that it is duly authorized
on behalf of each of its shareholders, partners, directors and/or beneficial
owners (as applicable) to consent to the disclosure of Information or the
receipt of Received Information by dunia.
8.9
The Customer hereby irrevocably agrees not to claim, and hereby ir­
revocably waives any claim to, immunity for itself or for its assets from
suit, judg­m ent, execution, attach­m ent or other legal
process.
8.10 The Customer shall from time to time execute, sign and/or deliver and/
or cause any third party to execute, sign and/or deliver all documents
which dunia may require for the purposes hereof and do all such acts and
things as may be necessary or expedient in connection herewith.
8.11 A ny provision of this Agreement, which is prohibi­t ed or unenforceable in
any jurisdiction shall, as to such jurisdic­t ion, be ineffective to the extent
of such prohibition or unenforceability without invalidating the remaining
provisions hereof, or affecting the validity or enforceability of such
provisions in any other jurisdiction.
8.12 This Agreement
may
be
executed
in
any
number
of
counterparts, each of which
when
executed and delivered
constitutes an original of this Agreement, but all the counterparts shall
together constitute one and the same agreement. This Agreement
shall be effective if each party has executed at least one counterpart.
8.13This Agreement along with all its Schedules is the parties’ entire
agreement relating to the subject matter and it supersedes all prior
or contemporaneous oral or written communications, proposals and
representations with respect to the subject matter and prevails over any
conflicting provisions on the subject.
9. GOVERNING LAW AND JURISDICTION
9.1This Agreement shall be governed by and construed in accordance with the
laws of the United Arab Emi­r ates.
9.2A ny dispute connected with this Agreement shall be submitted to the nonexclusive jurisdiction of the courts of the United Arab Emirates.

SCHEDULE I - TERMS AND CONDITIONS FOR DUNIA DEPOSITS
1.0 DEFINITIONS
In this agreement the terms defined below shall have the meaning
assigned to them herein.
•B usiness Day
shall mean a day on which banks are open for business in the United
Arab Emirates.
•C orporate
shall mean businesses including companies, small business enterprises,
sole proprietorship, joint ventures and partnerships.
• Currency
shall mean the original currency of the dunia Deposit.
• dunia Deposit
shall mean a deposit of the Customer with dunia.
• dunia Deposit Order Confirmation
shall mean the notice from dunia to the Customer setting forth the
following terms in relation to a dunia Deposit:
i. Principal;
ii. Currency;
iii.Interest;
iv. Effective Date;
v. Maturity;
vi. Term; and
vii. Maturity instructions.
• Effective Date
shall mean in relation to a dunia Deposit, the date of commencement
of the dunia Deposit as stated in the dunia Deposit Order Confirmation.
• Interest
shall mean the rate of interest per annum payable on the Principal on
Maturity of the dunia Deposit as stated in the dunia Deposit Order
Confirmation calculated on an Actual / 365 day basis.
• Maturity
shall mean in relation to a dunia Deposit the Business Day on which
the dunia Deposit matures as stated in the dunia Deposit Order
Confirmation.
• Proscribed Person
shall mean a person or entity that is defined as a Proscribed Person or
entity in section 14 of Charter of the United Nations Act 1945.
• Principal
shall mean a sum of money in a dunia Deposit and stated in the dunia
Deposit Order Confirmation.
• Term
shall mean in relation to a dunia Deposit, the period commencing
from the Effective Date of the dunia Deposit and ending on its
Maturity.
2.0 DEPOSITS
2.1Subject to the terms and conditions stated in this Agreement, the
Customer may from time to time offer to make Deposits with dunia.
Incase of Deposits in currency other than UAE Dirham, the Deposit
will be repaid along with interest in UAE Dirhams based on prevailing
exchange rates in the event of non-availability of the currency of the
deposit.
2.2dunia will upon acceptance of an offer of a dunia Deposit of the
Customer, issue a dunia Deposit Order Confirmation to the Customer
to confirm the terms of the dunia Deposit, provided it has received
clear funds of an amount equal to the Principal and all other
documentary requirements have been complied with by the Customer
to the satisfaction of dunia. The dunia Deposit Order Confirmation will
be a computer generated advice.
2.3Nothing in this Agreement shall oblige dunia to offer or to accept
Deposits of the Customer. In relation to a dunia Deposit, the Customer
will make the Principal available to dunia by cheque, wire transfer or
any other form of deposit approved by dunia prior to the Effective
Date of the dunia Deposit.
2.4All cheque payments will be accepted subject to (a) clearance and
realization of the amount of the cheque, (b) the Customer assuming
full responsibility for the genuineness and correctness of all signatures
and endorsement appearing thereon and (c) the cheques being
crossed and made payable to the order of dunia for the account of
the Customer. dunia shall not assume any responsibility for realization
of any cheques and shall not be responsible for loss or damage of the
cheque or any delay however caused in clearance of the cheque.
2.5dunia will not accept third party funding for booking Deposits and
all funds paid to dunia for booking of Deposits must originate from
the Customer and will be paid back into the same account of the
Customer from which the funds were received at the time of booking
the Deposits.

2.6The Deposits are not guaranteed by any UAE or other government
authority, any of the shareholders or affiliates of dunia. The Deposits
are subject to the prevailing regulations of the UAE Central Bank and
laws of the UAE.
2.7The Deposits with dunia are not insured.
2.8dunia may at its discretion:
(a)refuse to accept any dunia Deposit, limit the amount that may be
deposited, return all or any part of the dunia Deposit upon 7 days
notice and discharge its entire liability; and/or
(b)
c ombine and consolidate all of the Deposits and set off or transfer any
sum standing to the credit of these Deposits towards the satisfaction
of any liability owed by the Customer to dunia.
2.9
d unia may disclose information relating to the Customer (a) if
disclosure is required by law, (b) if dunia is required by a court, arbitral
tribunal and/or any other governmental authority to so disclose, (c)
if it is required to protect the interests of dunia and (d) with the
consent of the Customer.
2.10
The Customer must notify dunia promptly of any change to the
Customer’s contact details including name, address or the bank
account details mentioned in the Corporate dunia Deposit Application
Form, any change in its legal status and/or the shareholding supported
by documentary proof satisfactory to dunia.
2.11T he Customer must provide dunia with a copy of its license and with
a copy of all renewals thereof promptly upon renewal thereof. dunia
may withhold interest payments until a copy of a current license is
provided to it.
3.0THE DUNIA DEPOSIT ORDER CONFIRMATION
3.1
d unia will issue a dunia Deposit Order Confirmation to confirm
the terms of the dunia Deposit as agreed between dunia and the
Customer.
3.2The dunia Deposit confirmation will be sent via mail to the Customer
and in case of any discrepancy, the Customer should immediately
contact dunia contact centre.
3.3
T he dunia Deposit Order Confirmation cannot be exchanged for
payment.
3.4The dunia Deposit Order confirmation is merely a statement of
the terms on which the dunia Deposit has been booked in dunia’s
records.
3.5The dunia Deposit Order Confirmation is not a negotiable instrument
in any form.
3.6
I ncase of withdrawal of the dunia Deposit prior to Maturity,
dunia will require additional documents including verification of
signatures and proof of identity before acting on instructions.
3.7The dunia Deposit order confirmation is subject to the terms specified
in this Agreement.
3.8Failure of the Customer to receive the dunia Deposit Order Confirmation
will not negate or otherwise affect the validity of the dunia Deposit of
the Customer. The Customer shall be obliged to contact dunia if it
fails to receive the dunia Deposit Order Confirmation. Incase of any
dispute, the records of dunia will be final and binding.
3.9The Customer will be bound by the terms of the dunia Deposit Order
Confirmation, unless the Customer gives notice of its objection to
the terms stated in the dunia Deposit Order Confirmation within five
Business Days of its issuance, in which case the dunia Deposit Order
Confirmation shall be either amended by mutual agreement of the
parties or the Deposit will be terminated. In case of termination of
the Deposit, the Deposit will be returned to the Depositor without any
interest.
3.10If the Customer requests dunia may agree at its discretion to hold
all mail including correspondence, notices and statements addressed
to the Customer. The mail shall be held by dunia at any of its
locations until collected by the Customer or the Customer’s authorized
representative. If the hold mails are not collected for more than
three (3) months, dunia shall at its sole discretion have the right to
mail them on the address provided by the Customer. And in case a
forwarding address is not provided by the Customer, dunia shall have
the right to destroy all mail which remains uncollected for four (4)
months. The Customer may terminate this mandate to hold mail at
any time by written notice to dunia advising dunia of the address at
which the Customer’s mail should be forwarded. The Customer agrees
that:
(a)n otwithstanding this mandate to hold mail, dunia may forward such
mail to the Customer as dunia considers necessary;
(b)
d u n i a m a y ta ke s u c h a c t i o n a s i t m a y c o n s i d e r a p p r o p r i a te i n i t s
discretion in response to any mail;
(c) A ll mail shall be deemed to have been received by the Customer
immediately upon delivery of the mail to the relevant branch for
safekeeping;

d unia shall not be liable for any loss or damages incurred by the
Customer as a result of this mandate to hold mail or from any act or
delay in acting or any omission of dunia in relation to this mandate to
hold mail; and

‫ وفي حالة وجود أي اختالف يجب على العميل‬.‫ يرسل تأكيد أمر وديعة دنيا إلى العميل بالبريد‬2-3

.‫ ال يجوز استبدال تأكيد أمر وديعة دنيا مقابل دفع مبالغ‬3-3
.‫ تأكيد أمر وديعة دنيا هو مجرد بيان للشروط التي تم على أساسها القيد في سجالت دنيا‬4-3
.‫ تأكيد أمر وديعة دنيا ال يعد مستندًا قابالً للتداول بأي شكل‬5-3
‫ في حالة سحب ودائع دنيا قبل تاريخ االستحقاق سوف تطلب دنيا وثائق إضافية تشمل التحقق‬6-3
.‫من صحة التوقيعات وتحقيق الشخصية وذلك قبل تنفيذ التعليمات‬
.‫ يخضع تأكيد أمر وديعة دنيا للشروط المبينة في هذه اإلتفاقية‬7-3
‫ ال يترتب على عدم إستالم العميل لتأكيد أمر وديعة دنيا إلغاء سريان وديعة دنيا الخاصة‬8-3
‫ ويجب على العميل االتصال بدنيا في‬.‫بالعميل وال يؤثر عليه بأي طريقة أخرى من طرق التأثير‬
‫ وفي حالة وجود أي خالف تكون سجالت دنيا نهائية‬.‫حالة عدم استالمه لتأكيد أمر وديعة دنيا‬

‫ يلتزم العميل بشروط تأكيد أمر وديعة دنيا ما لم يرسل العميل إشعارًا يفيد اعتراضه على‬9-3
‫الشروط المنصوص عليها في تأكيد أمر وديعة دنيا وذلك في غضون خمسة أيام عمل من‬
‫ وفي هذه الحالة إما أن يخضع تأكيد أمر وديعة دنيا للتعديل باالتفاق المتبادل بين‬،‫صدوره‬
.‫ وفي حالة إلغاء الوديعة يرد المبلغ إلى المودع بدون أي فائدة‬.‫الطرفين أو تلغى الوديعة‬
‫ يجوز أن توافق دنيا حسب تقديرها على أن تحتفظ بالبريد بما فيه‬،‫ بنا ًء على طلب العميل‬10-3
‫ وسوف تحتفظ دنيا بها في أي موقع‬.‫المراسالت واإلشعارات والكشوف المرسلة إلى العميل‬
‫ وفي حالة‬.‫من مواقعها حتي يقوم العميل باستالمها شخص ًيا أو يقوم من يفوضه باستالمها‬

‫قد تلجأ دنيا لهذا التصرف حسب تقديرها فيما يتعلق بأي من البعائث البريدية حسبما‬

‫تراه مناسبا؛‬
‫(ج) تعتبر جميع البعائث البريدية قد سلمت إلى العميل فور تسليم البريد للفرع المعني لالحتفاظ‬
‫به؛‬

d unia may terminate the hold mail service by giving the Customer
thirty (30) days prior written notice.
3.11If the Customer has requested for hold mail services under Clause
3.10 above, the Customer will be deemed to have received the dunia
Deposit Order Confirmation upon such order being printed by dunia.
4.0 TRANSMISSION OF INSTRUCTIONS
4.1The Customer may send instructions of Deposits to dunia by letter,
facsimile or e-mail. In the event of instructions received by facsimile,
the Customer agrees to provide a facsimile indemnity to dunia in its
prescribed form.
4.2dunia may respond to instructions by the Customer for Deposits by
letter, facsimile or e-mail.
5.0 PROCEEDS OF DUNIA DEPOSIT
5.1 On Maturity, dunia will automatically rollover the entire maturity
proceeds including Principal and Interest accrued thereon for the
same tenor as the original deposit at the rate prevailing for such
tenor at the time of rollover, unless the Customer provides written
instructions for withdrawal of the whole or part of the deposit which
must be issued at least two (2) Business Days prior to the Maturity
Date. This agreement will continue to apply to all automatic
rollovers.
5.2If such instructions for withdrawal of whole or part of the deposit are
provided by the Customer, the Principal and Interest accrued thereon
shall be paid to the Customer by credit to the bank account from which
the proceeds of the Deposit were originally received. In certain cases
dunia may at its sole discretion accept a deposit in cash as collateral
for issuance of a labour guarantee to the Ministry of Labour or accept
funds from a third party for opening a deposit and in such cases
repayment of the deposit amount will be made to a bank account of
the Customer specified by the authorized signatory or by an account
payee cheque favouring the Customer. Deposits will not be repaid in
cash.
6.0INDEMNITY
6.1The Customer herby agrees to indemnify and hold dunia free and
harmless for all losses, damages, claims or expenses incurred by it as
a result of or in relation to its compliance with instructions issued by
or purported to be issued by the Customer or believed in good faith by
dunia to have been issued by the Customer.
6.2The Customer shall be responsible for all failures of transmission of
notices by or to dunia.
7.0 EARLY TERMINATION
7.1If the Customer wishes to terminate a dunia Deposit prior to its
Maturity Date, such termination shall be subject to the payment of
early termination fees, costs and charges of dunia as determined by
dunia from time to time.
7.2In the event of early withdrawal/termination of the dunia Deposits
before its maturity date, an early withdrawal charge as determined
by dunia from time to time will apply. The depositor will hence
receive interest at the applicable rate offered by dunia for the actual
term/period for which the dunia Deposit has been held by it, less
such termination penalty as may be applicable from time to time
and communicated in the dunia schedule of fees and charges which
can be found at www.dunia.ae/fees. The proceeds will be repaid back
after a minimum notice period of 3 working days.
8.0TERMINATION
8.1This Agreement may be terminated by either party upon thirty (30)
days signed written notice to the other party. On such termination all
Deposits that shall be held by the Customer with dunia shall also stand
terminated and dunia shall promptly close all such Deposits and pay the
Principal and all accrued interest on such Deposits, subject to Clause 7.2
and deduction of any fees (including early termination fess), costs and
expenses incurred by dunia as a result of such termination.
8.2dunia may immediately terminate this Agreement:
(a)following breach by the Customer of any provision of this Agreement
and its failure to remedy the breach within thirty (30) days of
issuance of notice by dunia to the Customer regarding the breach;
(b)if the Customer is insolvent or becomes unable to pay its debts as they
fall due;
(c)if the Customer ceases or threatens to cease to carry on its business or
if there is a material adverse change in its business; or
(d)
i f the Customer is unable to perform its obligations under this
Agreement or;
(e)if the Customer or any signatory of the Customer appears to be a
Proscribed Person.

(e) then dunia may in addition to termination of this Agreement

s e r v i c e t o t h e C u s t o m e r ; r e fu s e t o a l l o w o r t o fa c i l i ta te a n y o f
t h e C u s t o m e r ’ s a s s e t s h e l d by d u n i a t o b e u s e d o r d e a l t w i t h ;
o r r e fu s e t o m a ke a n y a s s e t av a i l a b l e t o t h e C u s t o m e r t o a n y

‫في تاريخ اإلستحقاق تقوم دنيا بالتجديد التلقائي لجميع العائدات المستحقة بما يتضمن‬

‫المبلغ األصلي والفوائد المستحقة حينها لنفس مدة الوديعة األصلية بالسعر السائد عن هذه‬

‫إلصدار ضمان مصرفي للعمال لوزارة العمل أو تقبل أمواال ً من الغير لفتح وديعة وفي هذه‬
‫الحاالت يسدد مبلغ الوديعة في الحساب المصرفي للعميل الذي يحدده المفوض بالتوقيع‬
.‫ وال ترد الودائع نقدًا‬.‫أو بشيك لحساب المستفيد لصالح العميل‬
‫إبراء الذمة‬

‫يوافق العميل بموجبه على إبراء ذمة دنيا وإخالء مسؤوليتها عن أي خسائر أو أضرار أو مطالبات أو‬

‫نفقات يتكبدها العميل بسبب أو فيما له عالقة بالتزامها بالتعليمات الصادرة أو المفترض‬
.‫صدورها من العميل أو التي تعتقد دنيا بحسن نية أنها قد صدرت من العميل‬
.‫يكون العميل مسؤوال ً عن جميع حاالت اإلخفاق في إرسال أي إشعارات من دنيا أو إليها‬

‫إذا أراد العميل إنهاء وديعة دنيا قبل تاريخ استحقاقها فسوف يخضع هذا اإلنهاء لسداد رسوم اإلنهاء‬

‫المبكر والمصروفات والتكاليف لدنيا‬
‫ اإلنهاء المبكر لودائع دنيا قبل تاريخ استحقاقها فستوقع غرامة سحب مبكر‬/ ‫ في حالة السحب‬2-7
‫ وبالتالي يستحق المودع فائدة بالنسبة التي تطبقها دنيا عن المدة‬،‫تحددها دنيا من وقت آلخر‬

‫ وذلك بعد خصم أي رسوم (بما فيها رسوم اإلنهاء المبكر) والمصروفات والتكاليف التي‬2-7
.‫تكبدتها دنيا نتيجة لهذا اإلنهاء‬
:‫ يجوز لدنيا إنهاء هذه االتفاقية فورًا في الحاالت التالية‬2-8
‫إذا أخل العميل بأي من بنود االتفاقية وأخفق في تدارك هذا اإلخالل وتصحيحه في غضون ثالثين‬
)‫(أ‬
.‫يوما من تاريخ إصدار دنيا إلشعار للعميل بخصوص هذا اإلخالل‬

.‫(ب) إذا تعرض العميل لإلعسار أو تعذر عليه دفع الديون عند استحقاقها‬
‫(ج) إذا توقف العميل أو هدد بالتوقف عن ممارسة أعماله أو إذا طرأ تغيير سلبي جوهري على‬

.‫إذا تعذر على العميل أداء ما تقتضيه هذه االتفاقية من التزامات‬

.‫إذا تبين أن العميل أو أي ممن يحق لهم التوقيع بالنيابة عنه شخص محظور التعامل معه‬

‫ (ﻫ) فباإلضافة لهذا اإلنهاء يجوز لدنيا فورًا‬2 -8 ‫إذا أنهت دنيا هذه االتفاقية عمالً بما ورد في البند‬
‫القيام بأي عمليات أو إكمالها أو إجراء أي تعامالت أو تداوالت العميل ولها أن تعلق تقديم أي‬
‫منتج أو خدمة للعميل؛ وأن ترفض السماح أو التسهيل باستعمال أو تداول أي أصول للعميل‬
‫بحوزة دنيا ولها الحق في أن ترفض تقديم أي أصول للعميل أو أي شخص آخر محظور‬
‫ وسيفرض على‬.‫ وال تتحمل دنيا أدنى مسؤولية تجاه العميل عن أي مما سبق‬.‫التعامل معه‬

9.0MISCELLANEOUS
(a)This Agreement shall be governed by and construed in accordance
with the laws of the United Arab Emirates.
(b)All notices required under this Agreement shall be issued by a party in
writing and shall be hand delivered at or sent by facsimile or e-mail to
the address, facsimile number or e-mail address of the other party.
(c)This Agreement may not be assigned or transferred by the Customer
to any other person or entity.
(d)This Agreement may be amended only by an instrument in writing
and signed by duly authorized representatives of the parties hereto.
(e)The failure of any of the parties hereto to insist in any one or more
instances upon the strict performance of any of the provisions of this
agreement or to take advantage of any of its/his rights hereunder
shall not be construed as a waiver of any of such provisions or the
relinquishment of any such rights, which shall continue in full force
and effect.
(f)This agreement shall be governed also by the dunia General Terms
and Conditions attached.
IN WITNESS WHEREOF THIS AGREEMENT is executed
on the day and year first above mentioned.

.‫ال يجوز للعميل التنازل عن هذه االتفاقية أو تحويلها ألي شخص آخر أو جهة أخرى‬

‫ال يجوز إجراء تعديالت على بنود هذه اإلتفاقية إال بمحرر كتابي ممهور بتوقيع الممثلين‬
)‫(د‬
.‫المفوضين لطرفي هذه االتفاقية‬
‫(ﻫ) ال يفسر عدم إصرار أي من طرفي هذه اإلتفاقية في أي حالة أو أكثر على التطبيق الصارم ألي‬
‫من أحكام هذه االتفاقية أو عدم استغالله ألي من حقوقه المقررة فيها على أنه بمثابة تنازل أو‬

.‫تخل عن أي من هذه الحقوق التي تظل قيد التطبيق بكامل القوة واألثر‬
.‫تخضع هذه اإلتفاقية كذلك للشروط واألحكام العامة لدنيا المرفقة‬
