License Agreement and Purchase Order The undersigned AutoLUX Buyer, and ITL (Independent Testing Laboratories, Inc.) as Seller, agree as follows: 1. Buyer is purchasing a license to use a single copy of AutoLUX. Buyer understands that AutoLUX has a protection mechanism against its unauthorized use on a non-licensed computer. A license may be transferred to another computer, but only after the original license has been voided on the first computer. Details for this process are given in the discussion of the AutoLUX ‘Uninstall’ command in the User’s Guide. The User’s Guide is part of the AutoLUX installation package and will be written to your hard drive during AutoLUX installation. Further, Buyer will take reasonable precautions to make any other AutoLUX users aware of the “single installed copy” nature of this license, etc. Buyer understands that multiple copy licenses are available, and that the second and subsequent installed copies may be obtained at discounted prices. 2. In addition to its “single installed copy” provision, an AutoLUX license may be limited in time span, or resource consumption, or both. Buyer agrees not to attempt to violate the letter or spirit of the license limitations, and you acknowledge that any such attempt may be a violation of US and/or international copyright law. 3. Buyer understands that effective use of AutoLUX requires reasonable proficiency with AutoCAD. Buyer also acknowledges that effective use of AutoLUX requires reasonable technical competence in lighting technology. Buyer understands that AutoLUX requires AutoCAD 2000 or higher running on a Windows 98 or higher platform. 4. The Seller agrees to replace any defective AutoLUX diskette(s) for a period of 30 days following shipment to the Buyer. Should any dispute involving this agreement arise, Buyer and Seller agree that the laws of the State of Colorado will prevail in interpreting the agreement. Seller asserts its belief that the calculated results from AutoLUX are in accordance with accepted industry procedures. However, Seller cannot be responsible for any incidental or consequential damages which arise from Buyer's use of AutoLUX. Buyer agrees not to attempt to hold Seller liable for more than the purchase price of the software. 5. Buyer understands that Seller provides telephone, fax and e-mail technical support at no charge for a period ending 90 days following Buyer’s license purchase. After the 90-day free support period, only e-mail support is offered free of charge: fax and telephone support are thereafter available at an additional fee. Regardless of the support option in effect, Buyer agrees, if asked to place any telephone calls, that Buyer incurs any toll expense for the call.
