1. Contractor does forever release and discharge Trustees, their successors, assigns, officers,
employees, attorneys, agents, consultants and each of them from any and all claims, demands,
controversies, causes of action, obligations, liabilities, expenses, costs, attorneys’ fees and damages of
whatever nature or character and of any kind, whether in law or equity, whether past, present or future,
whether known or unknown, suspected or unsuspected, now possessed or hereinafter acquired,
arising out of or related in any way to the Contract or the Project.
2. Subject to the provisions of paragraph 3 below, the Trustees do forever release and discharge
Contractor, its successors, assigns, officers, employees, attorneys, agents, consultants and each of
them from any and all claims, demands, controversies, causes of action, obligations, liabilities,
expenses, costs, attorneys’ fees and damages of whatever nature or character and of any kind,
whether in law or equity, whether past, present or future, whether known or unknown, suspected or
unsuspected, now possessed or hereinafter acquired arising out of or related in any way to the
Contract or the Project.
3. The Trustees reserve and do not release the other party from any of the following claims:
a. Claims arising from unknown, latent deficiencies in design, workmanship or materials installed in
the Project or pursuant to the Contract;
b. Claims arising from warranty or guaranty obligations stated in the Contract;
c. Claims for indemnity and/ or contribution arising from suits or claims for personal injury or
property damage asserted against the Trustees;
d. Claims arising from an audit conducted pursuant to Article 4.01(d) of the Contract.
In connection with the releases set forth above and except as provided in paragraph 3 above,
Contractor and Trustees each waive all rights under the provisions of California Civil Code Section
1542. That statute states: “A general release does not extend to claims which the creditor does not
know or suspect to exist in his favor at the time of executing the release which if known by him must
have materially affected his settlement with debtor.”
