SALES AGREEMENT
THIS AGREEMENT entered into this 14th day of March, 2013 by
NantaiAcer Electronic Corporation , a company organized and existing
under the laws of the Republic of China, having its principal place of
business at Tainan City, Taiwan (hereinafter called the “Seller”) and
Unicsson Electronic Corporation, a company organized and existing
under the laws of the State of Texas, having its principal place of business
at Houston City, State of Texas (hereinafter called the “Buyer”);
WITNESSETH:
WHEREAS, the Buyer requires a supply of Notebook Computers hereinafter more particularly specified (hereinafter called the “Products”); and
WHEREAS, the Seller is desirous of selling the Products to the Buyer;
NOW, THEREFORE, in consideration of the foregoing and the obligations hereunder, the parties hereto agree as follows:
Article 1. DEFINITIONS
In this Agreement, the following terms have the following meanings:
(a)“Dollars”means the lawful currency of the United Ststes of
America (hereinafter called the “USD”).
(b)“Products”means the Notebook Computers to be produced and
supplied by the Seller in accordance with the Specifications.
(c)“Exchange Rate”means the rate of exchanging between USD and

NTD set forth in Article 6 hereof.
(d)“Specifications”means the specifications of the Products set forth
in Article 4 hereof.
Article 2. SALE OF PRODUCTS
The Seller shall sell to the Buyer the Products subject to the terms and
conditions hereunder.
Article 3. QUANTITY
The Seller shall sell to the Buyer the Products in quantity of 5,000 sets.
Article 4. SPECIFICATIONS
The Specifications of the Products shall be as follows:
(a) CPU: Intel® Core™i7-3517U (1.9 GHz).
(b) Memory: 6GB DDR3 RAM.
(c) Hard Disc: 500GB SATA Hard Disc.
(d) VGA Card: NVIDIA™ NV GT640M (with 1GB GDDR5 memory
inside).
(e) Monitor: 15.6 inches LED Monitor.
(f) Wireless: 802.11bg/N.
(g) Bluetooth: Bluetooth 4.0.
(h) Web Cam: 5 Mega Pixels High Quality Camera.
(i) Speaker: Dolby™ 4 Sound Room.
(j) System: Microsoft™ Windows7 Home Premium 64 bit.
(k) Product Size: 378mm(Width) x 259mm(Depth) x29.7mm(Heigh).
(l) Weight: 2.4kg (with a 6-cell battery).

(m) Color: Black.
Article 5. PRICE
The price for the Products to be sold hereunder shall be US$225/set
FOB Shanghai (herein after called the “Price”).
Article 6. EXCHANGE RATE
The exchange rate is basicly based on US$1: NT$30.50. If there is any
fluctuation of the exchange rate, the price will be confirmed by the Seller.
Article 7. PAYMENT
The Buyer shall pay the price to Seller by way of sending the Letter of
Credit at sight (hereinafter called the “L/C at sight ”).
Article 8. DELIVERY
The Seller shall ship the Products from Shanghai, P.R.O.C to Houston,
Texas, U.S.A. within forty five (45) days after reciving the L/C at sight
sent by the Buyer under Article 7 hereof.
Article 9. ARRANGEMENT OF SHIP
The Buyer shall arrange a ship for the transportation of the Products.
Article 10. MARINE INSURANCE
The Buyer shall, at its own expence, insure the Products for the period
of transportation thereof in the amount of the Price plus precent (10%)
thereof.

Article 11. INSPECTION
All Products ordered are subject to inspection by the Buyer.
Article 12. WARRANTY
1. The Seller warrants that all the Products shall comform to the
Specifications. No other warranties including without limitation
warranties of merchantability or fitness ofor any particular purpose
are made by the Seller.
2. In no event shall the Seller be liable for any indirect or consequential
damage including but not limited to damage to the Buyer's property
resulting from the use, transportation, sale or storage of the
Products.
