(the “University”)
- and (the “Placement Site”)
WHEREAS The Canadian Bureau for International Education (CBIE) and the University of Manitoba
entered into a Memorandum of Understanding in December 2013 regarding the provision and management
of meaningful research and industry placements for undergraduate students enrolled at the university as
part of the Ciência sem Fronteiras (CsF) scholarship program, as managed by CBIE;
AND WHEREAS the Placement Site is willing to accommodate an undergraduate student(s) enrolled at
the university as part of the Ciência sem Fronteiras (CsF) scholarship program in a research or industry
placement (the “Practicum”). In accordance with the terms and conditions set out herein.
NOW THEREFORE this Agreement witnesseth that in consideration of the mutual covenants herein contained
the parties hereto agree that:

A fully signed copy of the Agreement must be received by the University at least two weeks in
advance of the commencement of the Practicum. The Practicum will not begin until the signed
Agreement has been received by the University.
3.
Liaison between the University and the Placement Site shall be by and through the following persons:
(a)
on behalf of the Placement Site, the

(collectively referred to as the “Liaison”). The Liaison will consult by telephone on a regular and
planned basis.

The University shall notify the Placement Site that the University has approved a Practicum proposal
developed by a University student in consultation with an academic advisor and the Placement Site.
Changes may not be made to any University approved Practicum without the University’s prior
approval.
5.
The Placement Site will plan and conduct a period of orientation to the Placement Site for the
student(s) prior to the commencement of each Practicum. It is contemplated that the orientation period
will include the presentation of selected current policies, regulations and procedures of the Placement
Site.

The Placement Site is eligible to receive a stipend of one thousand five hundred dollars Canadian
($1,500.00) per student in exchange for hosting each student.

The stipend is intended to assist in offsetting the direct expenses associated with hosting the
student(s) for the Practicum. These direct expenses may include equipment, supplies, student
travel to conferences or training, or a portion of the Practicum supervisor’s time.
The stipend may not be paid as wages to the student.
The Placement Site must invoice the University for the stipend(s) upon successful completion
of the Practicum. The invoice should be made out to the University of Manitoba.
If the Placement Site wishes to waive the stipend, this should be communicated to the
University in writing via the Liaison before the end date of the Agreement.
Where the Practicum is terminated in accordance with section 13 or section 15 herein, the
Placement Site may not be entitled to receive the full amount of the stipend.
7.
The University acknowledges the importance of confidentiality of personal health information in
accordance with The Personal Health Information Act (Manitoba) (the “Act”) and patient privacy
laws. Where applicable, and in compliance with its obligations under the Act, the Placement Site will,
as part of its orientation program, distribute and explain to the student(s), a confidentiality pledge in
such form and content as may be appropriate, in accordance with the Act. The Placement Site shall
maintain the confidentiality pledges within its record as evidence of its compliance with the Act.
The University shall not be liable in any manner for a failure or omission by the Placement Site to
comply with any obligations it may have under the Act in connection with the form, content or
execution of the confidentiality pledges, or any other related or other matter under the Act.
8.
The Placement Site will provide for the undergraduate students of the University, without charge to
the University, such facilities at the Placement Site as are reasonable and appropriate, such as lockers
or change rooms, access to cafeteria and/or eating room, class and/or conference rooms, use of a
library and parking space (to be provided free only if no parking charge is made to other persons).

The Placement Site shall be responsible for:

a.
instruction and supervision of student(s) during each Practicum;
b.
such evaluation and reports as may be required by the University. The final evaluation by the
Placement Site is a pass/fail grade for each student. This final evaluation must be provided to
the University no later than
.
Students engaged in the Practicum may be covered for injuries in accordance with and subject to the
provisions of The Workers Compensation Act. In the event of an injury during the Practicum, the
Placement Site Liaison should promptly contact the University Liaison to ensure that a report and
claim can be made to the Workers Compensation Board.
Where the location of the Placement Site is outside of the Province of Manitoba, and students engaged
in the Practicum are not resident in Manitoba, the University makes no representation as to workers
compensation coverage in place.
11.
Students enrolled at the University as part of the Ciência sem Fronteiras (CsF) scholarship programs
are covered by Guard.me International Insurance under the Guard.me Canada SWB Policy as set out
in the confirmation letter attached hereto as Schedule “A” to this Agreement. These students have
emergency health insurance coverage to a maximum policy benefit of $2,000,000. Air Evacuation is

-3covered to a maximum $300,000 and Repatriation to a maximum $20, 000. Guard.me Canada SWB
has NO Deductibles. Additional coverage in the student’s work place in the form of Third Party
Liability is also included to a maximum of $1,000,000.
12.
The Placement Site shall indemnify and save harmless the University and its officers, servants,
students and agents from every action, suit or claim in respect of any injury, loss or damage resulting
from the negligent acts or omissions by the Placement Site, its officers or servants, when acting within
the scope of their employment, except to the extent that injury, loss or damage is caused by the act or
omission of the University, or any of its officers, servants or agents, or by students acting within the
scope of the Practicum.
13.
This Agreement may be terminated any time by either party giving one (1) week written notice to the
other party, provided, however, that any scheduled Practicum will not be terminated prior to
completion by the student(s) of the said Practicum (except where just cause exists in relation to any
individual student’s conduct during the corresponding Practicum). Notwithstanding anything else
herein, a Practicum may be terminated by the University at any time where the University has concerns
regarding the performance of the student in the Practicum or the student’s suitability for the Placement
Site

The parties may amend any provision of this Agreement at any time upon mutually so agreeing in
writing.
15.
The Placement Site shall, in keeping with its responsibilities to its clients, have the right to intervene
in those instances where a student may be functioning in a manner considered to be of potential risk to
the well-being of the client or contrary to the regulations, rules, policies or procedures of the
Placement Site. In such event, the University shall withdraw a student from a Practicum if requested
by the Placement Site.
16.
The Placement Site shall not, without obtaining the prior written consent of the University, assign or
transfer this Agreement or any interest herein.
17.
Sections 7 (if applicable), 11, 12 and 17 shall survive termination of this Agreement.
18.
This Agreement shall be construed in accordance with the laws of Manitoba as applied to transactions
taking place entirely within Manitoba between Manitoba residents.

All notices to be given by either party to the other under this Agreement shall be delivered or mailed
by registered or certified post, postage prepaid, addressed to such other party respectively as follows:

20.
This Agreement constitutes the entire agreement between the Parties and supersedes all
communications, negotiations, arrangements and agreements, whether oral or written, between the
Parties with respect to the subject matter of this Agreement.

A party's failure to exercise or delay in exercising any right, power or privilege under this Agreement
shall not operate as a waiver; nor shall any single or partial exercise of any right, power or privilege
preclude any other or further exercise thereof.
22.
This Agreement may be executed in any number of counterparts and by different parties in separate
counterparts, each of which when so executed shall be deemed to be an original and all of which taken
together shall constitute one and the same agreement. Delivery by facsimile or by electronic
transmission in portable document format (PDF) of an executed counterpart of this Agreement is as
effective as delivery of an originally executed counterpart of this Agreement.
