As a faculty member teaching one or more courses that are part of Marquette University’s [Insert Name of Program] (hereinafter, “the Program”), I [Insert Faculty Member’s Name] understand that, as a condition of participation, the University requires signed agreements from participating students and faculty to protect the confidentiality and intellectual property interests of all concerned. In consideration of being permitted to participate in such valuable activities, I acknowledge and agree as follows:
1.
I am subject to the University’s Intellectual Property Policy with respect to my participation in the
Program.
2.
I shall not disclose, and shall use reasonable efforts to keep confidential, any confidential information of a Sponsor of which I may become aware as a result of my participation in the Program, for the same period specified in the agreement between Marquette and the Sponsor. This obligation shall not apply to information that: (a) is not disclosed in, or reduced to, writing and marked with an appropriate confidentiality legend within thirty (30) days of disclosure; (b) is already in my possession or the
University’s possession at the time of disclosure to me; (c) is or later becomes part of the public domain through no fault of mine or of any University employee; (d) is received by a third party having no duty of confidentiality with respect to the information disclosed; (e) is independently developed by me; or
(f) is required by law or regulation to be disclosed. I shall use the same degree of care in keeping
Sponsor confidential information confidential as the University uses to keep its confidential information confidential.
3.
I have not entered into any prior contractual obligations that are, or could reasonably be construed to be, in conflict with this Agreement, and I will not enter into any such obligations.
4.
This Agreement is a condition of my teaching, advising and mentoring of individual students in the
Program and covers the entire term of my participation. The confidentiality obligations of section 2 above shall continue for the term stated in section 2 above.
5.
A fully executed Student Participation Agreement must be filed for each student, for each commercial entity/sponsor, that includes student participation in projects that utilize a sponsor’s intellectual property or confidential information. As the faculty mentor responsible, I will assure each student is aware of this requirement and executes Marquette’s Student Participation Agreement before beginning participation in any such project.
This Agreement is in addition to all previous agreements relating to the same or similar matters which I may have with the University with respect to its subject matter
