MEMORANDUM OF UNDERSTANDING (MOU)

ESTABLISHING COST SHARE COMMITTMENTS

between

NORTHERN ILLINOIS UNIVERSITY

and

Northern Illinois University located in the city of Dekalb, Illinois, and Enter Institution Name Here

This is a non-funded cost share agreement which includes responsibilities as outlined below:

3. This Memo of Understanding does not provide funding to Short Name Here for its committed cost share responsibility in the amount of $###,###.##. Short Name Here shall bear the $###,###.## cost of its participation in projects and activities related to Project “Short” Title Here.

4. Enter Short Name must maintain auditable records of all project costs supported by cost-sharing contributions. Contributions are acceptable as the cost sharing when such contributions are:

Verifiable from the Short Name ’s records;

Not included as contributions for any other federally-assisted program;

Necessary and reasonable for the proper and efficient accomplishment of project objectives;

Types of charges that would be allowable under the applicable federal cost principles; used to support activities that are included in the approved project work plan; and incurred during the grant period.

Contributions such as property, space, or services that are provided to the project are to be valued in

accordance with applicable federal cost principles and not on the basis of what would normally be charged for the use of these items or services. When the contribution provides for the services of an employee, these services shall be valued at the employee’s regular rate of pay, plus an amount for fringe benefits that are reasonable. The value of donated equipment or space shall not exceed fair market/rental value.

Short Name shall provide documentation to Northern Illinois University of their cost share at the end of each quarter.

5. Subject to the limitations of applicable Illinois law, including the State Lawsuit Immunity Act, the

Court of Claims Act and the State Employee Indemnification Act, each party to this agreement agrees to indemnify and hold each of the other parties harmless against any and all liability, claims and damages arising out of or caused by that party’s negligent or intentional acts.

6. Implementation of this MOU shall be agreed to by both institutions. If necessary, this MOU can be amended at any time with written approval by the appropriate representatives of both parties.

7. Either institution may terminate the MOU in advance of its normal expiration, provided that a written request is made at least six months prior to the termination date.
