CO-SPONSOR AGREEMENT
AGREEMENT made as of the ____ day of
________, 200__, between PACE
UNIVERSITY, One Pace Plaza, New York, New York 10038, (hereinafter referred to
as “Pace”), and [Insert Name and Address of Co- sponsor] (hereinafter referred to as
“Co-sponsor”).
For good and valuable consideration, the exchange, receipt, and adequacy of which Pace
and Co-sponsor hereby acknowledge by the countersignatures, below, of their duly
authorized representatives, Pace and Co-sponsor hereby agree as follows:
This will confirm that on ______________200_, Co-sponsor and Pace will participate in
a [Insert Event Name] ("Event") at Pace University's [Insert Campus Location] Campus,
under the joint supervision of representatives of Co-sponsor and Pace. In connection with
same, it is understood and agreed as follows:
1.
Compliance With Pace Policies.
Co-sponsor shall comply with all Pace
policies and procedures with respect to its activities pursuant to and in connection with
this Agreement, including but not limited to, Pace’s Information Technology Appropriate
Use Policy, Security policies, and if applicable, Pace Human Resources and Affirmative
Action Search Policies.
2.
Indemnification.
In consideration of Pace permitting Co-sponsor to conduct
and participate in the Event, Co-sponsor does hereby agree to indemnify, defend, hold
harmless and release Pace, its officers, employees, agents and students from and against
all claims demands and actions, or causes of actions, for damage to personal property,
bodily injury, personal injury or death which may arise from or in connection with the
acts or omissions of Co-sponsor and its representatives relative to the Event.
3.
Insurance. Co-sponsor shall furnish and maintain Commercial General
Liability Insurance, naming Pace as an additional insured, in limits of at least $1,000,000
per occurrence and $2,000,000 in the aggregate per location for liability and with a limit
of at least $1,000,000 for property damage, and further, umbrella liability insurance not
to restrict the forms and conditions of the primary liability policy, with a limit of at least
$4,000,000. Prior to the Event, Co-sponsor shall provide Pace with a certificate from its
insurance carrier evidencing the foregoing coverage. Such certificate shall provide that
the said insurance policy/policies shall not be materially changed or canceled except upon
at least ten (10) days prior written notice to Pace.
4.
Payment Terms. The Co-sponsor agrees to pay for all services, if any, listed
hereto as Attachment A. Services shall be paid no later than the morning of the day of
the Event. Any additional services incurred by the Co-sponsor shall be paid within thirty
(30) days of the Event.
5.
Governing Law and Jurisdiction. Except as may be preempted by federal law, this
Agreement shall be governed by the laws of the State of New York, without regard to any choice
of law principles. Litigation of all disputes between the parties arising from or in connection with
this Agreement shall be conducted in a court of appropriate jurisdiction in the State of New York,
County of New York.
6.
Entire Agreement. This Agreement, together with any exhibits or addenda annexed
hereto, is the sole, complete, and exclusive expression of the parties’ intent with respect to
the subject matter hereof. This Agreement may be amended or modified only by a writing
countersigned by authorized representatives of each party.
