Memorandum of Understanding Between Tennessee State University, USA And __________ University, Country This MEMORANDUM of UNDERSTANDING (MOU), effective immediately upon signing, is made and entered into by and between Tennessee State University, 3500 John A. M e r r i t t Blvd., Nashville, Tennessee (hereinafter referred to as TSU) and _____ University, University Address_________ (hereinafter referred to as _____) under the following terms and conditions. TERM OF A GR EEMENT This MOU will begin upon signing and expire three years after commencement or when·superseded by an Agreement of Academic Cooperation ( A A C ) , whichever comes first. P URPO SE The purpose of this MOU is to signify each institution’s intent to develop a formal institutional relationship and appropriate linkages and thereby create the solid foundation for mutual cooperation and collaboration among the academic disciplines, student services, cultural groups, community partnerships etc. that TSU and ________ have in common. SCOPE OF UNDER STANDIN G The scope of this MOU will include the areas of teaching, research, cultural exchanges, faculty/staff development and student exchanges and any other related areas that are mutually determined to be appropriate by the partner institutions in the future. Under the framework of this MOU, any and all departments and units of the partner institutions have the ability, in coordination with the respective points of contact identified below, to develop and engage in joint activities. The content and special conditions of such activities shall be specified by the collaborating departments in a specific Agreement of Academic Cooperation (AAC) that will govern their relationship. This MOU does not require either TSU or ________ to assume any financial obligations. Mutually and clearly agreed upon financial obligations between TSU and ___________will be put in writing in a separate AAC. MISCELLANEOUS TERMS AND CONDITIONS The institutions assure that they will not discriminate against any individual including, but not limited to employees or applicants for employment and/or students because of race, religion, creed, color, sex, age, disability, veteran status or national origin. Each institution to this MOU shall be solely responsible for any and all actions, suits, damages, liability or other proceedings brought against it as a result of the alleged negligence, misconduct error or omission of any of its officers, agents or employees. Neither institution is obligated to indemnify the other party or to hold the other institution harmless from costs or expenses incurred as a result of such claims: and. each shall continue to enjoy all rights, claims and defenses available to it under law.
