The MPI 2011 Blitz Program will be held in the Orange County Convention Center in Orlando, Florida on
Sunday, July 24, 2011 from 5:00 pm – 8:00 pm. Company’s participation is subject MPI’s acceptance of
this Application and to the following terms and conditions.

SECTION 1: OUTLINE OF PROGRAM
Blitz is a progressive reception and an additional way to give your company visibility at WEC by having a
“designated spot” for the evening. This is your chance to create a customized networking space that,
through design, perfectly reflects the meeting planner/event marketer’s needs. We will work with you to
determine exactly what type of experience design you want to create and provide easy, turn-key solutions
to make your vision a reality. Your event can be as simple or lavish as you make it. From a life sized
display of your latest company renovations to a chic lounge with martinis–you can make it YOURS. MPI
will provide various directional signs throughout the venue so that it will be easy for your guests to find
your reception spot.

The Blitz Spot Includes:
• Indoor event location at Blitz
• Pre-registration list of planners that have opted in for distribution
• Directional signage and event promotion by MPI as an official MPI event
• Ability to submit a 100 word description about company’s area to be posted on MPI website
which will include a map and theme information
Conditions:
• Event is open to everyone, planners and suppliers
• Price includes space only
• Spaces may be shared between companies and it is up to the primary company contact to
coordinate the sharing of space
• Each supplier can determine their own theme décor, food and beverage and entertainment
options at an additional cost. Suppliers will receive a packet of order forms they can use to
enhance their space once space has been purchased. MPI will work with the supplier to help
them decide which elements they want to incorporate by providing easy-to-read menus, sound
and lighting packages, and theme décor options
SECTION 3: REGISTRATION
Each company representative working in your company’s spot must be registered for a full conference
registration. Registration may be completed by logging onto www.mpiweb.org.

SECTION 5: CANCELLATION
A. All Blitz space cancellations must be received by Organizer in writing (return receipt requested)
and acknowledged by Organizer.
B. If written notice of participation cancellation is received by Organizer before on or before March
1, 2011, the supplier shall pay a $150 processing fee. If written notice of participation cancellation
is received by Organizer after March 1, 2011 and on or before April 1, 2011, the supplier shall
pay a cancellation fee equal to 50% of the total package fee. If written notice of participation
cancellation is received by Organizer between April 2, 2011 and on or after May 1, 2011, the
supplier shall pay a cancellation fee equal to 100% of the total package fee. Suppliers contracting
on or after May 1, 2011, are responsible for the full (100%) package fee, even if the event of
cancellation any time thereafter. Any deposits made by the supplier may be used to fully or
partially reduce the cancellation fees described above.
SECTION 6: SHIPPING
Very Important! If you plan to ship anything to Orlando, MPI strongly encourages you to utilize Freeman
Global Transportation services. Freeman will begin accepting shipments in Orlando on June 24, 2011.
Warehouse materials accepted after July 15, 2011 will be received for an additional charge after deadline
charge.

SECTION 7: MISCELLANEOUS
A. This Contract becomes effective when accepted by MPI and a confirmation email has been sent.
The rights of Organizer under this Contract shall not be deemed waived except as specifically
stated in writing by an authorized representative of Organizer. The supplier further agrees that
upon acceptance of this agreement by Organizer with or without appropriate or timely payment of
any and all fees, this agreement shall become binding and enforceable in accordance with its
terms. This Contract will be binding on the supplier’s and Organizer successors and assigns. If
any term, clause or provision hereof is held invalid or unenforceable by a court of competent
jurisdiction, such invalidity shall not affect the validity or operation of any other term, clause or
provision and the invalid term, clause or provision shall be deemed to be severed from the
Agreement. Any action arising out of this Contract or Blitz at WEC 2011 must be brought in Dallas
County, State of Texas, and governed by the law of that locale, exclusive of the choice of law
rules of any jurisdiction, and the supplier consents to the jurisdiction of such courts.
B. MPI reserves the right, at its sole discretion, to change the date or dates upon which the Blitz
program or WEC 2011 is held or to cancel the event(s) and shall not be liable in damages or
otherwise by reason of any such change or cancellation, other than for return of fees paid by
Company.
C. The Company shall not assign this Agreement in whole or in part without the prior written consent
of MPI. Any attempt to do so renders this Agreement null and void and will result in immediate
cancellation of this Agreement with no refund.
D. The Company is responsible for compliance with all terms applicable to the license agreement
MPI has signed with the facility where the Blitz program is held as well as with all applicable laws,
bylaws, ordinances, regulations, requirements, codes and standards, including those with respect
to fire, safety, health and environmental matters applicable.
E. The Company shall indemnify, hold harmless and defend MPI, its’ directors, officers, employees
and agents, from and against any asserted claims, losses, injuries or damages whatsoever

suffered by them as a result of the Company’s participation in the event, including without
limitation, any third party claim against MPI with respect to loss, injury or damage sustained or
suffered by any other company, any exhibitor, the owner of the building, attendees of the event,
and their respective directors, officers, agents and employees.
F. The Company is required to have Commercial General Liability Insurance and Broad Form
Property Insurance in an amount not less than $1 million.
G. MPI reserves the right at any time to alter or remove exhibits or any part thereof, including printed
material, products, signs, lights or sound and to expel the Company, its employees and agents if,
in MPI's opinion, their conduct or presentation is objectionable to MPI.
H. No Company is allowed to use or play recorded or live music during the MPI 2011 WEC Blitz
program. All music will be provded by MPI. MPI shall have the right to use whatever means are
necessary to stop any music from being used or played by Company.
I.
Intellectual Property. Company and MPI hereby grant to each other a limited, revocable, nonexclusive license to use the names and the logo of the respective Party [hereinafter collectively
referred to as the “Marks”) solely to identify Company as a participant in the MPI 2011 WEC Blitz
program, with the limited authority to use the other Party’s Marks solely in connection with the
activities authorized under this Agreement, and subject to the terms and conditions of this
Agreement. Both Parties represent and warrant that it has the full right and authority to enter into
this Agreement and to grant the license provided herein; that it has not previously in any manner
disposed of any of the rights herein granted to the other Party nor previously granted any rights
adverse thereto or inconsistent therewith; that there are no rights outstanding which would
diminish, encumber, or impair the full enjoyment or exercise of the rights herein granted to the
other Party; and that the Marks used by each Party do not and will not violate or infringe upon any
patent, copyright, literary, privacy, publicity, trademark, service mark, or any other personal or
property right of any third party, nor will same constitute a libel or defamation of any third party.
Each Party shall have the right to revoke this limited license at any time. The limited licenses
granted by this paragraph terminate at the conclusion of the MPI 2011 WEC Blitz program.
J.
The Company is responsible for meeting all deadlines set by MPI.
K. This Application and Contract sets for the entire agreement between the Parties and may not be
revised without the written consent of both Parties.
The person whose name appears below warrants and represents they agree to the terms herein and
have the authority to enter into this Agreement on behalf of the Company they purport to represent.
