MONETIZATON MODEL Monetization Model Monetization Strategies Pricing Revenue Share NA NA NA NA INSTRUCTOR RESPONSIBILITIES: The teaching staff is responsible for • Executing a written agreement with the University regarding course development, teaching, copyright and other issues. • Executing the Coursera Agreement for Instructors. • Obtaining the signature of all guest lecturers on the Coursera agreement for instructors • Obtaining the signature of course participants other than instructors and guest lecturers on the Coursera agreement for participants. • Creating the video lecture Content (including video editing and chunking into short videos) • Creating appropriate assessments, so as to have a rigorous, meaningful, measure of End-­‐user learning. • Software development on any special-­‐purpose assessments required for the class, except by agreement of Company, at its own discretion, to help develop such assessments. • Copyright clearance: Ensuring that Content (lectures + assessments) is clear of copyright issues, as per University-­‐provided guidelines and Coursera suggestions. • Uploading video content, assessments, quizzes, and slides to the hosting platform together with any other relevant content, such as web pages, etc. • Uploading any slides used in the videos together with the videos. • Uploading appropriate text descriptions of images in quizzes. • Working with University and Company to provide any necessary accommodations for end users with disabilities. • In the first course offering, monitoring the Q&A forum to ensure that major problems in video Content or assessments are addressed. This Agreement shall become effective upon the last date of signature below and will expire when the University of Maryland’s agreement with Coursera expires. The relationship between and among Coursera and University and Instructor is that of independent contractor and not employer-­‐
employee or agent principle, or joint venture partners. Coursera acknowledges that University and Instructor are developing and offering the Course in fulfillment of its educational, research and public service missions as a land grant institution. This Agreement will be governed and interpreted solely in accordance with the laws of the State of Maryland without reference to its conflicts of laws rules. This Agreement may be modified only by mutual written agreement of the parties. This Agreement is the entire understanding and agreement among the three parties regarding the subject matter herein. It may be executed in counterparts which, taken together, shall constitute one and the same instrument. For good and valuable consideration, the receipt and sufficiency of which I hereby acknowledge, I hereby irrevocably grant University the absolute right and permission to use, store, host, publicly broadcast, publicly display, public perform, distribute, reproduce and digitize any Content that I upload, share or otherwise provide in connection with the Course, including the full and absolute right to use my name, voice, image or likeness (whether still, photograph or video) in connection therewith, and to edit, modify, translate or adapt any such Content ("Content Enhancements') for the purposes of formatting or accommodating Content to be accessible to persons with disabilities. To the extent I create or develop any software, interfaces or assessment features for use in connection with the Course or its use on the Coursera Platform ("New Features"), I hereby irrevocably grant University the right to use my contributions to the New Features for any and all purposes and to grant others, including Coursera, the right to use my contributions to such New Features solely in connection with, and for the duration of University’s agreement with Coursera. "Content' means any information, data, works of authorship or other materials delivered in text, photographic, audio, visual or audiovisual format, including videos, lectures, course materials and syllabi. "Platform" means Coursera's proprietary software platform and algorithyms used to host, transmit and make Content available via the Internet I represent that to the best of my knowledge, I have all necessary right and authority to grant the rights herein granted with respect to the Content I upload, share or otherwise provide in connection with my use of the Platform. I further represent that (i) I have not used and will use reasonable efforts not to incorporate or use any libelous, slanderous, obscene or racist materials or commentary in Content, (ii) I have used and will use reasonable efforts to comply with all guidelines and agreements between me and the university regarding copyright clearance and the use of third-­‐party copyrighted material in Content; and (iii) I have used, and will use my best efforts to work with the University and Coursera to the extent consistent with the pedagogical goals of the Course to consider students with disabilities in the preparation and presentation of Content, such as verbally describing visual elements for the visually impaired. I understand I may receive confidential and proprietary information of Coursera or its successor, meaning non-­‐public information relating to the business, marketing, or financial affairs of Coursera that is marked "Confidential" or with a similar legend. I agree to use Coursera Confidential Information solely to carry out my obligations under this Agreement and for no other purpose and to use reasonable care to avoid disclosure, publication or dissemination of Confidential Coursera Information. I understand that I will not obtain any rights or interest in Coursera Confidential Information by virtue of disclosure hereunder. I understand Coursera Confidential Information does not include: (i) information that is in the public domain before the Effective Date or becomes generally available to the public after the effective Date other than as a result of disclosure by me, the “Recipient,” (ii) information available to me, the “Recipient” on a non-­‐confidential basis before I received it from Coursera, (iii) information I received from a third party who is under no obligation to keep the information confidential; (iv) information I developed independently, without using or referring to Coursera’s Confidential Information, as evidenced by my written records or (v) Recipient is obligated to produce to comply with applicable laws or regulations, including the Maryland Public Information Act, or pursuant to an order of a court of competent jurisdiction or a valid administrative or congressional subpoena provided the Recipient notifies the Disclosing Party prior to making such a disclosure so that the Disclosing Party may take appropriate action. This obligation of confidentiality shall last for a period of five years from receipt of specific Confidential Information or until specific information loses its confidential status. I agree to return or destroy, as directed by Coursera in writing, any Confidential Coursera Information I may receive. I hereby release, discharge, promise not to sue, and hold harmless University and Coursera and their respective officers, employees, agents and successors and assigns from and against any and all claims, demands, costs and/or causes of action of any nature arising out of or in connection with the exercise of any rights herein granted, including, without limitation, any claim for infringement, right of publicity, libel, slander, defamation, moral rights, invasion of privacy or violation of any other rights relating to any Content I upload, share or otherwise provide in connection with use of the Platform. I certify and represent that I have read this Agreement, fully understand its meaning and effect, and have signed this Agreement intending to be legally bound. The provisions hereof shall be binding upon me and my successors, heirs and assigns. This Agreement shall expire when the University’s agreement with Coursera expires or terminates. This Agreement will be governed and interpreted exclusively in accordance with the laws of the State of Maryland without reference to its conflict of laws rules. Attachment 3 Participant Release Course: ____________________________________ This Participant Release (this "Release") is made in reference to the above titled course ("Course") that is being prepared for online distribution initially by Coursera Inc. under an agreement with the University of Maryland ("University"). For good and valuable consideration, the receipt and sufficiency of which I hereby acknowledge, I hereby irrevocably grant University the full and absolute right to use my name, voice, image or likeness (whether still, photograph or video) in connection with the preparation of Content for the Course and the provision of the Course on the Platform. I also irrevocably grant University the right to grant any or all of the foregoing rights and permissions (i) to Coursera or its successor during the term of University’s agreement with Coursera, and (ii) to other third parties in connection with any other distribution of the Course, in whole or in part, for the duration of copyright therein. "Content' means any information, data, works of authorship or other materials delivered in text, photographic, audio, visual or audiovisual format, including videos, lectures, course materials and syllabi. "Platform" means Coursera's proprietary software platform and algorithms used to host, transmit and make Content available via the Internet.
