AUTHORIZING AMENDMENT OF EXISTING INDUSTRIAL BUILDING LEASE
FOR THE ST. LAWRENCE BREWING COMPANY, INC. PROJECT
WHEREAS, the St. Lawrence County Industrial Development Agency (the "SLCIDA") is
authorized and empowered by Title 1 of Article 18-A of the General Municipal Law of the State of
New York (the "State") as amended, and Chapter 358 of the Laws of 1971 of the State, as amended
(collectively, the "Act") to promote, develop, encourage and assist in the acquiring, constructing,
reconstructing, improving, maintaining, equipping and furnishing of industrial, manufacturing,
warehousing, commercial, research, and recreation facilities, including industrial pollution control
facilities, railroad facilities and certain horse racing facilities, for the purpose of promoting, attracting,
encouraging and developing recreation and economically sound commerce and industry to advance
the job opportunities, health, general prosperity and economic welfare of the people of the State, to
improve their recreation opportunities, prosperity and standard of living, and to prevent
unemployment and economic deterioration, and
WHEREAS, on September 27, 2012, the SLCIDA enacted Resolution No. 12-09-38,
authorizing a Lease and PILOT Agreement (the “Lease”) with St. Lawrence Brewing Company (the
“Company”) for space within the SLCIDA’s building on Lot 4 in the Canton Industrial Park, and
WHEREAS, on September 13, 2013, the SLCIDA extended the Lease to incorporate costs
associated with certain electrical/leasehold improvements, and
WHEREAS, the Company has requested an additional amendment to the Lease to allow for
extra working capital as they expand into new markets, and
NOW, THEREFORE, BE IT RESOLVED that the St. Lawrence County Industrial
Development Agency authorizes the following amendments to the Lease:
1. Section 4. RENT: of the Lease is amended to incorporate adjustments of rent for Calendar
Year 2016, as follows:
From January 2016 through December 2016 rents shall include a 2016 Adjusted Maintenance Fee in the amount
per SF TBD and Rental Rate of $6.90 per SF, plus an additional $660.59 as repayment for electrical improvements
authorized by SLCIDA Resolution IDA-13-09-21 (the “electrical improvements”) each month.
BE IT FURTHER RESOLVED that the St. Lawrence County Industrial Development
Agency authorizes and directs its Chief Executive Officer, subject to approval by SLCIDA Counsel,
to execute and deliver the aforementioned Amendments to the Lease.
