The terms and conditions of the Master Subcontract Agreement dated NOV-06-2013 between Contractor and Subcontractor shall govern this Project Specific Agreement and are fully incorporated herein by reference.

Subcontractor shall perform the work required by this Project Specific Agreement in accordance with the following:

THE WORK

The following is a general description of Subcontractor's Work. Also included is a list of certain portions of the

Contract Documents that bear upon the performance of Subcontractor’s Work; provided, however, that such list is included solely for the convenience of Subcontractor and is not necessarily comprehensive. Other portions of the

Contract Documents also may bear upon the performance of Subcontractor’s Work, and therefore, Subcontractor is responsible to independently review all Contract Documents for applicability to Subcontractor’s Work.

Subcontractor is responsible to perform all Subcontractor’s Work required by the Contract Documents, and all other work reasonably inferable from the Contract Documents as necessary to produce the results intended, regardless of whether expressly set forth in the following description; provided, however, that Subcontractor is not required to perform items specifically identified below as excluded from Subcontractor’s Work.

PERFORMANCE CRITERIA DESIGN SERVICES:

Subcontractor shall provide all necessary or advisable design services (including, without limitation, calculations and engineering), shop drawings, and coordination with all other portions of the Project, either when Subcontractor's

Work requires completion of an element or system or when needed as part of Subcontractor's construction means, methods, techniques, sequences or procedures (collectively "Performance Criteria Design Services").

Performance Criteria Design Services shall conform strictly to all requirements of (i) the Contract Documents, including, without limitation, those that establish performance or other design criteria, and (ii) all applicable laws, statutes, ordinances, codes, rules and regulations, lawful orders, and requirements of public authorities. When required by the Contract Documents, by law, or by General Contractor, any document, drawings, specification, certification or calculation prepared by or on behalf of Subcontractor shall be signed and sealed by a Structural engineer who is duly licensed and registered in the State of Illinois. General Contractor shall be entitled to rely upon the adequacy, accuracy and completeness of all Performance Criteria Design Services. For the avoidance of doubt, any structural engineer, professional engineer, or other design professional or consultant retained by Subcontractor shall be deemed a sub-subcontractor.

Supply and installation of Bentonite/Butyl Rubber Flexible Water stop per accepted voluntary alternate.

INSURANCE REQUIREMENTS

F. Professional Liability/Errors and Omissions – Subcontractor, if Subcontractor's own employees render the design or engineering professional services included in the Work, or Subcontractor's design consultants, if

Subcontractor's own employees do not render such services, shall maintain, at all times while services contemplated by this Agreement are being completed and for ten (10) years after Substantial Completion, a professional liability/errors and omissions liability insurance policy for professional services rendered. Whether such insurance is written on a claims-made basis or a project-specific basis, the retroactive date shall be prior to the start of Subcontractor's Work. Renewal policies during this period shall maintain the same retroactive date.

Such insurance shall provide not less than $2,000,000 coverage per claim and $2,000,000 coverage per year in the aggregate.

The underlying coverage afforded to the additional insured under these policies shall be primary and noncontributory insurance .

If the additional insured has other insurance that is applicable to the loss, such other insurance shall be in excess to the Subcontractor’s insurance. The amount of the subcontractor’s liability under this policy shall not be reduced by the existence of such other insurance. A Blanket Additional Insured Endorsement shall be provided so that the coverage afforded to the additional insured’s shall apply to “Ongoing Operations” and

“Completed Operations-Hazards.” It is further agreed that the coverage afforded to the additional insured shall not apply to the sole negligence of the additional insured’s.

Cancellation Clause : 30 days written notice.

Failure to provide the projects insurance shall not relieve the Subcontractor of any liability it may have under this

Agreement or at law.

ADDITIONAL PROVISIONS

Safety:

Strict compliance with all OSHA requirements and additional safety requirements as described in the General

Contractor’s Subcontractor Site Safety Requirements and Procedures manual located at http://www.powerconstruction.net/safety_req.html

are made part of this Agreement.

Strict compliance with all Quality requirements specified in the Contract Documents and further described in the General Contractor’s Quality Guidelines located at http://www.powerconstruction.net/businesspartners/pdf/PowerQualityGuidelines.pdf

2.

Unit Prices:

The following unit prices include all necessary labor, materials, insurance, overhead and profit, and payment and performance bonds.

Saturday premium time for erection crew: $ Per Erection Crew per Day. Note: Unit price shall only include the added costs for premium time for an erection crew over standard time for the same erection crew. $ 4,500.00

Hourly Rates:

The following hourly rates include all necessary labor, insurance, overhead and profit, and payment and performance bonds. Subcontractor acknowledges that the hourly wage rates are subject to audit and subsequent modification if necessary to comply with the General Contract.

5.

Submittals:

Subcontractor acknowledges that all submittals other than samples for this Project shall be submitted in electronic format as Adobe Acrobat (.pdf) files and that these files shall be generated directly from the originating software. Subcontractor understands that this is a requirement and condition of this Agreement.

Subcontractor shall submit files which are more than 5MB by uploading them to the website or ftp site established for this Project. Subcontractor can submit files which are less than 5MB either through e-mail or uploading them to the website or ftp site established for this Project. Consult General Contractor for instructions or questions regarding uploading submittal files.

Subcontractor shall separately submit hard copies of submittals, if any, requiring a signature or a seal stamp. In addition, Subcontractor shall provide hard copies of any other submittals requested by General Contractor.

Shop drawing submittals shall be properly identified and referenced in accordance with the Contract

Documents. Product data submittals for each construction system shall be collected into a single submittal.

Three (3) product samples shall be submitted for each required sample submittal. a. Name or trade designation. b. Quality or grade, and further designation to identify the item or material. c. Applicable specification section and/or drawing number. d. Name of manufacturer or producer.

Subcontractor shall transmit to General Contractor submittals to permit adequate time for review and, if necessary, re-submittal in order to avoid any delay to construction progress due to late or untimely submittals.

Change Order Overhead and Profit:

Maximum allowable percentages for overhead and profit are limited to 10% for overhead and 0% for profit with no additional markup allowed for bond premiums (unless said additional markup for bond premiums is specifically allowed by the General Contract, and General Contractor received payment for same). For work performed by Sub-Subcontractors, markup shall be limited to 5%.
