(45) 179) s e t t i n g o u t t h e m a i n f e a t u r e s w h i c h I proposed t o embody i n t h e B i l l for t h e N a t i o n a l i s a t i o n of the C o a l m i n i n g I n d u s t r y , a n d t h e y a u t h o r i s e d m e to proceed w i t h t h e p r e p a r a t i o n of a d r a f t Bill. I n my m e m o r a n d u m I d r e w a t t e n t i o n t o t h e complexity of t h e B i l l w h i c h results from t h e fact t h a t i t is concerned w i t h t h e t r a n s f e r of p a r t i c u l a r assets, i n t e r e s t s , l i a b i l i t i e s a n d benefits a p p e r t a i n i n g to u n d e r t a k i n g s e n g a g e d in a w i d e v a r i e t y of a c t i v i t i e s besides c o a l m i n i n g . T h i s h a s m e a n t t h a t t h e conveyancing aspects of t h e B i l l a r e of a complicated c h a r a c t e r . The compensation provisions are c o r r e s p o n d i n g l y difficult. 2. A t t h e m e e t i n g of t h e L o r d P r e s i d e n t s C o m m i t t e e on t h e 2 3 r d November ( L . P . (45) 4 4 t h M e e t i n g . M i n u t e 5) t h e Committee h a d before t h e m a f u r t h e r m e m o r a n d u m ( L . P . (45) 238) covering a d r a f t of the B i l l a n d a s k i n g for a u t h o r i t y to s u b m i t it t o t h e c o n s i d e r a t i o n of t h e C a b i n e t a n d t h e L e g i s l a t i o n C o m m i t t e e . I t w a s decided, however, t h a t t h e L o r d P r e s i d e n t should convene a small C o m m i t t e e of M i n i s t e r s to e x a m i n e a revised d r a f t and r e p o r t d i r e c t to t h e C a b i n e t w i t h a view to t h e c o n s i d e r a t i o n of t h e B i l l by the C a b i n e t a n d t h e L e g i s l a t i o n C o m m i t t e e being completed n o t l a t e r t h a n t h e week e n d i n g S a t u r d a y , t h e 15th December. 3. A m e e t i n g of M i n i s t e r s a c c o r d i n g l y took place on t h e 6 t h December, w h e n c e r t a i n m a t t e r s r e l a t i n g to t h e B i l l were discussed, a n d i t w a s a g r e e d t h a t t h e same d r a f t should be c i r c u l a t e d , as soon as possible, t o the C a b i n e t w i t h an i n d i c a t i o n of t h e respects i n w h i c h the n e x t p r i n t of t h e Bill w o u l d be altered f r o m t h e d r a f t t h e n available. T h e d r a f t n o w c i r c u l a t e d is accordingly in t h e f o r m in w h i c h i t w a s considered by t h e m e e t i n g of M i n i s t e r s . 4. C l a u s e 1 of t h e Bill establishes t h e N a t i o n a l Coal B o a r d a n d sets o u t i t s p r i m a r y d u t i e s i n subsection (1). These a r e t h e w o r k i n g of t h e coal m i n e s and t h e m a k i n g a v a i l a b l e of coal i n s u c h q u a n t i t i e s a n d a t such prices a s m a y seem to t h e B o a r d best calculated t o f u r t h e r t h e public i n t e r e s t . T h e functions a n d p o w e r s of t h e B o a r d a r e s e t - o u t i n sub-clauses (2) a n d (3). T h e y a r e d r a w n w i d e l y because i t a p p e a r s desirable, a n d will in g e n e r a l prove necessary, t h a t t h e B o a r d should be p e r m i t t e d to do a n y t h i n g w h i c h a p r i v a t e l y o w n e d colliery u n d e r t a k i n g m i g h t find it r e q u i s i t e , a d v a n t a g e o u s o r convenient to do, i n c l u d i n g , in p a r t i c u l a r , t h e t r e a t m e n t of coal and coal p r o d u c t s , the p r o d u c t i o n a n d sale of goods or u t i l i t i e s w h i c h could a d v a n t a g e o u s l y be so d e a l t w i t h by t h e B o a r d , a n d t h e p r o v i s i o n of f a c i l i t i e s for t r a i n i n g , e d u c a t i o n a n d r e s e a r c h . I n p e r f o r m i n g t h e i r f u n c t i o n s the B o a r d a r e to a c t (sub-clause ( 4 ) ) i n such m a n n e r ar- t h e y t h i n k best for f u r t h e r i n g t h e safety, h e a l t h a n d welfare of t h e w o r k e r s t h e y employ, a n d for s e c u r i n g t h a t t h e i n d u s t r y w i l l p a y its way. 5. C l a u s e 2 gives t h e c o n s t i t u t i o n of the B o a r d , w h i c h is t o consist of a C h a i r m a n , D e p u t y C h a i r m a n a n d seven other members a p p o i n t e d by the M i n i s t e r from a m o n g p e r s o n s w i t h a p p r o p r i a t e qualifications set o u t in sub-clause (3). I t is i n t e n d e d t o a d d to t h i s clause a provision to m a k e i t clear t h a t m e m b e r s of t h e Commons House of P a r l i a m e n t w i l l not be eligible for a p p o i n t m e n t to t h e B o a r d . [31026] S a l a r i e s a n d a l l o w a n c e s of m e m b e r s of t h e B o a r d a r e to be fixed by t h e M i n i s t e r w i t h t h e a p p r o v a l of t h e T r e a s u r y (sub-clause 5) a n d t h e i r a p p o i n t m e n t , t e n u r e of office, & e , w i l l be l a i d d o w n i n r e g u l a t i o n s (sub-clause 6). I o u g h t p e r h a p s a t t h i s p o i n t to call a t t e n t i o n to t h e f a c t t h a t t h e r e a r e some 20 clauses i n t h e Bill w h i c h confer r e g u l a t i o n - m a k i n g p o w e r s , on m a t t e r s w h i c h , o n p a s t p r e c e d e n t s , w o u l d have been covered by d e t a i l e d p r o v i s i o n s i n t h e Bill. T h i s will be a t t a c k e d as r e p r e s e n t i n g a n e w d e p a r t u r e in l e g i s l a t i o n of t h i s k i n d . 6. C l a u s e 3 e m p o w e r s t h e M i n i s t e r t o give t h e B o a r d g e n e r a l d i r e c t i o n s as to t h e exercise a n d p e r f o r m a n c e of t h e i r f u n c t i o n s in r e l a t i o n t o m a t t e r s a p p e a r i n g to t h e M i n i s t e r t o affect t h e n a t i o n a l i n t e r e s t . I t is c o n s i d e r e d t h a t t h i s will enable d i r e c t i o n s to be given on such q u e s t i o n s a s t h e c o - o r d i n a t i o n of the i n d u s t r y ' s i n v e s t m e n t p r o g r a m m e w i t h t h a t of the c o u n t r y generally, t h e e x p a n ­ sion of t h e e x p o r t t r a d e , a n d t h e a l l e v i a t i o n of social d i s l o c a t i o n s w h i c h m i g h t be c a u s e d by t h e closure of p i t s . 7. C l a u s e 4 r e q u i r e s the M i n i s t e r covering i n d u s t r i a l a n d domestic s u p p l i e s appear to them to require consideration, Minister where action appears to them to to e s t a b l i s h t w o C o n s u m e r s ' Councils, respectively, to deal w i t h m a t t e r s w h i c h a n d t o n o t i f y t h e i r conclusions t o the be r e q u i s i t e . 8. C l a u s e s 5 a n d 8, a n d the F i r s t Schedule, w h i c h s h o u l d be r e a d i n c o n j u n c t i o n t h e r e w i t h , deal w i t h t h e t r a n s f e r of assets t o t h e B o a r d . P a r t I of t h e S c h e d u l e consists of assets w h i c h a r e to be a u t o m a t i c a l l y t r a n s f e r r e d t o t h e B o a r d , a n d i t includes, s p e a k i n g b r o a d l y , t h e assets e s s e n t i a l for c o a l m i n i n g , t o g e t h e r w i t h a n c i l l a r y assets s u c h a s coke ovens (not f o r m i n g p a r t of a n u n d e r ­ t a k i n g w h i c h o w n s i r o n a n d steel works) m a n u f a c t u r e d fuel p l a n t s , p o w e r s t a t i o n s , & c , w h i c h a r e o w n e d by colliery concerns a n d a r e p h y s i c a l l y or financially closely associated w i t h c o a l m i n i n g . P a r t I I specifies assets to be t r a n s f e r r e d a t t h e o p t i o n of t h e B o a r d or on t h e r e q u i r e m e n t of t h e o w n e r s . I t i n c l u d e s a s s e t s less closely connected w i t h c o a l m i n i n g , such as b r i c k w o r k s , w h a r v e s , h a r b o u r s , A c , h o u s i n g a n d f a r m i n g p r o p e r t y , a n d one or t w o o t h e r classes of assets w h i c h t h e B o a r d m i g h t find i t a d v a n t a g e o u s to t a k e over, or w h i c h c a n n o t i n f a i r n e s s be left on t h e h a n d s of colliery c o m p a n i e s d e n u d e d of t h e i r p r i n c i p a l a c t i v i t i e s . P a r t I I I is concerned w i t h assets t o be t r a n s f e r r e d a t the o p t i o n of t h e B o a r d , or of t h e o w n e r s , subject to a r b i t r a t i o n if e i t h e r s i d e objects to the o p t i o n exer­ cised by t h e o t h e r . I t covers assets such a s c e r t a i n m a n u f a c t u r e d fuel p l a n t s , p r i v a t e r a i l w a y s . & c , n o t o w n e d by concerns b u t by p e r s o n s e n g a g e d i n a c t i v i t i e s w h i c h a r e p a r t i c u l a r l y connected w i t h t h e i n d u s t r y a n d w h i c h , if n o t t r a n s f e r r e d , m i g h t p r e j u d i c e t h e B o a r d or t h e p r e s e n t owners. P a r t I V covers all o t h e r assets owned by colliery concerns not covered by P a r t s I - I I I , b u t excludes f r o m t r a n s f e r t h i n g s used w h o l l y or m a i n l y for p u r p o s e s of iron a n d steel w o r k s . 9. C l a u s e 6 p r o v i d e s for t h e t r a n s f e r of r i g h t s a n d l i a b i l i t i e s u n d e r e x i s t i n g c o n t r a c t s , a n d should be r e a d in c o n j u n c t i o n w i t h t h e d e t a i l e d classification thereof set o u t in t h e Second S c h e d u l e . T h e Clause i n c l u d e s a n escape p r o v i s i o n to enable t h e B o a r d t o avoid c o n t r a c t s of p e r s o n a l service e n t e r e d i n t o since t h e 1st A u g u s t , 1945, a n d c o n t r a c t s e n t e r e d i n t o w i t h u n r e a s o n a b l e w a n t of p r u d e n c e by t h e p r e v i o u s owners. 10. T h e above-mentioned Clauses, w i t h t h e a d d i t i o n of Clause 9 (which r e l a t e s to c o m p e n s a t i o n ) , a n d t h e F i n a n c i a l P r o v i s i o n s ( C l a u s e s 17-23) c o n s t i t u t e t h e e s s e n t i a l f r a m e w o r k of the Bill. T h e r e m a i n i n g Clauses a r e of less i m p o r t ­ ance. a n d a r e of a g e n e r a l or miscellaneous c h a r a c t e r . 11. C l a u s e s 9 to 16 deal w i t h t h e p a y m e n t a n d a l l o c a t i o n of c o m p e n s a t i o n , t h e d e t e r m i n a t i o n a n d v a l u a t i o n of c l a i m s , a n d w i t h the c o m p e n s a t i o n m a c h i n e r y to be established. These provisions a r e of a s o m e w h a t c o m p l i c a t e d c h a r a c t e r , b u t a r e in broad a c c o r d w i t h the p r o c e d u r e w h i c h w a s followed w h e n t h e o w n e r s h i p of t h e m i n e r a l s w a s t r a n s f e r r e d to t h e C o a l Commission by t h e Coal A c t , 1938. A t t e n t i o n i s d r a w n t o Clause 10, w h i c h is i n s e r t e d i n o r d e r to i m p l e m e n t a n u n d e r t a k i n g w h i c h I gave to t h e M i n i n g A s s o c i a t i o n t h a t money e x p e n d e d on c a p i t a l d e v e l o p m e n t in a n t i c i p a t i o n of n a t i o n a l i s a t i o n w o u l d be r e i m b u r s e d to colliery u n d e r t a k i n g s . 12. Clauses 17 t o 23 a r e the d r a f t financial provisions. I t will be n o t e d t h a t t h e h e a d i n g to those Clauses i n d i c a t e s t h a t they a r e to be r e w r i t t e n . I e x p l a i n e d the more i m p o r t a n t of the a d d i t i o n s a n d a l t e r a t i o n s to be m a d e in t h e s e Clauses to t h e M e e t i n g of M i n i s t e r s , a n d s e c u r e d their a g r e e m e n t t o the p r o p o s a l s , a n d the T r e a s u r y a n d my M i n i s t r y a r e in c o n s u l t a t i o n u p o n t h e d e t a i l s . These Clauses w i l l a c c o r d i n g l y a p p e a r in a s o m e w h a t a l t e r e d form in the Bill p r e s e n t e d to P a r l i a m e n t . I t w i l l be n o t e d t h a t by C l a u s e 17 c o m p e n s a t i o n is g e n e r a l l y -4o be m a d e i n G o v e r n m e n t stock, t h o u g h t h a t will n o t exclude c o m p e n s a t i o n in cash in r e s p e c t of the c a p i t a l e x p e n d i t u r e described i n C l a u s e 10 m e n t i o n e d above, a n d in r e s p e c t of stores t r a n s f e r r e d . P r o v i s i o n will be m a d e for two a n n u a l revenue p a y m e n t s t o the e x i s t i n g o w n e r s , e q u i v a l e n t to h a l f t h e profits e a r n e d d u r i n g a previous period. T h i s p a y m e n t will be i n s u b s t i t u t i o n for t h e i n t e r e s t p a y m e n t s which w o u l d o t h e r w i s e h a v e to be m a d e between t h e d a t e on w h i c h the assets w e r e vested a n d the d a t e on w h i c h valuation w a s completed a n d final c o m p e n s a t i o n paid. I t is necessary because of t h e delay w h i c h m u s t i n e v i t a b l y occur before valuation a n d the d e t e r m i n a t i o n of the c o m p e n s a t i o n due to i n d i v i d u a l u n d e r ­ t a k i n g s a r e completed. I n a d d i t i o n the Bill will c o n t a i n provision u n d e r which, for t h e p u r p o s e of p a y i n g off s h a r e h o l d e r s , e q u i t a b l e a r r a n g e m e n t s m u s t be m a d e to e n s u r e t h a t h o l d e r s of p a r t i c u l a r classes of s h a r e s will not be differentially affected by reason of the f a c t t h a t l i q u i d a t i o n of t h e c o m p a n y m a y be necessitated as a r e s u l t of n a t i o n a l i s a t i o n . 13. T h e b r o a d i n t e n t i o n of Clauses 18 to 20 is t o e m p o w e r t h e B o a r d to borrow o n l y from t h e T r e a s u r y , except for t e m p o r a r y p u r p o s e s ; to enable t h e T r e a s u r y t o lend to t h e B o a r d from t h e C o n s o l i d a t e d F u n d u p t o a m a x i m u m of £ 1 5 0 million, a n d to r a i s e money for t h e p u r p o s e ; to impose o b l i g a t i o n s u p o n the B o a r d to p r o v i d e for t h e service of t h e stock issued, or c a s h p a i d , by w a y of compensation, a n d of m o n e y lent by the T r e a s u r y ; a n d to r e q u i r e the B o a r d to make such p a y m e n t s for t h e r e d e m p t i o n of the c o m p e n s a t i o n a n d loans a s t h e T r e a s u r y m a y d i r e c t . F u r t h e r m o r e , the M i n i s t e r is t o be obliged to lay before the H o u s e of Commons a s t a t e m e n t of a n y p a y m e n t s due wdiich have n o t been p a i d , and t h e B o a r d a r e u n d e r o b l i g a t i o n to a p p l y a n y s u r p l u s r e v e n u e i n a financial year i n such m a n n e r as t h e M i n i s t e r m a y direct. W h i l e t h e s e p r o v i s i o n s impose somewhat s t r i n g e n t o b l i g a t i o n s u p o n the B o a r d . I do n o t t h i n k they will p r o v e u n d u l y r e s t r i c t i v e , a n d it will, of course, be necessary, if a n effective n a t i o n a l investment policy is t o ' b e c a r r i e d t h r o u g h , to e n s u r e t h a t a considerable m e a s u r e of c o n t r o l shall be exercisable over t h e financial t r a n s a c t i o n s of t h e B o a r d . Clauses 2 1 to 23 do not a p p e a r to call for a n y p a r t i c u l a r comment. 14. Clauses 24 to 34 a r e of a miscellaneous c h a r a c t e r , few of w h i c h braise issues of a n y g r e a t m o m e n t . C l a u s e 25, however, gives p o w e r to m a k e r e g u l a t i o n s to e n a b l e t h e B o a r d to p a y p e n s i o n s to former employees of t h e B o a r d a n d to assume r e s p o n s i b i l i t y for c o n t r a c t u a l or c u s t o m a r y o b l i g a t i o n s i n c u r r e d in respect of p e r s o n s previously employed by colliery concerns a n d c e r t a i n other bodies. I h a v e n o t p r o v i d e d for c o m p e n s a t i o n for t h e employees of colliery u n d e r t a k i n g s , a n d bodies connected w i t h t h e i n d u s t r y w h o p r o v e to be r e d u n d a n t , or whose s t a t u s is d e t r i m e n t a l l y affected. A s t h e r e is a considerable body of p r e c e d e n t s from e a r l i e r e n a c t m e n t s p r o v i d i n g for c o m p e n s a t i o n i n such circumstances. I a n t i c i p a t e s t r o n g o p p o s i t i o n . N o n e t h e less, h a v i n g r e g a r d t o t h e c i r c u m s t a n c e s of t h e c o a l m i n i n g i n d u s t r y , I feel t h a t c o m p e n s a t i o n should not be payable. 15. C l a u s e 29 effects c e r t a i n a l t e r a t i o n s in t h e c o n s t i t u t i o n of t h e M i n e r s " W e l f a r e Commission, a n d p r o v i d e s for persons h o l d i n g office a t the commence­ ment of t h e A c t t o v a c a t e office. I t also enables t h e M i n i s t e r to give d i r e c t i o n s to t h e Commission. T h e s e provisions a r e m a d e to remove t h e a n o m a l o u s s i t u a t i o n which w o u l d o t h e r w i s e e x i s t a s between t h e s t a t u s of t h e Commission on t h e o n e h a n d , a n d t h e B o a r d on t h e o t h e r . 16. C l a u s e 26 r e p r o d u c e s the relevant p r o v i s i o n s of t h e P u b l i c A u t h o r i t i e s P r o t e c t i o n Act, 1893, to m a k e it clear t h a t t h e officers a n d s e r v a n t s of the B o a r d shall be g i v e n t h e benefit of the p r o t e c t i o n t h a t A c t provides t o such persons w h e n employed by a public a u t h o r i t y . 17. Clauses 35 to 41 a r e " G e n e r a l " p r o v i s i o n s w h i c h raise n o q u e s t i o n s of n e w policy. I t m a y b e a p p r o p r i a t e , however, to d r a w a t t e n t i o n to Clause 36 which sets out a n u m b e r of provisions for w h i c h t h e r e g u l a t i o n s r e f e r r e d to i n other C l a u s e s of t h e A c t m a y p r o v i d e in a d d i t i o n t o t h e provisions specified i n those Sections. T h e r e shall b e a N a t i o n a l Coal B o a r d w h i c h shall, on E s t a b l i s h m e n t and after t h e p r i m a r y v e s t i n g date, b e c h a r g e d w i t h t h e d u t i e s of N a t i o n a l of 10 Coal B o a r d a n d functions (a) w o r k i n g a n d g e t t i n g t h e coal in G r e a t B r i t a i n , t o t h e thereof. e x c l u s i o n (save a s in t h i s A c t p r o v i d e d ) of a n y o t h e r person ; and (b) m a k i n g s u p p l i e s of c o a l a v a i l a b l e i n s u c h q u a n t i t i e s a n d a t s u c h p r i c e s a s m a y seem t o them b e s t c a l c u l a t e d t o further t h e public interest. 15 (2) T h e f u n c t i o n s of t h e N a t i o n a l Coal B o a r d (in t h i s A c t referred t o a s " t h e B o a r d " ) shall include t h e c a r r y i n g o n of all such a c t i v i t i e s a s i t m a y a p p e a r t o t h e B o a r d t o b e r e q u i s i t e , a d v a n t a g e o u s or c o n v e n i e n t for them t o carry on for or i n connection with t h e d i s c h a r g e of t h e i r d u t i e s u n d e r t h e p r e c e d i n g osubsection, a n d i n p a r t i c u l a r , b u t w i t h o u t p r e j u d i c e t o t h e generality of t h i s s e c t i o n , — (a) s e a r c h i n g a n d b o r i n g for coal in G r e a t B r i t a i n , t o t h e exclusion of a n y o t h e r person ; :(b) t r e a t i n g , Tendering saleable, s u p p l y i n g a n d selling coal'; 69—5 A 2 A . (3) T h e B o a r d shall h a v e p o w e r t o do a n y t h i n g a n d t o e n t e r i n t o a n y t r a n s a c t i o n ( w h e t h e r or n o t involving t h e e x p e n d i t u r e , 20 b o r r o w i n g or lending of m o n e y , t h e acquisition of a n y p r o p e r t y or r i g h t s , o r t h e disposal of a n y p r o p e r t y or r i g h t s n o t in their opinion r e q u i r e d for t h e p r o p e r discharge of t h e i r functions) w h i c h in t h e i r opinion is c a l c u l a t e d t o facilitate t h e p e r f o r m a n c e of their d u t i e s u n d e r s u b s e c t i o n (1) of t h i s section or t h e c a r r y i n g 25 on b y t h e m of a n y such a c t i v i t i e s as aforesaid, or is i n c i d e n t a l or conducive thereto. (4) T h e B o a r d shall exercise a n d perform t h e i r f u n c t i o n s in such m a n n e r a s t h e y t h i n k b e s t for securing, c o n s i s t e n t l y w i t h t h e p r o p e r discharge of t h e d u t i e s i m p o s e d on t h e m b y s u b s e c t i o n 30 (1) of t h i s s e c t i o n , — [a) t h e safety, h e a l t h a n d welfare of persons in t h e i r e m p l o y ­ ment ; (b) t h a t t h e r e v e n u e s of t h e B o a r d shall be sufficient t o m e e t all t h e i r o u t g o i n g s p r o p e r l y c h a r g e a b l e t o r e v e n u e 35 account. Constitution it t h e B o a r d , 2 . — ( 1 ) T h e B o a r d shall b e a b o d y c o r p o r a t e b y t h e n a m e of " t h e N a t i o n a l Coal B o a r d " , w i t h p e r p e t u a l succession a n d a c o m m o n seal a n d p o w e r t o h o l d l a n d w i t h o u t licence in m o r t m a i n . (2) T h e B o a r d shall consist of a C h a i r m a n a n d eight o t h e r 40 members. (3) T h e C h a i r m a n a n d o t h e r m e m b e r s of t h e B o a r d shall be a p p o i n t e d b y t h e Minister of F u e l a n d P o w e r (in t h i s Act referred t o a s " t h e Minister ") from a m o n g s t persons a p p e a r i n g t o h i m to be qualified as h a v i n g h a d e x p e r i e n c e of, a n d h a v i n g s h o w n capacity in, i n d u s t r i a l , c o m m e r c i a l o r financial m a t t e r s , applied science a d m i n i s t r a t i o n , or t h e o r g a n i s a t i o n of w o r k e r s . (4) T h e Minister shall a p p o i n t one of t h e m e m b e r s of 5 Board t o a c t a s d e p u t y C h a i r m a n . A.D. 1945. — ­ the (5) T h e r e shall b e p a i d to t h e m e m b e r s of t h e B o a r d s u c h salaries a n d a l l o w a n c e s as m a y b e d e t e r m i n e d b y t h e Minister with t h e a p p r o v a l of t h e T r e a s u r y , a n d , on t h e r e t i r e m e n t or death of a n y of t h e m as t o w h o m i t m a y b e so d e t e r m i n e d t o 10 make s u c h p r o v i s i o n , s u c h p e n s i o n s a n d g r a t u i t i e s t o t h e m or to o t h e r s b y reference t o t h e i r service as m a y b e so d e t e r m i n e d , and t h e salaries a n d allowances, a n d a n y p e n s i o n s a n d g r a t u i t i e s , to b e so p a i d shall b e p a i d o u t of t h e r e v e n u e s of t h e B o a r d . x 5 i 20 (6) T h e Minister m a y m a k e r e g u l a t i o n s w i t h r e s p e c t to—­ (a) t h e a p p o i n t m e n t of, a n d t h e t e n u r e a n d v a c a t i o n of office b y , t h e m e m b e r s of t h e B o a r d ; (b) t h e q u o r u m , p r o c e e d i n g s a n d m e e t i n g s of t h e B o a r d , a n d d e t e r m i n a t i o n s of t h e B o a r d ; a n d (c) t h e e x e c u t i o n of i n s t r u m e n t s a n d t h e m o d e of e n t e r i n g i n t o c o n t r a c t s b y a n d on behalf of t h e B o a r d , a n d t h e proof of d o c u m e n t s p u r p o r t i n g t o b e e x e c u t e d , issued or signed b y t h e B o a r d or a m e m b e r , officer or s e r v a n t thereof. (7) S u b j e c t t o t h e provisions of a n y r e g u l a t i o n s m a d e u n d e r 15 the last p r e c e d i n g s u b s e c t i o n t h e B o a r d shall h a v e p o w e r t o regulate t h e i r o w n p r o c e d u r e . 2 3.—(1) T h e Minister m a y give t o t h e B o a r d d i r e c t i o n s of a general c h a r a c t e r as t o t h e exercise a n d p e r f o r m a n c e b y t h e B o a r d of t h e i r functions in r e l a t i o n t o m a t t e r s a p p e a r i n g t o t h e Minister j3 to affect t h e n a t i o n a l i n t e r e s t , a n d t h e B o a r d shall give effect t o any s u c h directions. (2) I n t h e exercise a n d p e r f o r m a n c e of t h e i r f u n c t i o n s a s t o training, e d u c a t i o n a n d r e s e a r c h t h e B o a r d shall a c t o n lines settled from t i m e t o t i m e w i t h t h e a p p r o v a l of t h e Minister. P o w e r s of the Minister in £he Boaro? 0 135 (3) T h e B o a r d s h a l l afford t o t h e Minister facilities for ob­ taining i n f o r m a t i o n w i t h r e s p e c t t o t h e p r o p e r t y a n d activities of t h e B o a r d , a n d s h a l l furnish h i m w i t h r e t u r n s , a c c o u n t s a n d other i n f o r m a t i o n w i t h respect t h e r e t o a n d afford to h i m facilities for t h e verification of i n f o r m a t i o n furnished, in s u c h m a n n e r a n d at s u c h t i m e s a s he m a y r e q u i r e . 4.—(1) T h e r e shall b e e s t a b l i s h e d for t h e p u r p o s e s m e n t i o n e d I n d u s t r i a l in t h i s section t w o c o n s u m e r s ' councils, t o be k n o w n r e s p e c t i v e l y Domestic as t h e I n d u s t r i a l C o n s u m e r s ' Council a n d t h e D o m e s t i c Con- Consumers , ., Councils, sumers Council. a n d m (2) E a c h of t h e said councils shall consist of s u c h n u m b e r of persons a s t h e Minister m a y t h i n k fit a p p o i n t e d b y h i m rto represent the Board and— (a) i n t h e case of t h e I n d u s t r i a l C o n s u m e r s ' Council, con­ s u m e r s of coal for i n d u s t r i a l p u r p o s e s ; (b) in t h e case of t h e D o m e s t i c C o n s u m e r s ' Council, consumers of coal for d o m e s t i c a n d o t h e r n o n - i n d u s t r i a l purposes, a n d p e r s o n s e n g a g e d i n organising o r effecting t h e sale or s u p p l y of coal for t h o s e p u r p o s e s . 1 (3) T h e I n d u s t r i a l C o n s u m e r s ' Council s h a l l b e c h a r g e d with 10 the duties— (a) of considering a n y m a t t e r affecting t h e sale or s u p p l y of coal for i n d u s t r i a l p u r p o s e s which i s t h e s u b j e c t Of a r e p r e s e n t a t i o n m a d e t o t h e m b y c o n s u m e r s of coal for t h o s e p u r p o s e s , or w h i c h a p p e a r s t o t h e m t o b e a m a t t e r 15 j to which c o n s i d e r a t i o n o u g h t t o b e given a p a r t from a n y such r e p r e s e n t a t i o n , a n d , w h e r e a c t i o n a p p e a r s to t h e m t o b e r e q u i s i t e a s t o a n y such m a t t e r , of notifying t h e i r conclusions t o t h e Minister ; (b) of considering, a n d r e p o r t i n g t o t h e Minister on, a n y s u c h 20] m a t t e r w h i c h m a y be referred t o t h e m b y t h e Minister. (4) T h e D o m e s t i c C o n s u m e r s ' Council shall b e c h a r g e d w i t h t h e like d u t i e s in r e l a t i o n t o t h e sale or supply of coal for d o m e s t i c and other non-industrial purposes. 2 (5) T h e said c o n s u m e r s ' councils shall b e furnished b y t h e 5 Minister w i t h s u c h clerks, officers a n d staff as a p p e a r to h i m , w i t h t h e c o n c u r r e n c e of t h e T r e a s u r y as t o n u m b e r s , t o b e r e q u i s i t e for t h e p r o p e r d i s c h a r g e of their functions, a n d t h e Minister shall p a y t o t h e m s u c h r e m u n e r a t i o n a n d allowances a s h e m a y w i t h t h e a p p r o v a l of t h e T r e a s u r y d e t e r m i n e . 30J (6) P r o v i s i o n m a y be m a d e b y regulations for or in c o n n e c t i o n w i t h a n y s u c h m a t t e r s in r e l a t i o n t o t h e said c o n s u m e r s ' councils as are m e n t i o n e d in s u b s e c t i o n ( 6 ) of section t w o of t h i s A c t in r e l a t i o n t o t h e B o a r d , a n d , s u b j e c t t o t h e p r o v i s i o n s of t h e r e g u l a t i o n s , t h e said councils shall h a v e p o w e r t o r e g u l a t e t h e i r 35J) own p r o c e d u r e . Transfer Transfer to t h e B o a r d of assets generally of assets to the Board. ' 5 . — ( 1 ) T h e assets d e s c r i b e d in P a r t I of t h e F i r s t Schedule t o t h i s A c t shall v e s t in t h e B o a r d , b y v i r t u e of t h i s section a n d w i t h o u t f u r t h e r a s s u r a n c e , o n s u c h d a t e a s t h e Minister m a y b y o r d e r a p p o i n t in t h a t behalf (in t h i s Act referred t o as " t h e primary vesting date "). (2) T h e assets d e s c r i b e d in P a r t I I of t h e F i r s t Schedule t o t h i s A c t shall be s u b j e c t t o t h e following provision, t h a t is t o say., the: Board, a n d t h e o w n e r of a n y s u c h assets shall e a c h h a v e t h e A.I3. 1.945. option t o r e q u i r e t h a t t h e y shall vest i n t h e B o a r d , exercisable b y notice in writing served, on t h e o t h e r , a n d a n y s u c h assets as t o which t h a t o p t i o n is d u l y exercised shall v e s t in t h e B o a r d 5 as aforesaid, o n t h e d a t e of service of t h e n o t i c e if it is s e r v e d on t h e first d a y of a m o n t h , or, if n o t , on t h e n e x t first d a y of a month : : P r o v i d e d t h a t if t h e n o t i c e is served, before t h e p r i m a r y v e s t i n g date, the; vesting, s h a l l b e on t h a t d a t e . 10 (3) T h e assets d e s c r i b e d in P a r t s I I I a n d I V r e s p e c t i v e l y of t h e First S c h e d u l e to t h i s A c t shall b e s u b j e c t t o t h e like p r o v i s i o n as is m e n t i o n e d i n t h e l a s t p r e c e d i n g s u b s e c t i o n , e x c e p t t h a t , if t h e p a r t y served ( w h e t h e r t h e o w n e r or t h e B o a r d ) gives t o t h e o t h e r a c o u n t e r - n o t i c e i n w r i t i n g o b j e c t i n g , a s r e s p e c t s all-or a n y of t h e 15 assets t o w h i c h t h e original n o t i c e r e l a t e s , t o t h e v e s t i n g thereof in t h e B o a r d , t h e q u e s t i o n w h e t h e r t h e assets, a s t o w h i c h o b j e c t i o n is so m a d e or a n y of t h e m a r e so t o v e s t shall b e d e t e r m i n e d b y a r b i t r a t i o n u n d e r t h i s Act, a n d t h e d a t e of v e s t i n g of s u c h of t h e m as u n d e r t h e a r b i t r a t o r ^ a w a r d a r e so t o v e s t shall b e as it !0 would h a v e b e e n if t h e original n o t i c e h a d b e e n s e r v e d on t h e d a t e of t h e a w a r d . (4), R e g u l a t i o n s shall b e m a d e for p r e s c r i b i n g p e r i o d s w i t h i n which notices exercising s u c h o p t i o n s as aforesaid, a n d c o u n t e r ­ notices of o b j e c t i o n , m u s t b e s e r v e d , a n d different p e r i o d s m a y 5 be p r e s c r i b e d a s t o t h e service thereof in different c i r c u m s t a n c e s or as t o a s s e t s of different k i n d s . 1 (5) T h e v e s t i n g of a n y assets b y v i r t u e of t h i s s e c t i o n shall t a k e effect free from a n y c h a r g e or lien for s e c u r i n g m o n e y or m o n e y ' s worth t o w h i c h t h e y a r e s u b j e c t . (6) T h e Minister m a y b y r e g u l a t i o n s m a k e s u c h p r o v i s i o n s u p p l e m e n t a r y t o or c o n s e q u e n t i a l on t h e p r o v i s i o n s of t h i s s e c t i o n and of t h e F i r s t S c h e d u l e t o t h i s A c t as a p p e a r s t o h i m t o be necessary or e x p e d i e n t , a n d in p a r t i c u l a r , b u t w i t h o u t p r e j u d i c e to t h e g e n e r a l i t y of t h i s s u b s e c t i o n , provision m a y b e m a d e b y 5 regulations m a d e t h e r e u n d e r — I (a) for d e s i g n a t i n g e a s e m e n t s , a n d o t h e r p r o p e r t y a n d r i g h t s t h a t a r e t o v e s t in t h e B o a r d , or b e t r e a t e d as h a v i n g v e s t e d in t h e m , w i t h a n y of t h e assets v e s t i n g in. t h e m b y v i r t u e of t h i s section ; 0 (b) for d e s i g n a t i n g e a s e m e n t s a n d o t h e r r e s t r i c t i o n s , r i g h t s a n d liabilities s u b j e c t t o w h i c h a n y of t h e said assets a r e t o vest in t h e B o a r d , or a r e t o b e t r e a t e d as h a v i n g v e s t e d in t h e m ; 1 (c) for a p p o r t i o n m e n t s a n d i n d e m n i t i e s c o n s e q u e n t on t h e I s e v e r a n c e of leasehold i n t e r e s t s , or of i n t e r e s t s h e l d 0 s u b j e c t t o leases, b y reason of t h e v e s t i n g p r o v i d e d for b y t h i s section ; [d) for t h e r e g i s t r a t i o n of t h e t i t l e of t h e B o a r d t o assets v e s t i n g in t h e m b y v i r t u e of t h i s s e c t i o n of a kind s u b j e c t t o provisions for t h e r e g i s t r a t i o n of t i t l e t h e r e t o ; 5 (e) for v e s t i n g in t h e B o a r d t h e p r o p e r t y in a n d t h e right to possession of d o c u m e n t s of such k i n d s r e l a t i n g t o the t i t l e t o , or t o t h e m a n a g e m e n t of, t h i n g s i n t e r e s t s in w h i c h v e s t in t h e B o a r d b y v i r t u e of t h i s section, as m a y b e specified in t h e r e g u l a t i o n s , for conferring on ioj t h e B o a r d t h e r i g h t t o p r o d u c t i o n of a n y o t h e r such d o c u m e n t s a s aforesaid a s m a y b e so specified, a n d for r e q u i r i n g p e r s o n s h a v i n g possession or c o n t r o l of any s u c h d o c u m e n t s as aforesaid to furnish i n w r i t i n g , to s u c h p e r s o n or a u t h o r i t y w i t h i n such t i m e as m a y be ijj specified in t h e r e g u l a t i o n s , s u c h i n f o r m a t i o n with r e s p e c t t o t h e d o c u m e n t s as m a y b e s o specified ; (/) for t h e modification of provisions of t h e Coal A c t , 1938, w h i c h m a y b e n e c e s s a r y or e x p e d i e n t in consequence of t h e v e s t i n g in t h e B o a r d b y v i r t u e of t h i s section of 2(j a s s e t s p r e v i o u s l y in t h e o w n e r s h i p of t h e Coal Corn­ mission. Transfer of rights and liabilities under contracts. 6.—(1) S u b j e c t t o t h e p r o v i s i o n s of t h i s section, contracts s u c h as a r e m e n t i o n e d i n t h e Second Schedule t o t h i s A c t shall h a v e effect in f a v o u r of a n d a g a i n s t t h e B o a r d as t h e r e i n m e n t i o n e d 2; and to the extent therein mentioned. P r o v i d e d t h a t , if it a p p e a r s t o t h e Minister t o b e convenient for v a l u a t i o n p u r p o s e s t o d i v i d e a n y district for w h i c h s u c h ascer­ t a i n m e n t s w e r e so m a d e , he m a y c o n s t i t u t e t w o or m o r e v a l u a t i o n districts t o correspond with t h a t district. (2) R e g u l a t i o n s s h a l l be m a d e for a s c e r t a i n i n g , verifying and 10 r e c o r d i n g p a r t i c u l a r s of t r a n s f e r r e d i n t e r e s t s a n d of m a t t e r s r e l e v a n t t o t h e v a l u a t i o n thereof. ( 2 ) T h e C e n t r a l V a l u a t i o n B o a r d shall certify t h e a m o u n t apportioned b y t h e m t o e a c h v a l u a t i o n district, a n d section t h r e e 15 of t h e R u l e s P u b l i c a t i o n A c t , 1 8 9 3 , shall a p p l y t o t h e certificate as it applies t o s t a t u t o r y r u l e s . (3) Compensation units allocated to t h e several districts shall be v a l u e d b y D i s t r i c t V a l u a t i o n B o a r d s , s u b j e c t t o provision to b e m a d e b y r e g u l a t i o n s for r e v i e w of t h e v a l u a t i o n s of t h o s e "Boards b y referees in s u c h cases a n d in a c c o r d a n c e w i t h s u c h provisions as m a y b e p r e s c r i b e d . (5) T h e Minister s h a l l b y r e g u l a t i o n s assign to t h e jurisdiction of e a c h D i s t r i c t V a l u a t i o n B o a r d o n e o r m o r e v a l u a t i o n districts, a n d t h e v a l u a t i o n of all c o m p e n s a t i o n u n i t s a l l o c a t e d t o any s u c h d i s t r i c t shall b e d o n e b y t h e B o a r d t o w h o s e jurisdiction 10 t h a t district is assigned. (6) T h e Minister shall p a y — (a) t o t h e m e m b e r s , a n d to t h e clerks, officers a n d other m e m b e r s of t h e staff, of t h e C e n t r a l V a l u a t i o n Board, of a D i s t r i c t V a l u a t i o n B o a r d , a n d of t h e said panel, 15 a n d t o a c c o u n t a n t s e m p l o y e d for t h e p u r p o s e of deter­ m i n a t i o n s u n d e r s u b s e c t i o n (5) of s e c t i o n eleven of this A c t , s u c h r e m u n e r a t i o n ( w h e t h e r b y w a y of salaries or by w a y of fees), a n d s u c h allowances, as t h e Minister with t h e a p p r o v a l of t h e T r e a s u r y m a y d e t e r m i n e ; a n d 20 (b) s u c h e x p e n s e s i n c u r r e d b y t h e C e n t r a l V a l u a t i o n Board, a D i s t r i c t V a l u a t i o n B o a r d or a referee a p p o i n t e d for t h e p u r p o s e s of t h i s section (including costs awarded b y v i r t u e of p a r a g r a p h (6) of section f o u r t e e n of this Act) a s t h e Minister, w i t h t h e a p p r o v a l of t h e Treasury, 25 m a y determine. Determination 1 3 . — ( 1 ) As soon a s m a y b e after a c o m p e n s a t i o n u n i t h a s been of values for allocated t o a v a l u a t i o n d i s t r i c t , a n d i t h a s b e e n d e t e r m i n e d under compensation section eleven of t h i s A c t w h e t h e r a n d t o w h a t e x t e n t t h e value of purposes. 8 I I e a c h t r a n s f e r r e d i n t e r e s t i n c l u d e d t h e r e i n is a t t r i b u t a b l e t o useful- 301 ness for a c t i v i t i e s r e l e v a n t t o district w a g e s a s c e r t a i n m e n t s , the 1 D i s t r i c t V a l u a t i o n B o a r d for t h e district shall d e t e r m i n e t h e value of t h e u n i t a n d d e t e r m i n e h o w much of t h a t v a l u e is coal industry v a l u e a n d h o w m u c h of it is v a l u e for allied a c t i v i t i e s . (2) F o r t h e p u r p o s e s of t h e D i s t r i c t V a l u a t i o n B o a r d ' s deter- 35 r u i n a t i o n s a n d of a n y r e v i e w thereof b y a referee, p a r t i c u l a r s of t h e t r a n s f e r r e d i n t e r e s t s i n c l u d e d i n t h e c o m p e n s a t i o n u n i t as a s c e r t a i n e d b y t h e Minister s h a l l b e t r a n s m i t t e d t o t h e District V a l u a t i o n B o a r d , a n d those p a r t i c u l a r s shall b e p r e s u m e d con­ . clusively t o b e correct, s u b j e c t o n l y t o a n y provision for rectifi- 41 cation thereof which m a y b e m a d e b y regulations. (3) F o r t h e p u r p o s e s aforesaid t h e v a l u e of a compensation u n i t shall be t a k e n t o b e t h e a m o u n t w h i c h it m i g h t h a v e been e x p e c t e d t o realise if t h i s A c t h a d n o t been p a s s e d a n d it h a d been sold o n , t h e p r i m a r y v e s t i n g d a t e i n t h e . o p e n m a r k e t b y a willing seller t o a willing b u y e r : y A , I ) . 1945., Provided, t h a t , i n t h e case of a u n i t w h i c h i n c l u d e s a t r a n s f e r r e d interest b y r e f e r e n c e t o w h i c h a c a p i t a l o u t l a y r e f u n d is p a y a b l e , 5 the v a l u e of t h e u n i t shall be t a k e n t o b e t h e a m o u n t aforesaid less so m u c h of t h a t a m o u n t as is a t t r i b u t a b l e t o t h e e x p e n s e t h a t is the s u b j e c t of t h e refund. (4) F o r t h e p u r p o s e s aforesaid the. s e p a r a t i o n of t h e v a l u e of a c o m p e n s a t i o n u n i t a s b e t w e e n i t s coal i n d u s t r y v a l u e a n d i t s 10 value for allied a c t i v i t i e s shall b e m a d e b y reference t o t h e determinations of t h e Minister or of t h e a c c o u n t a n t s or a r b i t r a t o r under s u b s e c t i o n (5) of section e l e v e n of t h i s A c t , a n d , if t h e unit i n c l u d e s t w o or m o r e t r a n s f e r r e d i n t e r e s t s , t o t h e e x t e n t to w h i c h t h e v a l u e of t h e u n i t a p p e a r s t o t h e B o a r d t o b e 15 attributable t o t h o s e i n t e r e s t s r e s p e c t i v e l y , (5) F o r t h e p u r p o s e s aforesaid r e g a r d shall b e h a d t o t h e s t a t e of t h e t h i n g s in w h i c h t h e t r a n s f e r r e d i n t e r e s t s i n c l u d e d in a compensation u n i t s u b s i s t e d a t t h e d a t e of t h e v e s t i n g of t h o s e interests b y v i r t u e of t h i s Act, t o all r e l e v a n t facts k n o w n a t t h e itime of t h e d e t e r m i n a t i o n or r e v i e w w h i c h w e r e in e x i s t e n c e a t the t i m e of t h e sale of t h e u n i t t o b e a s s u m e d u n d e r s u b s e c t i o n (3) of this s e c t i o n n o t w i t h s t a n d i n g t h a t a n y of t h e m w o u l d n o t h a v e been k n o w n a t t h a t t i m e , a n d , as r e s p e c t s p r o s p e c t s of u t i l i s a t i o n of things in w h i c h t h e t r a n s f e r r e d i n t e r e s t s s u b s i s t e d , t o c o m p e t i ­ 25 tion from u t i l i s a t i o n of o t h e r t h i n g s , a n d n o a l l o w a n c e shall b e made on a c c o u n t of t h e vesting of t r a n s f e r r e d i n t e r e s t s being compulsory. (6) T h e sale of a c o m p e n s a t i o n u n i t t o b e a s s u m e d u n d e r s u b ­ section (3) of t h i s section shall b e a sale thereof— ) j (a) w i t h all p r o p e r t y a n d r i g h t s w h i c h , b y v i r t u e of regula­ t i o n s m a d e u n d e r section five of t h i s A c t , a r e t o v e s t i n t h e B o a r d w i t h t h e t r a n s f e r r e d i n t e r e s t s i n c l u d e d in the u n i t ; (b) free f r o m a n y c h a r g e or h e n for securing m o n e y money's worth ; or (c) s u b j e c t t o all m a t t e r s s u b j e c t t o w h i c h , b y v i r t u e of r e g u l a t i o n s m a d e as aforesaid, t h e t r a n s f e r r e d i n t e r e s t s included in the unit are t o vest in t h e Board. (7) T h e d e t e r m i n a t i o n s of D i s t r i c t V a l u a t i o n B o a r d s , as m a d e (o by t h e m , or, if a l t e r e d on review, a s so altered, s h a l l be certified by those B o a r d s , t o t h e Minister i n a c c o r d a n c e w i t h r e g u l a t i o n s . 14. Provision m a y be m a d e b y r e g u l a t i o n s g e n e r a l l y for giving R e g u l a t i o n s . effect to t h e p r o v i s i o n s of t h i s A c t a s t o dealing w i t h t r a n s f e r r e d a s to. interests for t h e p u r p o s e of c o m p e n s a t i o n a n d t h e d e t e r m i n a t i o n compensation machinery. of t h e a m o u n t s of c o m p e n s a t i o n t o b e m a d e , a n d t h e r e g u l a t i o n s m a y in particular m a k e p r o v i s i o n ­ (a) as t o t h e p r o c e d u r e for d e t e r m i n i n g a n y q u e s t i o n s of fact or of l a w , a n d as t o e v i d e n c e for t h a t p u r p o s e ; (b) for p r o v i d i n g , w h e r e a d e t e r m i n a t i o n h a s become conclusive for t h e p u r p o s e of c o m p e n s a t i o n , w h e t h e r on a q u e s t i o n e x p r e s s l y r a i s e d or b y v i r t u e of t h e recording of p a r t i c u l a r s or o t h e r w i s e , a g a i n s t t h e s u b s e q u e n t a s s e r t i o n of c l a i m s a d v e r s e t o t h e B o a r d w h i c h are inconsistent with the determination ; (c) for r e g u l a t i n g (otherwise t h a n in r e l a t i o n to a n y court p r o c e e d i n g s for t h e d e t e r m i n a t i o n of questions) any m a t t e r s r e l a t i n g t o t h e p r a c t i c e a n d p r o c e d u r e t o be followed in c o n n e c t i o n w i t h t h e m a k i n g of d e t e r m i n a t i o n s b y D i s t r i c t V a l u a t i o n B o a r d s , r e v i e w s thereof b y 15 referees, o r t h e d e t e r m i n a t i o n of q u e s t i o n s , including provision a s t o p a r t i e s a n d t h e i r r e p r e s e n t a t i o n a n d provision for t h e r i g h t t o a p p e a r a n d b e h e a r d (as well in c o u r t p r o c e e d i n g s as otherwise) of t h e Minister, District V a l u a t i o n B o a r d s , referees, or o t h e r a u t h o r i t i e s , o a n d as t o a w a r d i n g costs, d e t e r m i n i n g t h e a m o u n t thereof a n d t h e e n f o r c e m e n t of a w a r d s thereof ; 2 (d) for t h e use, for t h e p u r p o s e s of a n y p r o c e e d i n g s to which t h e y are p a r t i e s , of t h e official n a m e of a District V a l u a t i o n B o a r d , a n d for e n a b l i n g a n y s u c h proceedings 25 to b e b e g u n or carried on n o t w i t h s t a n d i n g a n y change or v a c a n c y in t h e i r m e m b e r s h i p ; (e) for r e n d e r i n g t h e r i g h t to c o m p e n s a t i o n in r e s p e c t of any compensation unit conditional on due a n d punctual c o m p l i a n c e w i t h provisions of t h e r e g u l a t i o n s ; 30 (/) for t h e m o d e of selection of a referee from t h e p a n e l for t h e p u r p o s e s of a n y p a r t i c u l a r review, a n d for giving effect t o decisions of referees ; (g) for t h e certification t o t h e Minister, a n d notification to persons c o n c e r n e d , of d e t e r m i n a t i o n s of t h e v a l u e s of 35 compensation units : P r o v i d e d t h a t , before m a k i n g r e g u l a t i o n s as t o t h e practice a n d p r o c e d u r e of D i s t r i c t V a l u a t i o n B o a r d s , t h e Minister shall consult the Central Valuation Board. P a y m e n t of 1 5 . — ( 1 ) P r o v i s i o n shall b e m a d e b y regulations for t h e p a y m e n t 40 costs of b y t h e Minister, s u b j e c t t o s u c h c o n d i t i o n s a n d l i m i t a t i o n s as compensation y ^ prescribed, of costs i n c u r r e d in, or in c o n n e c t i o n with, procee ings. ^ t a i n m e n t for c o m p e n s a t i o n p u r p o s e s of p a r t i c u l a r s of t r a n s f e r r e d i n t e r e s t s a n d t h e i r a r r a n g e m e n t in c o m p e n s a t i o n units, m a e e a s c e r allocation of s u c h u n i t s t o c o m p e n s a t i o n d i s t r i c t s , t h e v a l u a n of s u c h u n i t s , a n d t h e c l a i m i n g of c o m p e n s a t i o n a n d t h e isfaction thereof. A.D. 1945. 2) T h e p r o v i s i o n t o b e m a d e u n d e r t h i s section shall i n c l u d e ovision for s e t t l i n g t h e a m o u n t s of t h e costs t o b e p a i d , a n d d e t e r m i n i n g q u e s t i o n s arising i n g i v i n g effect t o t h e regula­ ns. (3) N o t w i t h s t a n d i n g a n y t h i n g in t h i s section, r e g u l a t i o n s m a d e der t h e last p r e c e d i n g section m a y c o n t a i n p r o v i s i o n i m p o s i n g bility for p a y m e n t of costs o n p e r s o n s o t h e r t h a n t h e Minister. (4) P r o v i s i o n m a y b e m a d e b y r e g u l a t i o n s a s t o c o s t s r e m a i n i n g yable t o o r b y a D i s t r i c t V a l u a t i o n B o a r d a t i t s d i s s o l u t i o n . 1 6 . — ( 1 ) W h e n t h e D i s t r i c t V a l u a t i o n B o a r d for a n y v a l u a t i o n strict h a v e s e n t t o t h e Minister certificates s t a t e d b y t h e m t o fver all c o m p e n s a t i o n u n i t s a l l o c a t e d t o t h a t d i s t r i c t in r e s p e c t w h i c h c o m p e n s a t i o n is t o be m a d e a n d w h i c h h a v e a n y al i n d u s t r y v a l u e , t h e Minister shall publish i n o n e or m o r e w s p a p e r s c i r c u l a t i n g in t h e d i s t r i c t a notice t o t h e effect t h a t l e certification for t h a t d i s t r i c t h a s b e e n c o m p l e t e d , a n d t h e l)tice shall specify a place w h e r e t h e certificates r e l a t i n g t o t h e 1 strict sent to h i m before t h e d a t e of the p u b l i c a t i o n of t h e fbtice m a y b e seen a t all r e a s o n a b l e h o u r s b y a n y p e r s o n c l a i m i n g b e c o n c e r n e d . T i m e limit for questioning^ Compensation proceedings, (2) S u b j e c t t o t h e s u b s e q u e n t p r o v i s i o n s of t h i s s e c t i o n , as jom t h e e x p i r a t i o n of six w e e k s from t h e d a t e of p u b l i c a t i o n m e n t i o n e d i n t h e p r e c e d i n g s u b s e c t i o n of t h e notice t h e r e i n entioned as to a n y valuation district,— (a) t h e c o m p e n s a t i o n u n i t s c o v e r e d b y t h e certificates r e l a t i n g t o t h a t d i s t r i c t s e n t t o t h e Minister before t h a t d a t e shall b e d e e m e d for t h e p u r p o s e s of s u b s e c t i o n (5)­ of section n i n e of t h i s A c t t o b e all t h e c o m p e n s a t i o n u n i t s a l l o c a t e d t o t h a t d i s t r i c t in r e s p e c t of w h i c h c o m p e n s a t i o n is t o b e m a d e a n d which h a v e a n y coal industry value ; and (b) t h e a m o u n t s specified in t h o s e certificates r e s p e c t i v e l y shall b e d e e m e d for t h o s e p u r p o s e s to h a v e b e e n p r o p e r l y d e t e r m i n e d a n d certified; lid t h e p r o p r i e t y of satisfaction on t h e basis of t h o s e certificates t h e c o m p e n s a t i o n r e q u i r e d b y v i r t u e of p a r a g r a p h (a) of l e said s u b s e c t i o n (5) t o b e m a d e in respect of c o m p e n s a t i o n p i t s a l l o c a t e d t o t h a t district shall n o t b e q u e s t i o n e d b y p r o ­ b i t i o n or c e r t i o r a r i or in a n y o t h e r legal proceedings w h a t s o e v e r . A . D . 1945. (2) T h e p r o v i s i o n t o b e m a d e u n d e r t h i s section shall i n c l u d e 5 provision for s e t t l i n g t h e a m o u n t s of t h e costs t o b e p a i d , a n d for d e t e r m i n i n g q u e s t i o n s arising i n giving effect t o t h e r e g u l a ­ tions. (3) N o t w i t h s t a n d i n g a n y t h i n g i n t h i s section, r e g u l a t i o n s m a d e under t h e l a s t p r e c e d i n g section m a y c o n t a i n provision i m p o s i n g 10 liability for p a y m e n t of costs on p e r s o n s o t h e r t h a n t h e Minister. (4) P r o v i s i o n m a y be m a d e b y r e g u l a t i o n s a s t o costs r e m a i n i n g payable t o or b y a D i s t r i c t V a l u a t i o n B o a r d a t i t s dissolution. 1 6 . — ( 1 ) W h e n t h e D i s t r i c t V a l u a t i o n B o a r d for a n y v a l u a t i o n district h a v e s e n t t o t h e Minister certificates stated, b y t h e m t o 15 cover all c o m p e n s a t i o n u n i t s a l l o c a t e d t o t h a t d i s t r i c t in r e s p e c t of w h i c h c o m p e n s a t i o n is t o b e m a d e a n d w h i c h h a v e a n y coal i n d u s t r y v a l u e , t h e Minister shall p u b l i s h in one or m o r e newspapers c i r c u l a t i n g i n t h e d i s t r i c t a n o t i c e t o t h e effect t h a t the certification for t h a t d i s t r i c t h a s b e e n c o m p l e t e d , a n d t h e 20 notice shall specify a p l a c e w h e r e t h e certificates r e l a t i n g t o t h e district s e n t t o h i m before t h e d a t e of t h e p u b l i c a t i o n of t h e notice m a y b e seen a t all r e a s o n a b l e h o u r s b y a n y p e r s o n c l a i m i n g to be c o n c e r n e d . (2) S u b j e c t t o t h e s u b s e q u e n t provisions of t h i s section, as 25 from t h e e x p i r a t i o n of six w e e k s from t h e d a t e of p u b l i c a t i o n as m e n t i o n e d i n t h e p r e c e d i n g s u b s e c t i o n of t h e n o t i c e t h e r e i n mentioned a s t o a n y v a l u a t i o n d i s t r i c t , — (a) t h e c o m p e n s a t i o n u n i t s c o v e r e d b y t h e certificates r e l a t i n g t o t h a t district s e n t t o t h e Minister before t h a t 30 d a t e shall b e d e e m e d for t h e p u r p o s e s of s u b s e c t i o n (5) of section n i n e of t h i s A c t t o b e all t h e c o m p e n s a t i o n u n i t s a l l o c a t e d t o t h a t d i s t r i c t in r e s p e c t of w h i c h c o m p e n s a t i o n is t o b e m a d e a n d w h i c h h a v e a n y coal ' industry value ; a n d 35 (b) t h e a m o u n t s specified in t h o s e certificates r e s p e c t i v e l y shall b e d e e m e d for t h o s e p u r p o s e s t o h a v e b e e n p r o p e r l y determined a n d certified; and t h e p r o p r i e t y of satisfaction on t h e b a s i s of t h o s e certificates of the c o m p e n s a t i o n r e q u i r e d b y v i r t u e of p a r a g r a p h (a) of 40 the said s u b s e c t i o n (5) t o b e m a d e in r e s p e c t of c o m p e n s a t i o n units a l l o c a t e d t o t h a t d i s t r i c t shall n o t b e q u e s t i o n e d b y p r o ­ hibition or c e r t i o r a r i or i n a n y o t h e r legal proceedings w h a t s o e v e r . ( 4 ) N o legal p r o c e e d i n g s shall be taken t o r e m e d y any alleged n o n - c o m p l i a n c e w i t h a n y r e q u i r e m e n t of this Act, or of r e g u l a t i o n s made thereunder— (a) a s t o the inclusion of a t r a n s f e r r e d interest in some 25 c o m p e n s a t i o n unit, or (6) a s t o a l l o c a t i n g a c o m p e n s a t i o n unit t o some v a l u a t i o n district, unless t h e p r o c e e d i n g s are c o m m e n c e d before such date as m a y b e p r e s c r i b e d in t h a t behalf for t h e p u r p o s e of enabling t h e 30 d e t e r m i n a t i o n of all t h e c o m p e n s a t i o n u n i t s h a v i n g a v a l u e for colliery a c t i v i t i e s w h i c h o u g h t t o b e allocated t o a n y c o m p e n s a ­ tion d i s t r i c t t o b e c o m p l e t e d in time to p r e v e n t a n y d e l a y i n c o m p l e t i n g t h e certification of the v a l u e s of such units for t h a t district. 35 Financial Provisions [To be re-written\. A . D . 1945. ISTSCH. and " farming stock " a n d " o t h e r agricultural a s s e t s " have the meanings assigned.to.those expressions respectively by t h e Agricultural Credits Act, 1928 ; " f i x e d p r o p e r t y " means all buildings, works, fixtures, and fixed machinery and plant, and t h e sites thereof ; 5 " m a n u f a c t u r e d fuel activities " means manufacturing and rendering saleable a n y manufactured fuel (including . carbonised briquettes and ovoids) of which coal or coke is the, principal c o n s t i t u e n t ; " m i n e of c o a l " means a space occupied, by unworked coal or 10 excavated underground for t h e purposes of colliery activities, and includes a coal quarry and opencast workings of coal; " m o v a b l e p r o p e r t y " means all movable machinery and plant, wagons and other vehicles, engines, tractors, vessels (other t h a n sea-going vessels) animals, and other movable equip-15 ment of a n y kind ; " o p t i o n notice d a t e " means t h e date of service of a notice excercising a n option under subsection (2) or (3) of' section five of this Act ; " s i t e " includes, in relation to a n y fixed property, in addition 20 to t h e land on which it stands at ground level, so much of the subsoil a n d of the space above t h a t land as the Board m a y reasonably require to use for the purposes of a n y of their functions ; " subsidiary " means, in relation to a colliery concern, a company 25 not less t h a n ninety per cent, of t h e issued share capital of which is in t h e beneficial ownership of t h a t concern, and, where a subsidiary (within the foregoing definition) of a colliery concern is the beneficial owner of a n y shares of another company, those,shares shall be treated for the purposes of 30 the foregoing definition as if t h e y were in t h e beneficial ownership of t h a t concern ; " class A subsidiary " means, in relation to a colliery concern, a subsidiary thereof whose business includes coal carbonisation and distillation activities allied with colliery activities or includes manufactured fuel 35 activities ; a n d " class B subsidiary " means, in relation to a colliery concern, a subsidiary thereof n o t being a class A subsidiary. ; SECOND SCHEDULE. TRANSFER OF RIGHTS AND LIABILITIES UNDER CONTRACTS. 40 1. This Schedule applies to contracts which provide for a n y of the following matters, t h a t is to say— (a) for— (i) t h e rendering of personal services, (ii) the doing of work, or the rendering of a n y services 45 other t h a n personal services, or (iii) t h e sale or supply, or letting on hire or hire purchase, of goods or utilities, or the chartering of a vessel, to or for a colliery concern or a class A subsidiary thereof, for t h e purposes of colliery production, electricity, transport, sales, or welfare activities ; (b) for the sale or supply b y a colliery concern or a class A subsidiary thereof of products of colliery production or elec­ tricity activities. For the purposes of this paragraph there shall be t r e a t e d as colliery jio production activities any activities t h a t are to be so t r e a t e d b y virtue of paragraph i o of t h e First Schedule t o this Act, and there shall be treated as a colliery concern a company or other person having an interest t h a t vests in the Board by virtue of the exercise of an option in property used or owned for purposes to which the contract relates $0 2. This Schedule applies also to contracts— (a) which provide for the doing of a n y such thing as is mentioned in head (i), (ii) or (iii) of sub-paragraph (a) of the preceding paragraph t o or for a colliery concern or a class A or class B subsidiary thereof having an interest in dwelling-houses, or in other land, t h a t vests in the Board by virtue of t h e exercise of an option, for the purposes for which t h a t interest is owned ; or (b) which provide for the doing of a n y such thing as is mentioned in head (i), (ii) or (iii) of sub-paragraph (a) of the preceding paragraph to or for a colliery concern having an interest in a farm t h a t vests in the Board b y virtue of t h e exercise of an option, for the purposes of t h e farm, or which provide for the sale or supply by such a concern of produce of the farm. 3. A contract t o which this Schedule applies shall, subject to the provisions of section six of this Act, have effect in favour of and against the Board, so far as regards the carrying out of the provision made by the contract for the m a t t e r specified in paragraph 1 or 2 of . this Schedule on or after the primary vesting date (or, where the appli­ cation of this Schedule to the contract depends upon the exercise of an option, on or after the relevant option notice date), and so far as regards the execution of the consideration t o be given under the contract to the extent t o which it is attributable to t h e provision aforesaid a n d is due under the contract to be executed on or after the date aforesaid, as if the Board h a d been a p a r t y to t h e contract instead of t h e person [to whom t h e services were to be rendered, for whom the work was to [be done, to whom the goods or utilities were to be sold or supplied, [or by whom the products or produce were or was to be sold or supplied, 40 l p the case may be. 45 4. Provision shall be made by regulations, as to cases in which a [[contract to which this Schedule applies makes provision b o t h for the natter specified in paragraph 1 or 2 of this Schedule a n d for m a t t e r not therein specified, for the substitution, where reasonably requisite, lf that contract of separate contracts providing for those matters [[respectively, and the regulations shall provide for determining b y o r A.D.-1945. 2ND SCH. —cont, A.D. 1 9 4 5 . 2nd Sch. arbitration under this Act whether such substitution is reasonably requisite, and, where it is, for t h e settlement of t h e terms of the separate contracts b y arbitration under this Act. —cont. 5. For t h e purposes of this Schedule, obligations of an employer under t h e reinstatement in Civil Employment Act, 1944, shall be 5 treated as if they h a d arisen under provision made b y a contract for the rendering of personal services. THIRD SCHEDULE. TRIBUNAL FOR DETERMINING AGGREGATE VALUE FOR PURPOSES OF COMPENSATION, AND TERMS OF REFERENCE OF THE TRIBUNAL. 10 PART I. Constitution of the Tribunal. The tribunal referred to in subsection (3) of section nine of this Act shall consist of two judges of the Supreme Court nominated by the Lord Chancellor, and an accountant nominated by the President 15 of the Institute of Chartered Accountants in England and Wales. I n the event of a member of the tribunal dying, or becoming unable to act, provision for the substitution of a member in his place, and for the m a n n e r in which the tribunal is t o proceed, shall be made by an order m a d e by the Minister a n d approved b y -a resolution of each 20 House of Parliament. PART II. Terms of F O U R T H Reference. SCHEDULE. PROVISIONS AS TO SCHEMES UNDER PART I OF THE COAL MINES ACT, 1930. Vesting of Interests and 2 5 Compensation. 1. On the primary vesting date there shall vest in the Board, by virtue of this paragraph a n d without further assurance, the interests of the bodies administering schemes under P a r t I of the Coal Mines Act, 1930, in property of whatsoever kind, other t h a n interests of 3 bodies administering central selling schemes in cash, book-debts or other liquid assets. 0 2. Compensation shall not be made in respect of interests vested as aforesaid, other t h a n interests of. bodies administering central selling schemes. A . D . 1945. 4 t h SCH. —cont. 3. The compensation to be m a d e in respect of t h e interests vested 5 as aforesaid of a body administering a central selling scheme shah be of an amount settled, in default of agreement between t h e Minister and [that body] [the trustees for t h a t body], by arbitration under this Act, shall be payable out of moneys provided b y Parliament t o [that body] [those trustees], and, when paid shall be dealt with as if 10 it h a d been money received b y t h a t body in respect of sales of coal. 15 20 Winding-up, etc. 4 . On t h e primary vesting d a t e — (a) t h e bodies administering the said schemes, other than t h e central selling schemes, shall be dissolved a n d those schemes shall cease to have effect; a n d (b) so much of any central selling scheme as prohibits the supply of coal b y the owner of a mine otherwise t h a n to, or to t h e order of, the body administering the scheme shall cease t o have effect; 5. On t h e primary vesting d a t e P a r t I of the Coal Mines Act, 1930, shall cease to have effect, b u t , subject to the provisions of the n e x t succeeding paragraph, the central selling schemes shall, for t h e purpose of winding-up the affairs of the bodies administering them, have effect b y virtue of this p a r a g r a p h . 25 6. The Minister m a y by regulations provide— (a) for winding-up the affairs of, and dissolving, the b o d y administering a central selling scheme ; (b) for amending or revoking any such scheme so far as it appears t o the Minister requisite or expedient so to do in consequence 30 of the passing of this Act or for the purposes of t h e winding­ u p of the affairs of the body administering the scheme or in consequence thereof ; and, without prejudice to t h e generality of sub-paragraph (a) of this paragraph, a n y such regulations m a y provide for t h e winding-up t o 35 be in accordance either with the provisions in t h a t behalf contained in the scheme or with provisions substituted for those provisions b y the regulation. Interpretation. 7. In this Schedule t h e expression " central selling scheme " means 40 a scheme which prohibits (subject to exceptions specified in t h e scheme) t h e supply of coal b y t h e owner of a mine otherwise to or t o the order of the body administering the scheme.
