Partner shall return a signed copy document of this Purchase Order to SAP which represents a binding contract
between Partner and SAP. This Quote shall be valid for four (4) weeks after download by Partner.
Pricing: Details of the SAP HANA Cloud Platform resources ordered by Partner are set out in the then current and applicable
pricing information made available in the table below. Partner shall be responsible towards SAP for fulfillment of the partner
obligations described in the Platform Application Development Cooperation Agreement.

SAP will invoice Partner for the selected SAP HANA Cloud Portal resources and any expenses related to such
SAP HANA Cloud Portal resources as outlined in the Platform Application Development Cooperation Agreement.
1. Purchase Order Term: Either party may terminate this Purchase Order for just cause as outlined in the
Platform Application Development Cooperation Agreement.
2. Miscellaneous: This Purchase Order supersedes any prior Purchase Order not duly executed in accordance
with the stipulations of Platform Application Development Cooperation Agreement and dealing with the subject
matter hereof.
2.1 Except as specifically set forth in this Order Form, the terms and conditions of the Platform Application
Development Cooperation Agreement between SAP and Partner shall apply.
2.2 All components are integral to this Agreement, collectively form a single agreement and collectively are
referred to herein as the “Agreement”. It includes:
(1) Main Agreement
(2) Definitions Schedule
(3) Commercial Terms and GTC Schedule
(4) Complementary Benefits Schedule (Exhibits B – 1, B – 2 and B – 3)
(5) Development License Terms Schedule (Exhibits A – 1, A – 1a and A – 1b), only applicable if and
when Partner subscribes to an Innovation Pack which contains Software, i.e. excluding SAP HANA
Cloud Platform and SAP Business One
(6) SAP Enterprise Support Schedule, only applicable if and when Partner subscribes to an Innovation
Pack which contains Software, i.e. excluding SAP HANA Cloud Platform and SAP Business One
(7) SAP Business One Schedule (Exhibit F – 1, F – 1a, F – 1b, and F – 1c), only applicable if and when
Partner subscribes to the Innovation Pack for SAP Business One
(8) SAP HANA Cloud Platform Innovation Pack Schedule, only applicable if and when Partner
subscribes to the Innovation Pack for SAP HANA Cloud Platform, exclusively addressing any kind of
development activities related to the SAP HANA Cloud Platform and the SDK and SAP HANA Tools
for Java delivered with it
(9) Runtime License Schedule (the Exhibits C – 1, C – 2, and C – 3), only applicable if and when Partner
registers a Packaged Platform Application for Runtime License distribution
(10) Embedded License Schedule (Exhibits E – 1, E – 2, and E – 3), only applicable if and when Partner
registers a Packaged Platform Application for Embedded License distribution
(11) Distributable Components Schedule (Exhibits G – 1), only applicable if and when Partner wants to
distribute certain SAP proprietary software program components (the “Distributable Components”) as
defined in the Distributable Components Schedule
(12) any additional Schedules, Exhibits, and/or components SAP may make available to Partner under
this Agreement
Partner acknowledges it has had the opportunity to review the Agreement prior to executing the
Agreement.
2.3
All Schedules named in or referred to in this section and made available at
www.sap.com/company/legal/index.epx are applicable as of the most recent subscription, order, or
registration date of any Order Form or Application Registration Form unless otherwise noted in section 2.2
(please select “Western Europe Agreements”).
SAP’s Software Use Rights is also to be found at www.sap.com/company/legal/index.epx (please select
“Software Use Rights Agreements”).
2.4
SAP reserves the right to change, add, or remove Schedules and/or its terms, or fees, or elements of each
Innovation Pack, the SAP Platform Partner Base Service, and the SAP Store Participation. SAP
communicates such changes to Partner with at least ninety (90) days prior notice, unless a change does
not materially diminish SAP’s offering to Partner hereunder. Such changes are not effective retroactively
and only apply as of the effective date which SAP specifies in the notice. Partner acknowledges its
agreement to have these changes apply by either (i) requesting the change if such change request is made
available by SAP in its sole discretion (ii) placing new orders or registrations, or (iii) failing to request within
the ninety (90) days’ notice period that the change effective date shall be deferred until the start of the new
renewal period. Renewal of this Agreement shall be subject to SAP's then applicable and communicated
terms and fees in effect at such time. Upon renewal, each Party may terminate the Agreement by giving the
other Party three (3) months prior written notice to the end of the Initial Term or any Renewal Term.

3. Payment and reporting details
All payment or reporting notices required or permitted under this Agreement should be addressed to the contact
and location outlined below. If the information below changes during the term of the Agreement, the Party will notify
the other Party in writing:
