Organization Constitution
I. Name
Section 1 - The name of this organization shall be International Business Association
II. Mission
Section 1 - The primary mission of the IBA is to provide students interested in international business and
related topics with the opportunity to meet and work together in planning, organizing, and directing a
variety of co- and extra-curricular activities such as inviting guest speakers, organizing field trips and
participating in community service activities.
III. Affiliations
Section 1 - IBA is a student club affiliated with the School of Business and also recognized by the Ithaca
College Center for Student Leadership & Involvement
IV. Governance
Section 1 - The IBA is directed by an Executive Committee that consists of a president and vice presidents
of programming, communications, administration, and finance. The Executive Committee carries out its
responsibilities under the guidance of a faculty advisor, who should be present in all meetings of the
Executive Committee. In the absence of the president, the vice president for programming will assume
his/her responsibilities temporarily, unless/until a new president is elected or the current president resumes
his/her duties.
V. Membership
Section 1 - Ithaca College students must comprise at least 51% of the student organization’s membership.
Section 2 – Any person who is an Ithaca College student in good academic (i.e. cumulative GPA >2.5) and
judicial standings is eligible for membership.
Section 3 - Non-Discrimination Clause
Membership in this organization is open to all meeting the above criteria, irrespective of race, creed, color,
sex, class, age, nation of origin, nationality, gender identity or expression, disability, marital status,
religion, military status, or sexual orientation.
VI. Officers of the Executive Board
Section 1 – The officers of this organization shall be:
A. President
 Assume the leading role in setting directions for IBA’s activities, together with other Officers
and accept ultimate responsibility for all IBA’s sponsored activities
 Develop agenda for Executive Committee and general organizational meetings
 Serve as the chairperson at the “Executive Committee” and organizational meetings
 Represent IBA in all communications with the internal (Ithaca College) and external (outside
of IC) bodies.
 Maintain regular communication with IBA’s faculty advisor and other Officers
B. Vice President of Communications
 Take the leading role in planning & execution of all promotional strategies related to the IBA
and its activities
 Promote activities of IBA to the internal (Ithaca College) and external (outside of IC) bodies
 Develop programs, in cooperation with other Officers, to increase IBA’s membership
 Prepare and distribute flyers, send e-mail, and utilize appropriate means to create/promote
publicity about IBA and its activities
C. Vice President of Programming
 Play the leading role in planning and execution of the activities of IBA
 Work with the faculty advisor to contact and secure speakers
 Arrange for logistical needs related to IBA’s activities such as reserving rooms, arranging
transportation for field trips, etc.
D. Vice President of Finance




Manage the finances of the IBA
Prepare annual budget
Maintain written record of the IBA’s expenses
Authorize, together with IBA’s faculty advisor, all expenditure related to IBA’s sponsored
functions
 Plan and organize fund-raising activities
 Attend the Student Government Association (SGA) budget allocation meetings, the annual
SGA treasurer meeting and obtain additional funding from SGA, when necessary
E. Vice President of Administration
 Prepare minutes of all IBA’s Executive Committee and organizational meetings’
discussions
 Prepare and submit the renewal form for organization recognition required by the Office
of Center for Student Leadership & Involvement
 Prepare IBA’s newsletter, in cooperation with other Officers
Section 2 – Members must be an Ithaca College student, associated with the organization for one year or
more and exhibit commitment to the organization to be eligible to run for election for any office.
Section 3 – Held position of any office shall endure as long as the officer is a student at Ithaca College. If
an officer voluntarily resigns or is disqualified from their position, elections will be held two weeks after
the position opens.
Section 4 – Disqualification of an Officer will occur if any of the following happens to be the case:
 Absence from either three Executive Committee Members or general organizational meeting
without valid excuse and prior notification.
 Placement on academic probation
 Failure to perform Officers’ duties specified in Article V. In such cases, the Executive
Committee will call for an emergency organizational meeting to elect new Officer(s). A 2/3
vote by the Executive Committee is needed for removal of disqualified officer (s)
VII. Elections
Section 1 - Any member who is an Ithaca College student in good academic (i.e. cumulative GPA >2.5)
and judicial standings is eligible for office.
Section 2 - Elections will be held in April of each school year. Interested students, who are running for
officers’ positions should submit a letter of interest to the Executive Committee, who will review the
applications and interview the candidates. Nominations for elected office may either be done by another
IBA member or by self-nomination.
Section 3 - All IBA members attending the meeting may vote by written ballot. A simple majority (51%)
will determine the winners. In the event that no candidate wins, the executive board will reconvene after
the election for a final decision.
VIII. Meetings
Section 1 -The Executive Committee meets at least once a month. Each vice-president is expected to meet
with his/her subcommittee prior to the Executive Committee meeting and brief other Officers about the
sub-committee’s discussions at the monthly meeting of the Executive Committee. In addition, throughout
each semester, a minimum of three general organizational meeting will be held. Through such meetings,
the Executive Committee strives to solicit input from students, plan activities, and get interested members
involved in various sub-committees.
Section 2 - In addition to the responsibilities outlined in Article V, Officers are expected to attend all
“Executive Committee” and general organizational meetings. Officers are expected to carry out their
responsibilities diligently and assist each other in achieving the goals/plans of the IBA.
IX. Advisers
Section 1 - There shall be at least one Ithaca College faculty or staff advisor who shall serve as an advisor
to the organization.
Section 2 - Advisor will be approached and asked if the position interests him/her and according if he/she
accepts, the position is given.
Section 3 – The organization advisor shall serve as a consultant and a resource to all members. Assist in
the development of a vision and mission statement for the organization and help the group shape its shortterm and long-term goals. Encourage and assist the members in making programs purposeful and
meaningful for their target audience through organized planning, facilitating, and evaluating their
programs. Assist in educating the members about group dynamics, different learning and leadership styles,
organizational structure, diversity, programming, assessment, and collaboration. Teach members goal
setting and team building strategies. Provide stability and consistency during student leadership transitions.
Act as a role model of positive, constructive citizenship. Attend organization meetings, as deemed
appropriate by the advisor and the student organization.
X. Constitutional Amendments
Section 1 - Amendments to any articles in this constitution may be proposed by any member of the
Executive Committee. For the amendments to be approved, a 2/3 vote will be required. Any amendment
proposed should be submitted in written form, with rationale clearly documented, and will be voted on in
the next Executive Committee meeting.
