Advanced Corporate Law and Securities Law

This short learning programme aims to provide legal and accounting practitioners, auditors, company
secretaries, and others with an advanced knowledge of the legal principles and applicable legislation in specific
areas of corporate law and securities law, with particular emphasis on the new Companies Act.
These topics will be covered intensively:
 Corporate Law reform
 Fundamental transactions, affected transactions and offers
 Market abuse
 Share capital rules and corporate finance
 Business rescue proceedings and compromises under the Companies Act 2008
 Corporate governance, with specific emphasis on the codified duties and liabilities of company directors
in the Companies Act 2008, as well as the company secretary, other officers, auditors, and the King
Reports
 Specific remedies available to shareholders and others in terms of the Companies Act 2008
Applicants should have a Bachelor=s degree, or substantial relevant practical experience in a legal or related
environment (such as practitioners in corporate law).
This programme lasts nine months. On successful completion, learners will receive a Certificate in Advanced
Corporate Law and Securities Law. Study level skill 8, Credits 24.
Registration closes on 11 April. Late registrations will be accepted until 30 April.
Tuition fee: R6000 payable in full on registration.
It covers all tutorial matter, and a one-day seminar presented by specialist commercial legal
practitioners.

“Please keep in mind that this is an advanced course and on post-graduate level. The minimum requirement
for admission is a Bachelor’s degree. If an applicant has an LLB degree, or is a qualified accountant or
auditor, they will automatically be allowed to register. For any other degree, such as for example a BCom,
the applicant has to prove that he/she passed a subject that dealt with company law, such as Commercial
Law 2 at Unisa, or Entrepreneurial Law as many Universities call it. Applicants who have a degree but did
not pass such a subject, as well as applicants without a degree, will only be allowed under very special
circumstances and all these applications must be referred to Prof Loubser for vetting. In these cases, the
applicant will have to provide evidence of substantial working experience and knowledge of company
law, such as employment as a company secretary or compliance officer for a company, or working at the
CIPC or a similar organisation. Since it has been our experience that candidates without academic
qualifications where company law was included find it very difficult to cope, each case will be decided on its
own facts and circumstances but the requirements will be very strict.”
Pension Funds Law

This programme aims to provide an advanced knowledge of the legal principles relating to pension funds, and to
update participants on South African pension funds law developments. It is directed at legal advisers, trade
union officials, government officials, trustees, and legal practitioners specializing in this field.
These topics will be covered in detail:

Corporate Governance
CICG01E
Corporate scandals such as Enron, WorldCom and in South Africa, Regal Bank and Leisurenet, set against
the milieu of the release of the King III Report on Corporate Governance in March 2010, has focused world
attention on corporate governance, emphasising its critical role in business sustainability and economic
growth.
Companies today face the challenges of not only economic survival, of implementing appropriate control
measures, managing business risk and planning for long-term sustainability, all elements of corporate
governance, but also challenges such as dealing with HIV-Aids, BEE, Ethics, African values, environmental
and social responsibility and sustainability, all elements of corporate citizenship. Intra-African trade is also
increasing and thus the South African manager not only needs a sound knowledge of corporate governance
practices and issues in South Africa, but also an overview of corporate governance practices in other
African countries as well as internationally.
What does this course offer?
The purpose of the learning is to equip learners with the competencies (knowledge, value and skills) to
interpret the importance of corporate governance in the contemporary business environment and in Africa.
Qualifying learners will be able to contribute to business and society through an increased awareness of the
importance of corporate governance, its link to corporate citizenship and its role in responsible business
practices that lead to environmental, economical and social sustainability that would benefit society in
general.

Who should register?
This course is aimed at managers and company secretaries who need exposure to corporate governance
and corporate citizenship.
Admission requirements
Learners must:
• be in possession of a NQF level 4 certificate or equivalent and
• have at least three years working experience.
What does it focus on?
Content of the syllabus:
• Introduction to corporate governance and corporate citizenship in South Africa and Africa
• Corporate governance and corporate citizenship in relation to specific issues in South Africa and Africa
• Corporate governance challenges of the 21 century
• The legal and regulatory environment affecting corporate governance in South Africa and Africa
• The framework of accountability in companies and other organisations in South Africa and Africa
• Sustainability and the triple bottom line
• Sustainability and triple bottom line reporting in South Africa and Africa
• King III is also discussed in detail as well as the relevant corporate governance provisions in the new
Companies Act 71 of 2008. Board meetings, shareholders’ meetings and the role of directors are focused
on.
Formal tuition
The duration of this programme is 6 months.
Assessment will be done by means of assignments completed during the course and a formal two-hour
examination at the end of the 6 month period.
On successful completion students will receive a certificate from UNISA.

are allowed to be submitted via emails. You will need to claim and log into your myLife email account FIRST before you
can activate your myUnisa account. To do this, please go to the myUnisa homepage (https://my.unisa.ac.za/portal) and
click on the “Claim myLife email” link which is on the left hand side of the screen. Fill out all the relevant information that
is required. Once all steps are completed a screen will appear with your myLife user ID and password. A sms will also
be sent to the cell phone number you entered. WRITE THIS INFORMATION DOWN.
