INITIAL RETURN / NOTICE OF CHANGE

MAKING CHANGES TO CORPORATE INFORMATION

An Ontario business or not-for-profit corporation must file a Form 1, Initial Return/Notice of

Change under the Corporations Information Act to report any change to the following corporate information contained on the Companies and Personal Property Security Branch Public Record:

Registered or head office address

Mailing address

Language of preference

Director/officer information (e.g. address for service, date elected/appointed, date ceased to hold office, officer title, etc.)

COMPANIES AND PERSONAL PROPERTY SECURITY BRANCH REQUIREMENTS

Form 1, Initial Return/Notice of Change

All Ontario business and not-for-profit corporations are required to file a Form 1, Initial Return setting out the prescribed information within 60 days after the date of incorporation, amalgamation or continuation into Ontario of the corporation (S. 2(1) & (2) of the Corporations

Information Act ).

After filing a Form 1, Initial Return, business and not-for-profit corporations are required to file a

Form 1, Notice of Change for any change in the information previously filed within 15 days after any change takes place (e.g., when a corporation changes its address or any information concerning its directors or officers, S.4 (1) of the Corporations Information Act ).

FEE

There is no Ministry fee to file an Initial Return/Notice of Change.

The Form 1, Initial Return/Notice of Change is available on the ServiceOntario website at www.ServiceOntario.ca.

Forms may also be picked up at the Companies and Personal Property Security Branch Public

Office at the above address.

COMPLETING THE FORM 1, INITIAL RETURN/NOTICE OF CHANGE

To help clients complete the Form 1, Initial Return/Notice of Change correctly, the Branch has created an information sheet entitled “Checklist for Completing Form 1, Initial Return/Notice of

Change, under the Corporations Information Act . “

Clients may obtain the information sheet from the ServiceOntario website at www.ServiceOntario.ca.

The completed forms can be dropped off or mailed to the above address. Due to the large number of filings it takes several weeks until the updated information is recorded on the public record. Clients should wait 25 business days if they wish to order a Corporation Profile Report with the updated information.

ELECTRONIC FILING OF FORM 1, INITIAL RETURN/NOTICE OF CHANGE

Clients who wish to have the corporation’s updated information reflected on the Public Record immediately may file the Initial Return/Notice of Change electronically through Service Providers under contract with the Ministry of Government and Consumer Services.

Clients may order an electronic data extraction report (data extract) to facilitate the electronic filing process. The data extract allows clients to review existing corporate information on the

Public Record, temporarily store and edit this information, prior to filing the changes electronically.

Registered or Head Office Address

Whenever a business or not-for-profit corporation changes its registered/head office address, a

Form 1, Notice of Change, under the Corporations Information Act must be completed and filed with the Companies and Personal Property Security Branch within 15 days after the change takes place (S. 4(1) of the Corporations Information Act ).

Directors

An Initial Return listing the names of all the directors of the corporation, their address for service and date they were elected/appointed or ceased to be a director, must be filed within 60 days from the date of incorporation, amalgamation or continuation into Ontario. If any of the information changes a Notice of Change must be filed setting out all the current information within 15 days after the change takes place.

Corporations are no longer required to file a copy of a resolution or special resolution concerning changes to director or officer information or the registered/head office address.

However, this information must be kept at the registered or head office of the corporation.

Officers

Only the five most senior officer positions must be recorded on the Initial Return/Notice of

Change. If one individual is both the president and secretary of the corporation it counts as two positions (i.e. 2 separate officer positions must be reported on the form). If the information concerning the five most senior officers changes, a Notice of Change must be filed within 15 days after the change. Information concerning any officers other than the five most senior officers reported on the form must be kept at the registered/head office address.
