issues and fundamental principles surrounding software licensing. Topics covered will include: the nature of intellectual property rights
in and to software; key provisions of licensing agreements, including the grant of rights clause, representations and warranties of the
parties, IP indemnities and limitations of liability, audit rights, term of the agreement and termination rights; and frequently encountered
related issues, such as ownership of custom software, escrow agreements, open source and alternative software delivery models.
