I, ANA MARIA B. FRESNIDO, of legal age, Filipino, with business
address at Rm. 301, The National Library Building, T.M. Kalaw St.,
Ermita, 1000 Manila, Philippines after having sworn in accordance with
law do hereby certify;
That I am the duly elected and incumbent Secretary of the Philippine
Association of Academic/Research Libraries (PAARL) for 2005, a
corporation organized and existing under an in accordance with the law of
the Republic of the Philippines, with principal office and palce of business
at the above-stated address.
That as such Secretary, I am a custodian of the corporate records of the
Philippine Association of Academic/Research Libraries (PAARL)
including the minutes of the meetings of the Board of Directors.
That at the meeting of the Board of Directors held at its principal place of
business at Rm. 301, The National Library Building, T.M. Kalaw St.,
Ermita, 1000 Manila, Philippines at which meeting, a quorum was
present and acted throughout, the following resolutions were adopted and
approved.

RESOLVED, that BPI Family Savings Bank, Mabini Pedro Gil Branch,
be as it is hereby designated as the bank which the funds of the corporation
shall be deposited. Accordingly, the corporation may open any type of
deposit account or accounts with the said bank such as, but not limited to
Current, Savings, Time deposit account and whether the same be a Peso
deposit account, or any other form of currency, (e.g. US dollar accounts).
RESOLVED, further that any and all withdrawals from the corporation’s
account, including checks, notes, drafts drawn against said bank account or
accounts as well as any other debit instructions of transfer of funds to and
from any of the corporation’s accounts shall bear the signatures of any two
