BYLAWS
ARTICLE 1 – NAME
The name of this organization is BAY AREA ASIAN SPORTS (An acknowledgement to one of the
founding members, the late Matty Won)
ARTICLE 11 – MISSION STATEMENT
The mission of the Bay Area Asian Sports Dragons organization is to help Asian American boys
and girls develop physically, psychologically, and socially through sports and athletics. Through
our basketball program, our goal is to create a safe and healthy environment where our members
can learn to strive for excellence, to accept responsibilities, to accept other people, to accept
themselves, and to accept both praise and constructive criticism. Our organization recognizes that
the success of our program depends heavily on parent participation and that membership in our
organization means that it is not only the individual child who joins our organization, but that
child’s family as well. We believe that parents who have fun with their children all the way until
the children are grown will reap the benefits of the quality time spent together. As an organization,
we will strive to create opportunities for parents and children to interact in positive ways and urge
our parents to wholeheartedly support their children’s athletic endeavors.
ARTICLE III – MEMBERSHIP/STRUCTURE
A.
The membership consists of:
1.
All the parents of team members
2.
All team members of Bay Area Asian Sports
3.
All coaches, assistant coaches, managers, and/or team representatives.
ARTICLE IV – EXECUTIVE BOARD OF DIRECTOR

A.
The Executive Board of Director is Gordon Jong. (Amended 8/12/08)
The Executive Director will have final authority on the creation and application of
policies governing the Bay Area Asian Sports Organization. Any changes to the
bylaws must be approved and signed off by the Executive Director.

B.
The Executive Council consists of three (3) members appointed by the Executive
Director for a term of 2 years. These appointments could be re-appointed after their
2 year term. (Amended 8/12/08)
1.
The Executive Council oversees and provides guidance and recommendations
to the Governing Board and the Building Committee.
a. All recommendations, review and advisory opinions of the Executive
Council are strictly suggestive in nature. The final determination in all
matters shall remain with the Governing Board and Executive Board.
C.
In the absence of the Executive Director, the Governing Board will have the
authority to make decisions and will be reviewed by the Executive Council. (Amended

ARTICLE V-GOVERNING BOARD
A.
The Governing Board shall consist of a chairperson, secretary, treasurer, event coordinator
and organization commissioner. The Boys’ and Girls’ Commissioners will be voting
members on the board. (Amended June 26, 2007)

The Executive or Governing board will honor and support any decisions made by any lower
level committee (tournament, events, summer league, etc.).
C.
The Governing Board has authority for any decisions necessary concerning Bay Area Asian
Sports policies, budget, and its overall planning each year. (i.e., policies relating to coaches,
team formation, team membership, and any other matters concerning Bay Area Asian
Sports.) The exception would be if any member of the Executive and Governing board has
a direct or indirect relationship with the team, coach or member in question (i.e., coach,
team manager or parent of participating member). Their votes will NOT be counted and
majority of remaining board members will rule. (Amended Aug 14, 2007)
D.
An election will be held in May before the end of the season for election of new Governing
Board members. For even years, elections will be held for Secretary, Treasurer and
Commissioner positions and odd years, elections will be held for Chairperson, Event
Coordinator, Boys & Girls Commissioners positions. (Amended Aug 14, 2007) Thereafter, elections will
be held every year to replace the officers whose terms are up or to replace an officer who
has resigned.
1.
The Executive Director will select an Election Committee or Officials to oversee the
election process. The Executive Director, Governing Board members, Executive
Council members and candidates cannot serve on the Election Committee.
2.
Voting membership is defined as BAAS family of a team member, Non- parent
coaches and Board members. Executive Council Advisory members and team players
do not have voting rights.

3.
Each family in the voting field of membership is entitled to one vote for each open
Governing Board position. Families on multiple teams will have only one vote per
open Governing Board position.
4.
The voting field of membership will be documented on a separate database and reviewed
for authenticity and accuracy by Election officials.
5.
Election Committee shall give notice of Election date, disclosure of open Governing
Board positions and invitation of Candidacy declaration no later than ninety (90) days
prior to Election date.
6.
Candidates must declare no later than sixty (60) days prior to the Election date. Each
candidate may submit a statement about themselves limited to 200 words or less.
Editing
or correction of this statement by another party other than the candidate is
not allowed.
7.
Write-in candidacy is allowed. Each write-in vote for a candidate will count as one
vote.
8.
The Election committee will publish the nominations and the candidates’ statement to
BAAS voting membership prior to thirty (30) days of the election.
9.
A ballot through electronic mail will be sent out no later than three (3) weeks prior to
the election date. Those without email will have their ballots mailed to them via US
Mail. The votes may be sent back via Email to the Election committee for tabulation.
The deadline
for receiving electronic voting is four (4) days prior to election date.
10.
Anyone without access to email can vote during Election Day at the voting location.
The voter must vote in person and sign their ballot. Another party cannot deliver walk
in ballots and votes cannot be proxy to another party. Signed votes can be mailed to
BAAS PO Box, receipt of vote is four (4) day prior to election date.
11.
The Election committee will print out each vote. These votes will be secured in a
separate folder for each team. The votes will be counted by an election official and
recounted by another official. Election results certified by all Election committee
members.
12.
The election results will be announced to the organization no later than six (6) days
after the election date.
13.
The candidate with the most votes is the winner. In the case of a tie, the nominations
will be resubmitted for a second vote. This will be mailed within two (2) weeks of the
declaration of the results and the above procedures will be reapplied.
14.
Appeals to the results must be submitted within five (5) days of the announcement of
the final results to the Election committee. Decisions by the Election committee are
final.

E.
If an elected Governing Board member cannot fulfill his/her remaining term, or if an elected
Governing Board member chooses to not serve after being elected, or if for any other reason
a vacancy arises in the office of Governing Board member, it shall be in the Executive
Director’s sole discretion to select a replacement of his choosing to serve out the remaining
term of the departing Governing Board member or alternatively to leave the position vacant
until the position is subject to re-election. (Amended 4/23/09)
F.
Board Members – Recommendations for the Fundraising Coordinator, three Tournament
Coordinators, Summer League Coordinator, and Equipment Coordinator will be on a
voluntary basis. For these positions, they will also be a 2-year term limits but the number of
terms will be based ON the individuals and the Governing Board. In the event there is more
than one volunteer then the board will select the best candidate.
G.
Assistants to the Secretary, Treasurer, Tournament Chair, and Equipment Coordinator
and Website Coordinator – Recommendations for these positions will be on a voluntary
basis. The number of terms will be based on the individuals and the Governing Board.
H.
Tallying of the votes will be submitted by the team manager / representative to the Board at a
specified date.
I.
The Governing Board will issue "Coach and Team Rules and Regulations" as amended from
time to time. It shall be the responsibility of every Coach to have read and to comply with
the rules and regulations which are at the time currently in effect. Failure to adhere to these
requirements shall subject the Coach and individual(s) to sanction by the Governing Board.
ARTICLE VI-BUILDING FUND COMMITTEE
A.
The Building Fund Committee shall consist of individuals working under the direction of the
committee chairperson. Its purpose is to research and to plan for the acquisition of land and
the building of a sports community center for the benefit of the organization and for the
community. In such capacity it shall be allowed to conduct fundraising activities. The
Building Fund Committee shall periodically inform the Governing Board and the Executive
Board of Director of its progress and to seek approval for any of its proposed actions. The
continuation of the committee's existence shall be subject to the discretion of the Executive

POSITION: CHAIRPERSON / GOVERNING BOARD
FUNCTION:
Oversees board affairs and ensures the effective action of the board in governing and supporting the
organization, and represents the board as a whole, rather than as an individual.
DUTIES & RESPONSIBILITIES:

Provides support and delegate assignments as necessary:

Seeks volunteers and establish adhoc committees
6.
Be willing and able to take on projects/assignments and see them through to completion.
7.
Guides and mediates Board actions/decisions to grievance or problem issues as
appropriate.
8.
Participates and oversees BAAS events and fund-raising efforts.
9.
Discusses and reviews any issues of concern with the Executive Directors.
10.
Represents BAAS and act as spokesperson as appropriate.
11.
Review financial reports and participates in the financial planning.

POSITION: SECRETARY, GOVERNING BOARD
FUNCTION:
The Secretary is the recording officer and custodian of records of BAAS. Responsible for preparing
and attending all meetings, records accurate minutes and services as the communicator and
distributor of information for the organization.
DUTIES & RESPONSIBILITIES:
1.
Participates as a voting member of the Governing Board and contributes actively to the
Board’s role:
 Participates in setting overall policy
 Participate in the planning and implementation of new functions
 Be aware of the current programs, policies and services of BAAS
 Understands and demonstrates a commitment to BAAS mission and programs
2.
Maintains all governance, founding documents, business, regulatory and legal
documents of the organization, all meeting minutes and other official records.
3.
Provides any necessary documentation to accountant or government agencies when
requested.
4.
Sends all communications to board members, coaches and managers via email daily.
5.
Serves as communicator and liaison between BAAS organization and other
organizations or the public.
 Provide copies of or email tournaments invitations/applications from other
organizations.
6.
Provides notices of meeting times and places and requests contributions of items for the
agenda.
7.
Attends all meetings and is responsible for ensuring that accurate minutes of meetings
are taken and approved. Signs the final, approved minutes and ensures that this copy is
maintained in the corporate records.


Distributes and circulates monthly Board Minutes
Take Governing Board Minutes and make available to the public when
requested.
7.
Maintains accurate list of contact information of Directors, Governing Board members,
coaches and team managers. Updates and distributes list as necessary.

Updates By-Laws, Rules & Regulations or other documents (including forms).

Provides copies and distributes or updates team manager’s binders, coach’s

Tracks BAAS team standings and trophies and send to Webmaster for website.

Contributes to the fundraising strategy of the organization.

POSITION: TREASURER, GOVERNING BOARD
FUNCTION:
Responsible for the financial functioning of BAAS, accounting of the funds and expenditures of
BAAS and day-to-day financial affairs.
DUTIES & RESPONSIBILITIES:
1.
Participates as a voting member of the Governing Board and contributes actively to the
Board’s role:
 Participates in setting overall policy
 Participate in the planning and implementation of new functions
 Be aware of the current programs, policies and services of BAAS

Keeps accurate financial records for the corporation.
a. Keeps full and accurate accounts of all organizational income, disbursements and
expenditures.
3.
Receives and banks all money due to the organization.
b. Endorse for deposit, notes, checks and drafts received by the organization,
making proper deposit vouchers.
c. Deposit money, drafts and checks in the name of and to the credit of the
organization in the designated bank.
4.
Disburse funds and issue checks in the name of BAAS.
5.
Monitors and maintains bank account:
d. Verifies and balances bank account on a monthly basis.
e. Ensures that the financial resources of BAAS meet its present and future needs
6.
Keeps accurate records of membership.
f. Collects and records membership dues.
g. Maintain records of all membership applications and waivers by team.
h. Invoice membership dues and distribute applications for upcoming season.
i. Collects, records and maintain accurate accounts of all funds received towards
each member’s fundraising balance.
7.
Prepares detailed financial reports:
j. Submits regular fundraising balances of team members to all team managers.
k. Prepare and present financial statements to the Board and team representatives at
regular intervals

Informs the Board about its financial duties and responsibilities.
l. Regularly reports to the Board on key financial events, concerns and trends.
m. Participates in the financial planning of the organization.

Ensures that appropriate accounting procedures and controls are in place.

Ensures that corporate registrations, federal and state tax forms are filed in a complete
and timely manner each year.

o. Collects and deposits all monies received from tournament participants.
p. Monitor cost of tournament expenditures and disburse funds as needed.
q. Collects and deposits all monies received, disburse funds for expenditures for
summer basketball league.

Collects and deposits all monies received for other fundraising events; i.e.
bowlathon, etc.
13.
Monitors all team tournament allocations as appropriate.
14.
Informs the Organizational Commissioner of delinquent fundraising commitments by
members.
15.
Oversees and collaborates with Equipment Coordinator on the procurement of supplies,
materials and equipment.
16.
Issue and mail acknowledgement of donations received according to federal income tax
rules on an annual basis during the month of January.
17.
Be willing and able to take on projects/assignments.
18.
Represents BAAS and act as spokesperson as needed.

POSITION: EVENT COORDINATOR, GOVERNING BOARD
FUNCTION:
Responsible for organizing and coordinating tournament social, special events and BAAS
fundraising events, picnic and summer league programs for BAAS.
DUTIES & RESPONSIBILITIES:

Bowl-A-thon
 Schedule Bowl-a-thon for first Saturday in November.
 Each players needs to bring in a minimum of $50 in order to bowl
 Parents or siblings can bowl but need to pay for games in advance at check-in.
They also need to rent their own shoes
 Need check-in table at bowl-a-thon to collect pledges and payments for any
additional games
 Bring extra pledges form to event
3.
Annual Tournament
 Order tournament giveways for each team attending tournament (not jamboree)
Cost should not be more than $2.
 Package giveaways together for each tournament division and put name of team
on bag.
 Order champagne glasses for each senior team player attending tournament.
Filled each glass with bag of gummy bears tied with red, black & white ribbon.
Ordered glasses from Custom Glassware.
 Order individual trophies for each jamboree player, engraved name on it
 Order trophies for tournament – 1st, 2nd & 3rd place. Contact Laurie at All
American Trophies on Balboa.
 Schedule delivery of trophies to gym sites
 Book Group Rate at Hotels for Visiting teams
 Book DJ for teenager dance
 Print up flyer for social.
 Print up dance tickets to sell at tournament gym locations.

FUNCTION:

 Explain philosophy to new coaches
5.
Assist in startup of all new teams:
 Explain team manager position(s)

POSITION: BOYS/GIRLS COMMISSIONER, GOVERNING BOARD
FUNCTION:
Responsible for addressing, investigating and mediating any individual team, coach and/or member
issues within the framework of BAAS philosophies and/or guidelines. They may or may not use the
Organization Commissioner as an advisor prior to making any decisions.
DUTIES & RESPONSIBILITIES:

Regulations which are currently set in place.


period of time as to keep the organization and it's players moving forward.

Obtain gyms for team practices:
 Assist Organization Commissioner to negotiate, obtain gyms and make payment
of gyms fees for team practices, tournaments, summer league and any other
functions that may require gym times.
5.
Assist with volunteer coaching staff:
 Assist Organization Commissioner with finding and selecting coaches for new or
existing teams
 Assist Organization Commissioner with developing coaches practice/skill and/or
game strategy if needed
6.
Assist in startup of all new teams:
 Explain team manager position(s)
 Explain philosophy of organization – Mission Statement
 Distribute and speak on Coaches Guidelines and By-Laws
 Provide information to prospective parents regarding player & parent
commitments and expectations, financial obligations, participation

Assist Tournament Committee:
