Downside Protection:
The Europe-Tatarstan Clean Tech Fund launched at German-Russian
government meeting 19 July 2011 in Hanover in the presence of German
Chancellor Angela Merkel and then Russian president Dmitry Medvedev
up to a total loss of 40% on any deal which leads to a CAPEX investment in Tatarstan, a non-Tatarstan investor would still
receive at least 100% of its invested capital (assuming 40% share of Tatarstan/SINEK in the Fund).
Additional Upside:
when a deal is exited > cost the non-Tatarstan investors would receive up to a 2x return on their investment;
thereafter Tatarstan receives back its invested capital, thereafter profits are shared pro-rata between LPs;
a further privileged return regime can become effective, whereby non-Tatarstan investors could receive a share in profit up
to 32% larger than their pro-rata share, depending on total investments in Tatarstan.
