Capgem ini and NTT DATA form a Strong Alliance

Paris, 19th July 2005 - Tomokazu Hamaguchi, President and CEO of NTT DATA
Corporation (, headquarters: Toky o, Japan hereaf ter NTT DATA) and Paul Hermelin,
CEO of Cap Gemini S.A. (headquarters: Paris, France hereaf ter Capgemini) today
announced their agreement to f orm a strong alliance that includes NTT DATA acquiring
95% of the shares of Capgemini Japan K.K.(Representativ e Director and Chairman:
Kimihiro Indo, headquarters: Toky o, Japan hereaf ter Capgemini Japan). Capgemini
Japan will operate under a new corporate name and as an independent subsidiary of
NTT DATA.
For NTT DATA, with Capgemini's leading position in Europe and other parts of the
world, it is now f ully capable to of f er prof essional serv ices to the increasing global
demands of its Japanese clients. In the USA and in Europe, NTT DATA will of f er
Capgemini a pref erred (but non exclusiv e) partner status. NTT DATA also aims to
enhance its management consulting ability to its clients utilizing some of the
Capgemini's skills and experience through the newly acquired company .
For Capgemini, this alliance brings many potential benef its. For its many global clients
in the USA and Europe, it giv es them access in Japan to a v ast capability combining
the existing Capgemini Japan's consulting skills with a Japanese leader in sy stems
integration, network integrated serv ices and outsourcing. Capgemini will of f er NTT
DATA a pref erred (but non exclusiv e) partner status whenev er any of its clients require
serv ices in Japan.
More generally , both organizations see great potential to cross utilize each other's
specif ic skills and experience f or the benef it of both companies' clients.
In order to f acilitate this alliance, both groups will f orm an Alliance Council at the
executiv e lev el and an Operational Committee and Capgemini will take a seat on
Capgemini Japan's new Board of Directors.
The transaction is expected to close during the third quarter of Y ear 2005.
