This Agreement sets forth the terms and conditions under which the Client (hereafter referred to as “I”, “me”, or “my”) may from time to time instruct Citibank, N.A. (hereafter referred to as “Citibank”), either by telephone or by a signed instruction captured in a “PDF”, “JPG”, “JPEG”, “TIF”, “PNG” or any other file format acceptable to Citibank
as set forth in the ACCEPTANCE OR REJECTION OF TRANSFER REQUEST section of this Agreement attached to an electronic mail (hereafter referred to as “email”), to
transfer funds from the authorized account number identified on the signatures section below in this Agreement (hereafter referred to as the authorized account) to another
account internally within Citibank or to an external account with another financial institution, all such funds transfers, whether or not initiated by telephone or email, being
referred to herein as “transfers”).
In addition, this Agreement applies to certain transfer requests referred to herein as “Remittance Transfers”. A Remittance Transfer is an electronic transfer of funds initiated
from a consumer account located in the United States primarily for personal, family or household purposes to a designated recipient (hereafter referred to as the “beneficiary”)
located outside the United States. Beginning on October 28, 2013, federal law has provided certain rights in connection with Remittance Transfers. As noted throughout this
Agreement, special rules apply to Remittance Transfers. For each Remittance Transfer that I initiate, Citibank must provide me with disclosures required by federal law at
the time I initiate the transfer. To the extent that the provisions of this Agreement are inconsistent with the disclosures provided to me for a Remittance Transfer, the provisions
of such disclosures shall govern. Certain of those disclosures may be furnished to me by Citibank by telephone, in connection with a Remittance Transfer initiated by me
by telephone. In connection with any Remittance Transfer requested by me by email, disclosures required by federal law may be furnished to me by Citibank electronically, if
I have provided Citibank with consent to such electronic disclosures pursuant to the terms of the E-Sign Act (15 U.S.C. 7001 et seq.); if I have not provided Citibank with such
consent, Citibank may decline to accept from me any and all email requests for Remittance Transfers.
This Agreement replaces and terminates any Telephone Funds Transfer Agreement I may have entered into previously with Citibank. With regard to any transfer for which
I give Citibank instructions by means other than telephone or electronic mail, this Agreement supplements the following ( and the provisions of this Agreement supercede
and amend any conflicting provisions in any of the following): the Citibank, N.A Client Manual-Consumer Accounts; the Marketplace Addendum for Citigold® International;
the Client Manual for Consumer and Non-Commercial Entity Accounts for Citigold® Private Client ; (all three hereafter referred to individually and collectively as “account
disclosures”); the Citibank® Online Banking User Agreement; the Agreement for Online Funds Transfers; and the Agreement for Inter Institution Transfer Service and the
Wire Transfer Authorization and Agreement.
As used in this Agreement, the term “business day” means any day that is not a Saturday, Sunday, or bank holiday in the United States of America.
1. AUTHORITY TO TRANSFER FUNDS – I authorize Citibank to execute and charge
to my authorized account any requests made by telephone or email to transfer
funds, when such requests are given in the name(s) of any authorized signer(s)
designated below and are executed in accordance with the procedures established
by Citibank. For transfers authorized by telephone, a limit of US$200,000 per
business day will apply. For transfers authorized by email, the amount of funds that
can be transferred is limited to the amount of available funds in my authorized
account. Any exception made at Citibank’s discretion to the daily limit will not waive
or absolve any of my responsibilities or liabilities or in any way nullify this
agreement. I understand and acknowledge that Citibank has no obligation to execute
any transfer request that is not initiated in accordance with the procedures
described in this Agreement. This authorization applies to the account identified on
the signatures section below in this Agreement. I further authorize Citibank to charge
my authorized account for any applicable service fees for transfers in accordance
with Citibank’s fee schedule in effect at the time of any transfer request or in
accordance with any disclosures I receive at the time of such transfer request. I
accept and agree that the transfer limits described in this section may be varied by
Citibank, at its discretion and without prior notice, with respect to any transfer
request or requests of mine, based upon relevant risk factors, my personal transaction
activity and/or any departures from my usual transaction activity. I also accept and
agree that Citibank reserves the right to modify its daily transfer limits generally
and will notify me of any such modification within a reasonable period of time.
2. TRANSFER REQUESTS VIA TELEPHONE – I understand that any transfer request
made by me via telephone shall be directed to the Customer Service Center, a service
unit of Citibank, N.A. serving Citigold® Private Client and Citigold® International clients
and will be executed by Citibank in accordance with the security measures set forth
in the “SECURITY MEASURES” section of this Agreement. When making such a request
by telephone, I understand that I must contact Citibank using the CitiPhone Banking®
telephone numbers, and I acknowledge that Citibank has no obligation to execute any

transfer requests made by telephone that are not initiated in accordance with this paragraph.
I further acknowledge that the acceptance and processing of transfers requested by
telephone are subject to the terms and conditions stated in this Agreement.
3. TRANSFER REQUESTS VIA EMAIL – I understand and agree that (i) any transfer
request made by me via email shall be directed to the Customer Service Center, a
service unit of Citibank, N.A. serving Citigold® Private Client and Citigold®
International clients and shall be transmitted by me using such email addresses,
including security measures, as may be established under the Citibank Online
Banking User Agreement or otherwise agreed upon with Citibank, (ii) any such
request shall also be subject to any security measures set forth on the “SECURITY
MEASURES” section of this Agreement, and (iii) any such request shall constitute
a “written instruction” for purposes of the Marketplace Addendum, which is
hereby amended in that regard. I acknowledge that Citibank has no obligation
to execute any transfer requests made by email that are not initiated in accordance
with this paragraph, and I acknowledge that the acceptance and processing of
transfers requested by email are subject to the terms and conditions stated in
this Agreement.
4. EFFECT OF TERMINATION OF ACCOUNT — I understand and acknowledge that
if my account with Citibank ceases to be a Citigold® Private Client or Citigold®
International Account Package, for any reason whatsoever, whether because of my
actions or Citibank’s actions, then Citibank may terminate or cancel, without prior
notice, this Agreement, such that I will cease to have the ability to authorize transfer
requests via telephone or email. Upon such termination or cancellation, Citibank
may require that transfer requests be made in writing to the applicable Citibank
Customer Service Center, or by any other mode or method that is acceptable to
Citibank in its sole discretion. I further understand that Citibank may require my
completion of a new Telephone/Email Funds Transfer Agreement if, after this
Agreement is terminated or cancelled, I decide to again maintain an account which
qualifies me to authorize transfers via telephone or email.
5. SECURITY MEASURES — I hereby agree to the use of the following funds transfer
security procedure (comprising differing security measures, depending upon the
means by which I provide Citibank with a transfer instruction) in connection with
every transfer which I initiate, including but not limited to all transfers initiated by
me by telephone or by email, and agree that each such security measure is intended
to verify the source of such instruction (and not to detect errors in the details or
content of such instruction, nor to avoid duplication of instructions):
(i.) Instructions Transmitted via Citibank’s Online Services: I understand that
sending Citibank an instruction using one of its online services is, in general,
the most secure means of initiating a transfer. If I send Citibank a transfer
instruction using one of Citibank’s online services (after enrolling online in
order to obtain this and other online banking services), Citibank helps
safeguard myinformation by requiring a user identification, password and
other personal identification number. Citibank also protects my information
through encryption and computer servers protected by firewalls to
prevent unauthorized access to its networks. When I perform sensitive
online banking transactions, such as money transfers, Citibank will sometimes
ask me additional questions to verify my identity or require other authorization
codes that may be selected by me or assigned to me by Citibank (including
any code assigned for one-time use in connection with such instruction), in
order to enable Citibank to verify that such instruction is authorized. For
such purpose, Citibank may also make one or more telephone calls to me
at numbers in Citibank’s records, (hereafter referred to as “telephone call
backs”), and may implement other controls including the collection and use
of other data to authenticate me or my computer.
(ii) Instructions Transmitted via Facsimile (Fax) Using CitiFax Forms: If I send
Citibank a transfer instruction via facsimile transmission using a CitiFax
form obtained from Citibank, my request will be subject to the procedures
referenced on the reverse side of each CitiFax form, including, at
Citibank’s discretion, telephone call backs and signature verification to
verify that such instruction is authorized; any such transmission is
susceptible to security risks described on the reverse side of each CitiFax form.
(iii) Instructions Transmitted via Facsimile (Fax) Not Using Citifax Forms: If I send
Citibank a transfer instruction via facsimile transmission without using a
CitiFax form, Citibank may perform a signature verification and a telephone
call back to me at any telephone number for me in Citibank’s records to verify
that such instruction is authorized; such a facsimile transmission is
susceptible to security risks described in the Marketplace Addendum.
(iv) Telephone Instructions: If I give Citibank a transfer instruction by telephone,
in such manner as is provided in this Agreement or otherwise agreed upon
with Citibank, then Citibank may perform a telephone call back to me at any
telephone number for me in Citibank’s records to verify that such instruction
is authorized. I may also be required to provide Citibank with written and
signed instructions from an authorized signer designated below. If I choose
to give Citibank any transfer instructions via telephone:
I acknowledge that I am fully aware that telephone calls are not encrypted
and are not secure means of transmission of sensitive and/or confidential
information pertaining to me or my Citibank account. I acknowledge and accept
that such a non-secure transmissionmethod may be intercepted and/or listened
to by unauthorized parties and involves the risks of possible unauthorized
accessing of data and/or unauthorized use thereof for any purposes.
I acknowledge and agree to accept any risks associated with telephone calls
and authorize Citibank to act upon each transfer instruction or other
instruction or communication given by me to Citibank via telephone call in
order to debit the authorized account and execute as instructed, any transfers
on my behalf. I agree that Citibank may accept transfer instructions by
telephone from any person purporting to be a signer under this Agreement
who is verified as an authorized signer under our client identification
process or may refuse to accept any transfer instructions given by this
method. While Citibank implements security measures to protect against the
loss, misuse or alteration of information under Citibank’s control, I understand
that telephone communications are not secure against third-party interception
and monitoring, and therefore I should not expect privacy with regard to
information transmitted through telephone calls.
(v) Email Instructions: If I transmit a transfer instruction to Citibank via email
in the manner provided in this Agreement, Citibank may perform a signature
verification and a telephone call back to me at any telephone number for
me in Citibank’s records to verify that such instruction is authorized. If I
choose to send any transfer instruction to Citibank via email:
I acknowledge that I am fully aware that emails are not encrypted and are not
secure means of transmission of sensitive and/or confidential information

pertaining to me or my Citibank account. I acknowledge and accept that
such a non-secure transmission method may be intercepted by unauthorized
parties and involves the risks of possible unauthorized accessing or alteration
of data and/or unauthorized use thereof for any purposes. I agree that Citibank
may accept transfer instructions via email from any person purporting to be
a signer under this Agreement who is verified as an authorized signer under
our Client Identification Process or may refuse to accept any transfer instructions
given by this method.
I acknowledge and agree to accept any risks associated with email instructions
and authorize Citibank to act upon each transfer instruction or other
instruction or communication provided by me to Citibank via email in
order to debit the authorized account and to execute, as instructed, any
transactions on my behalf, or to send any information to me via email to
my email address in Citibank’s records.
While Citibank uses security measures to help protect against the loss,
misuse, or alteration of information under Citibank’s control, I understand
that email communications are not secure against third-party interception,
monitoring or modification, and therefore I should not expect privacy with
regard to documents transmitted via email.
(vi) Original Written Instructions: If I send Citibank an original written transfer
instruction by mail or courier, Citibank may perform asignature verification
and a telephone call back to me at any telephone number for me in
Citibank’s records to verify that such instruction is authorized. I acknowledge
that I am fully aware that written instructions are not a secure means of
sending sensitive and/or confidential information pertaining to me or my
Citibank account(s). I acknowledge and accept that such a non-secure
method may be intercepted by unauthorized parties and involves the risks
of possible unauthorized accessing of data and/or unauthorized use there
of for any purposes. I agree that Citibank may accept written transfer
instructions from any person purporting to be an authorized signer under
this Agreement who passes our identity verification procedures or may
refuse to accept any transfer instructions given by this method.
I hereby agree with Citibank that the authenticity of any transfer instruction issued to
Citibank in my name, including but not limited to all such transfers initiated by
telephone or email, shall be verified pursuant to the foregoing security procedure
(comprising all of the security measures described in this Agreement), and agree that
such security procedure is commercially reasonable for me as a method of providing
security against unauthorized transfer instructions. I hereby agree that I shall be
bound by any transfer instruction, whether or not authorized, that is issued in my
name and accepted by Citibank in compliance with the foregoing security procedure.
In addition, I agree that Citibank shall not be liable for any delay in processing a
transfer instruction resulting from its compliance with any of the security measures
described in this Agreement; and I agree to preserve the confidentiality of all security
measures described in this Agreement and agree that I shall be responsible for any
unauthorized use or disclosure of any security materials entrusted to me. I will notify
Citibank immediately of any compromise or suspected compromise of the integrity
of any of such security measures.
6. INFORMATION SUPPLIED BY CLIENT – I agree that Citibank will rely on the
information I have provided in making any transfer. I understand that it is my
responsibility to provide Citibank with accurate information regarding each transfer,
including the correct recipient account number and identifying number for the bank
or financial institution receiving the transfer(hereafter referred to as the “beneficiary
institution”). Some common identifying numbers include SWIFT codes, Bank Identifier
Codes (“BIC”) and International Bank Account Number (“IBAN”). Should I provide an
incorrect account number and/or beneficiary institution identifier, I understand and
agree that any losses resulting from any funds being credited to the wrong account
shall be my responsibility. I agree to notify Citibank promptly of any changes to the
information provided by me in this Agreement or in any schedule hereto. Any such
notice must be in writing and sent by me:

For Remittance Transfers, I will be required at the time I initiate each request to provide
Citibank with information regarding the currency in which the recipient account is
maintained. I understand and acknowledge that Citibank will rely on this information
in executing my instructions in accordance with the provisions set forth in the
“CURRENCY OF TRANSFER” section of this Agreement.
7. EXECUTION OF A TRANSFER REQUEST; NO SCHEDULED OR RECURRING FUTUREDATED TRANSFERS BY TELEPHONE OR EMAIL - If any transfer request is received
from me by Citibank on a day that is not a business day or on a business day after
Citibank’s established cut-off hour, as communicated in the “Written Instructions”
section of the account disclosures to me, such request will not be processed until
the next business day.
I understand and agree that no scheduled or recurring future-dated transfer request
is permitted by Citibank to be initiated by me via telephone or email.
8. ACCEPTANCE OR REJECTION OF TRANSFER REQUEST – Citibank shall be deemed
to have accepted my request for a transfer only upon its execution of such transfer.
Citibank reserves the right to reject my request for a transfer if I have insufficient available
funds in my authorized account, if my instruction is received by Citibank by any means
of communication not authorized by Citibank, if my instruction is unclear or incomplete,
if Citibank is unable to verify my transfer request, if Citibank is unable to open or read
the file format in which I send my instructions or if for any other reason the request is
unsatisfactory to Citibank. As provided above, Citibank will furnish me certain mandatory
disclosures in connection with any request to send a Remittance Transfer. If Citibank
is unable to reach me and provide me with these disclosures, it will be necessary for
Citibank to reject my transfer request. Citibank will endeavor to notify me regarding
the rejection of any request for a transfer on or before the execution date of the
requested transfer as specified in such request, and will endeavor to provide me with
such notice using the same means of communication that I used to transmit the request,
provided, however, that Citibank shall have no liability to me for the payment of interest
or otherwise as a result of my failure, for any reason, to receive any such notice.
9. RESPONSIBILITY FOR TRANSFERS - I understand that this Agreement allowing
requests for transfers to be made by me by telephone or via email exposes me to
additional security risks, including but not limited to the possible loss of funds in my
account(s). I also understand that I have the option to use a more secure means of
requesting a transfer than via email or by telephone, but I have specifically chosen
(among other means I may elect to choose) to initiate transfer requests over the
telephone and/or via email. To the greatest extent permitted by law, I agree to assume
full responsibility for all risks associated with such choice and full responsibility for
any resulting losses, damages, expenses and liabilities.
10. DELAYS, NON-EXECUTION OF TRANSFER REQUESTS – While Citibank will handle
my transfer requests as expeditiously as possible, I agree that Citibank will not be
responsible for any delay in executing or failure to execute any transfer request, or
for any delay in making funds available to the recipient, due to circumstances beyond
the control of Citibank, including, without limitation, (i) any inaccuracy, interruption,
delay in transmission, or failure in the means of transmission of my transfer request to
any financial institution or in the execution of such request by any financial institution,
whether caused by strikes, power failures, equipment malfunctions, fires, floods,
hurricanes, other catastrophes and Acts of God, acts of declared or undeclared war,
civil insurrections, riots, boycotts, or acts of any governmental authorities, including
asset freezes, exchange controls, nationalization, expropriation, laws, decrees,
regulations, or any moratorium, or (ii) any delay caused by one or more institution’s
fraud-screening procedures or compliance procedures for anti-money laundering,
economic sanctions or similar laws. I further agree that Citibank may refuse to
process or may delay in processing any request if it would violate any guideline, rule,
policy, or regulation of any government authority or funds transfer system. I
acknowledge that Citibank shall not be liable for any errors, delays or negligence of
any transfer or communication systems, or of any intermediary, agent or sub-agent
used in effecting any transfer request (each of which shall be deemed to be my
agent). TO THE EXTENT PERMITTED BY LAW, CITIBANK MAKES NO WARRANTIES,
EXPRESS OR IMPLIED, WITH RESPECT TO ANY MATTER IN CONNECTION WITH ANY OF MY
TRANSFER REQUESTS.
11. INDEMNITY – In consideration of the agreement by Citibank to act upon transfer
requests in the manner provided in this Agreement, I agree to the fullest extent
permitted by applicable law to indemnify and hold Citibank harmless from and
against any and all claims, suits, judgments, execution, liabilities, losses, damages,
costs, and expenses – including any reasonable attorney’s fees - in connection with
transfers made pursuant to this Agreement. This indemnity will not be effective to
relieve and indemnify Citibank against its gross negligence, bad faith, willful
misconduct, or as otherwise provided by law.
12. DESIGNATION OF BENEFICIARY INSTITUTION FOR EXTERNAL TRANSFERS – When
I instruct Citibank to execute an external funds transfer, I must select a beneficiary
institution to receive it. For such transfers within the United States, such beneficiary
institution must be a member of the Federal Reserve System, Clearing House
Interbank Payment System (CHIPS), or a correspondent bank of such a member.

I may request the beneficiary institution to credit an account or to hold the funds for
the recipient. In either case, the beneficiary institution is responsible for following my
instructions and notifying the recipient when the funds become available. If I identify
a recipient by name and account number, the beneficiary institution may pay the
funds to the person identified by the account number and my payment shall be final
even if the account number provided by me does not correspond to the name of the
intended recipient; the beneficiary institution is not obligated to verify that the
account number belongs to my intended recipient. If the beneficiary institution is
unable to locate an account, the funds may be returned. Except as may be prohibited
by applicable federal law for Remittance Transfers, any losses resulting from any
incorrect information I provide regarding my intended recipient are my responsibility.
13. CURRENCY OF TRANSFER – Transfers to recipients within the United States will
be made only in U.S. dollars. For Remittance Transfers, at the time I request a transfer,
Citibank will ask me whether the account maintained at the beneficiary institution
is held in U.S. dollars or in the local currency where the account is maintained. If I
indicate that such recipient account is held in U.S. dollars, my transfer must be made
in U.S. dollars. If I indicate that the recipient account is held in the local currency of
the country where the account is maintained, Citibank will send my transfer in that
local foreign currency unless the transfer in foreign currency is prohibited by local
restrictions of the destination country. If I indicate I do not know the currency in
which the recipient account is held, I can choose to send the transfer in U.S. dollars or
in the local currency of the country where the recipient account is held. I understand
that Citibank will rely on my statement as to the currency of the recipient account
and will provide me with information about the transfer based on the currency I
have indicated for that transfer. I understand that Citibank will not be responsible
for any error in the information it provides tome concerning the applicable
exchange rate and the amount of funds to be received by the recipient should my
statement as to the currency of the recipient account be incorrect and, as a result,
a currency conversion be required after Citibank sends my transfer. For any transfer
in foreign currency, Citibank will convert my U.S. dollar payment to the local currency
at Citibank’s exchange rate in effect at that time for similar transactions. The exchange
rate includes a commission to Citibank for exchanging currencies. Information regarding
the applicable exchange rate will be provided to me at the time I initiate the transfer.
14. MEANS OF TRANSFER – To make external transfers, Citibank uses a variety of
banking channels and facilities but will ordinarily use electronic means. I agree that
Citibank may choose any conventional means that Citibank deems suitable to transfer
my funds to the recipient. Because Citibank does not maintain banking relations with
every bank, it may be necessary to use one or more intermediary banks before the
funds are transferred to the beneficiary institution. After Citibank transmits a transfer
to an intermediary bank, it will be that bank’s responsibility to ensure that the transfer is
completed. I understand that there may be fees imposed by these other banks for
handling my transfer and that these fees may be deducted from the transfer amount
before it is credited to the recipient. For Remittance Transfers, I will be provided with more
detailed information regarding applicable fees at the time of each transfer request.
15. CANCELLATION OR AMENDMENT OF REMITTANCE TRANSFERS REQUESTED
ON OR AFTER OCTOBER 28, 2013 – I have the right to cancel or amend my request
for any such Remittance Transfer, provided that I cancel or amend that request within
thirty (30) minutes of my authorizing payment for that transfer. If I request a
cancellation or amendment after such time, the provisions in paragraph 16 below
shall apply to such Remittance Transfer.
16. CANCELLATION OR AMENDMENT OF ALL OTHER TRANSFER REQUESTS
(INCLUDING STANDING INSTRUCTIONS FOR REMITTANCE TRANSFERS
ESTABLISHED BEFORE OCTOBER 28, 2013) – I may cancel or amend any such
transfer request only if Citibank receives my request for cancellation or amendment
prior to its execution of my transfer request and at a time that provides Citibank
with a reasonable opportunity to act upon that request for cancellation or amendment.
If my transfer request has already been executed by Citibank, I understand and
agree that my request to cancel or amend the transfer will be effective only with the
consent of Citibank and of the beneficiary institution. Before providing such consent,
Citibank will have to check with the beneficiary institution to determine whether or
not the beneficiary institution will return the transferred funds. If the beneficiary
institution confirms that the funds are returnable and the funds are returned to
Citibank, Citibank will return the funds to me. The amount that is returned to me may
be less than I originally transferred because of service charges of the beneficiary
institution and/or Citibank. Any funds returned to me will be in U.S. dollars. If my
transfer was in a foreign currency, my returned funds will be in U.S. dollars at the
exchange rate established by Citibank on and as of the date of return. Citibank shall
not be liable to me for any loss resulting from the failure of the beneficiary institution
to accept a cancellation or amendment of my transfer request.
17. CLAIMS WITH RESPECT TO REMITTANCE TRANSFERS MADE ON OR AFTER
OCTOBER 28, 2013 – If I believe there has been an error with regard to, or I need
more information about, any such transfer, I agree that I must contact Citibank within
one hundred and eighty (180) days of the date indicated by Citibank as the date on
which the transferred funds would be available to the recipient of that transfer. At
such time, I may be asked to provide the following information: 1) my name, address
and account number; 2) the name of the beneficiary receiving the funds and, if I
know it, the beneficiary’s telephone number or address; 3) the dollar amount of the
transfer; 4) the reference code for the transfer; and 5) a description of the error or why
I need additional information. Citibank may also ask me to select a choice of remedy
(credit to my account in an amount necessary to resolve the error or, alternatively, a
resend of the transfer in an amount necessary to resolve the error) in those cases
where an error by Citibank is found. Citibank will determine whether an error has
occurred within ninety (90) days after I contact the bank. If Citibank determines that
an error has occurred, Citibank will promptly correct that error in accordance with
the error resolution procedures under the Electronic Fund Transfer Act and federal
Regulation E or in accordance with the laws of the state where my account is located,
as may be applicable. In any event, I hereby agree (insofar as I may do so under applicable
law) that any action or proceeding by me to enforce any obligation, duty or right
under this Agreement must be commenced within one (1) year from the date that
such cause of action accrues. IN NO EVENT SHALL CITIBANK BE RESPONSIBLE FOR ANY
CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES OR EXPENSES IN
CONNECTION WITH MY REMITTANCE TRANSFER.
18. CLAIMS WITH RESPECT TO ALL OTHER TRANSFERS (INCLUDING REMITTANCE
TRANSFERS SCHEDULED BEFORE OCTOBER 28, 2013) – I agree that within thirty
(30) days after I receive notification, in my periodic account statement or otherwise,
that any such transfer request has been executed, I will notify Citibank of any errors
or delays, and will notify Citibank if I need additional information relating to that
transfer. If my transfer request was delayed or erroneously executed as a result of
erroneous information provided by me, I understand that I may be responsible for
the amount of that transfer and any associated fees. If my transfer request was
erroneously executed or delayed as a result of Citibank’s error, Citibank’s sole
obligation to me is to pay or refund such amounts as may be required under Uniform
Commercial Code Article 4A or by other applicable law. Any claim for interest payable
by Citibank shall be at Citibank’s published savings account rate in effect within the
state of the home branch for the account from which the transfer was made. In any
event, I hereby agree (insofar as I may do so under applicable law) that any action or
proceeding by me to enforce any obligation, duty or right under this Agreement must
be commenced within one (1) year from the date that such cause of action accrues.
IN NO EVENT SHALL CITIBANK BE RESPONSIBLE FOR CONSEQUENTIAL, INCIDENTAL,
SPECIAL, OR PUNITIVE DAMAGES OR EXPENSES IN CONNECTION WITH MY TRANSFER,
WHETHER OT NOT IT IS A REMITTANCE TRANSFER.
19. RECOVERY OF TRANSFERRED FUNDS – I agree, at any time or times, to execute
any documents and perform any acts reasonably requested by Citibank to assist it
in recovering from any third party or third parties any funds involved in any transfer
requested by me or involved in any related transaction.
20. JOINT AND SEVERAL LIABILITY – If my account is held in the names of two or
more individuals, all such individuals shall be jointly and severally liable under this
Agreement with respect to any transfers or transfer requests relating to such account
and with respect to any indemnities provided to Citibank under this Agreement.
21. NOTICES – Except as otherwise provided in this Agreement, any notice given
under this Agreement shall be deemed given upon receipt of United States mail,
postage prepaid, or upon transmission by fax, if delivered to me at the address or
fax number in Citibank’s account records, or if delivered to Citibank at the home
branch where I opened my account or to which my account was assigned.
22. AMENDMENT OR TERMINATION OF AGREEMENT – Unless otherwise required
by law, Citibank may amend the terms and conditions of this Agreement without
prior notice to me. If Citibank chooses to notify me of an amendment or is required
to do so, Citibank may mail or deliver a notice to me at the last address it has on file
for me. This Agreement may be terminated by either party at any time by written
notice effective on the actual delivery date thereof, provided that Citibank shall
have a reasonable period of time in which to act upon such a notice of termination.
23. SEVERABILITY – If any portion of this Agreement is found to be unenforceable,
its remaining portions shall remain in full force and effect.
24. GOVERNING LAW – In general, this Agreement shall be governed by federal law
and, where not in conflict with or preempted by federal law, the laws of the state in
which the home branch for my account is located. Transfers authorized under this
Agreement may involve one or more funds transfer systems, such as Fedwire or the
Clearing House Inter-Bank Payments System (CHIPS). In these cases, the rules of the
appropriate funds transfer system(s) will apply along with applicable law. Subpart B
of Regulation J and Article 4A of the Uniform Commercial Code will apply to transfers
made through Fedwire. Transfers made through CHIPS are governed by and subject
to CHIPS Rules and Administrative Procedures and the laws of the State of New York,
including Article 4A of the Uniform Commercial Code.
25. AGREEMENT TO TERMS AND CONDITIONS – The account owner(s) listed below
is/are authorized to request transfers by telephone or email from the authorized
account listed on page 1 of this Agreement.
