The role includes providing skills, expertise and advice to selected Committee(s) of
the Board. Non-Director Committee Members attend and speak at Committee
meetings but have no voting rights.

Background
NEPA is an incorporated Association, registered under and governed by the Associations Incorporation Act
2009 (NSW) and the Associations Incorporation Regulation 2010 (NSW).
NEPA is a cultural industries organisation and advocacy group for the live arts and music sectors and
consists of the performance spaces of the Newtown Precinct. NEPA established The Sydney Fringe Festival
in 2010.
The Sydney Fringe Festival www.sydneyfringe.com has received widespread industry support and
engagement from the artistic community.
NEPA wishes to engage Non-Director Committee Members who are highly proactive and committed to
providing skills, expertise and advice to selected Committee(s) of the Board.
Non-Director Committee Member Commitment
In accordance with NEPA’s Constitution, the Board may delegate any of its functions to one or more subBoards (Committees) other than its power of delegation and any function which is a duty imposed on the
Board by law.
The Board has established the following standing Committees to assist the Board in exercising its authority:




Executive Committee
Audit & Risk Committee
Nominations Committee
Sponsorship Committee
The Board may also establish ad hoc Board Committees from time to time to consider matters of special
importance or to exercise the delegated authority of the Board.
The Board will from time to time appoint Non-Director Committee Members to the Committees.
If you are appointed as a Non-Director Committee Member to a Committee it is expected that you will
actively contribute your skills, networks and expertise to assist the Committee to fulfil its functions.
Non-Director Committee Members are required to attend and speak at Committee meetings and commit 5 8 hours of their time monthly to engage in Committee activities including:



Attending Committee meetings (2 hours per month)
Engaging in work arising out of Committees (2 - 4 hours per month)
Responding to Committee related emails and phone calls (1 - 2 hours per month)
Non-Director Committee Members may attend and speak at Nominations Committee meetings but will have
no voting rights.
If a Non-Director Committee Member is unable to actively contribute to the Committee to which they are
appointed, the Board may, in its discretion, request that the Non-Director Committee Member resign their
position.
Term
Each Non-Director Committee Member, will hold his or her position for a 1 year term. Renewal for any
further term will be at the Board’s discretion.
Key Competencies of Non-Director Committee Members
Non-Director Committee Members will be recruited for skills and expertise sought for the Board Committees
including areas such as financial, artistic, not for profit organisations, fundraising and sponsorship, branding
and marketing including digital media strategy, risk recognition and management, nominations and
recruitment and governance.
The Role of Committees
The Committees of the Board assist the Board in fulfilling its function and discharging its responsibilities.
Each Committee operates in accordance with its Terms of Reference as approved by the Board. The role,
Terms of Reference, performance and membership of each Committee will be reviewed by the Board
annually.
