1. Applicability
The Terms & Conditions set out in this document apply to the following service (offered by
Fincore Ltd under G-Cloud Services Framework Agreement RM1557ii) : CBPm Solution Platform
Express
2. Compliance with G-Cloud Framework Agreement
The Terms & Conditions set out in this document are intended to be fully and without
reservations in compliance with the G-Cloud Services Framework Agreement RM1557ii. No
part of this document is intended to modify, limit, extend or otherwise amend the terms of
the G-Cloud Services Framework Agreement RM1557ii. In case of ambiguity or overlap the
terms of the G-Cloud Services Framework Agreement RM1557ii shall override any terms or
conditions in this document.
3. Agreement of Service Profile & SLA’s
As part of the call-off Fincore Ltd will agree or affirm with the customer the detailed service
profile and SLA conditions that shall be applicable for the call-off. Unless requested
otherwise these will be based on Fincore Ltd’s standard service description for the service at
the time. The affirmed or agreed the detailed service profile and SLA conditions shall be
binding for the term of the call-off agreement unless amended by mutual written agreement
between the customer and Fincore Ltd
4. Service Scope
Unless otherwise agreed the service scope does not include any services other than the day
to day operation of the service as-is on the hardware/cloud platform agreed in such a way
that the functionality of the service remains available to the customer and the export of all
the customers data and stored document files at the termination of the contract in Fincore
Ltd.’s chosen data export file formats only.
All data on-boarding, customisation, training, consultancy, customer specific data exports
and any support to end-users will need to be agreed separately in writing and are not part of
the scope of the standard service.

5. Early Termination
If the call-off agreement for no fault on part of Fincore Ltd, is terminated before its agreed
term by the customer Fincore Ltd reserves the right to require the customer to pay a an early
exit fee covering any costs Fincore Ltd may deem to have incurred as a result of early
termination. The early exit fee shall not exceed an amount equal to the normal service fees
for the period from the date the early termination is effective to original agreed termination
data for the service.
6. Data Exports after Termination
Fincore Ltd will export all data created, loaded or otherwise captured by the customer as
part of the customer’s use of the service during the operation of the call off agreement in a
reasonable file format of Fincore Ltd’s choice including but not limited to SQL, CSV and XML.
Fincore Ltd will also export binary copies of any document files uploaded to the service by
the customer or the users which the customer may have authorised to do so at any point in
time during the operation of the call-off agreement.
Fincore Ltd will provide the customer with reasonable documentation for the exported data
file formats. The customer will agree not to use any proprietary information in the
documentation other than for the one time purpose of extracting the customers information
from the customers exported files or to disclose the content of such documentation to third
parties without the prior written permission of Fincore Ltd.
