Introduction
This is an important course for law students to understand theories and application of rules of
company/corporate law. It is divided in to two modules. The course covers both substantive as well
as procedural rules of company/corporate law; theories and policies of company/corporate Law. It
covers legal personality, its history, features and other rights and duties. The objectives are to
inculcate a critical appreciation of issues and to prepare students for professional practice. The
course is absolutely necessary for students to grasp rules of company/corporate law to prosper in
legal profession specially in corporate sector.
Learning Objectives
At the Conclusion of the Course, Students will be able to:
1. Understand applicability of general principles of company/corporate law.
2. Understand history of company/corporate law.
3. Understand rules regarding legal personality.
4. Understand features of company/corporate law.
5. Understand difference between company and firm.
6. Understand types of firm and types of companies.
7. Understand basic documents of a Company.
8. Demonstrate working knowledge of registration process of a Company.
9. Understand share capital, shareholders, board of directors, their rights and responsibilities.
10. Understand process of Meetings of a Company, Resolutions passed in a Meeting.
11. Understand process of an Audit of a Company, Registers kept by a Company, Books of Accounts,
and Financial Statements.
12. Understand Investigation Process, registration of Mortgages-Charges, Mediation-Arbitration
processes.
13. Understand Winding Up process of a Company.

1. Basic Lecture Format / Lecture Slides
2. Teaching by asking questions/Discussion (Socratic Method)
3. Discussion on the topic of the day
4. Case Studies and their presentations
5. Hand out / Reading material / exercises
6. Group discussion
7. Journals and magazines articles at home reading assignments
Class room Conduct
1. Late arrivals are not welcome.
2. Early departures are not allowed.
3. You must turn off your cell phones or any gadget that disturbs the sanctity of the classroom.
4. Intellectual discussions including mundane gossip in class is not allowed unless permitted.
5. Taking notes are imperative in order to pass the class.
6. You are responsible for the contents of the lectures you missed.
7. Please refrain from asking irrelevant questions.

Program Goals
1. Ethical consideration and behavior
Inculcating ethical values and prosocial behavior among students through community support
programs and other related activities.
Ensuring ethical considerations while understanding and implementing Qanun e Shahadat Order
1984.
2. Analytical skills
Developing analytical skills by evaluating current and emerging legal problems to enhance
critical thinking of students.
3. Communication and interpersonal skills
Enhancing communication skills for self and professional development through class room
teaching, co-curricular and extra-curricular activities.
Developing interpersonal skills by preparing students to work in teams in diverse professional
environment to better understand and to respect opinion of others.
4. Core legal knowledge
Providing core knowledge in the field of Evidence.
5. Technological skills
Depict knowledge and problem solving through technology based instructional design.
Instill among students the use of current technology through application of relevant and latest
software across broad business.
