Estimate ZEMEN BANK S.C. and SWIFT effort required 2 Project scope overview The initial scope of the project is defined in terms of Technical, Business, and Geographical scope: Technical scope Implementation and Configuration of one Alliance Web Platform and one Alliance Warehouse instance for Lite2. Hands-on training on how to technically operate and administer the Alliance Warehouse version for Lite2 and Alliance Web Platform to technical staff. Business scope Hands-on training to business staff with best practice guidelines for using the Alliance Warehouse version for Lite2. Geographical scope All tasks detailed here further are executed remotely from SWIFT premises. When remote system accesses are required, the services provided remotely will be delivered over the Internet, via the remote connection software. The tool allows SWIFT staff to show screens and, should customers allow it, to take remote control of the customer’s PC to perform installation and configuration tasks. This tool also allows SWIFT staff and the Customer to talk to each other. Procedure as well as requirements for remote connections using the tool can be found in the Remote Connection Service section further in this document. Additional charges will be involved if ZEMEN BANK S.C. would prefer the execution to be physically executed from his premises. In that case, engineer travel time and expenses will be charged on a cost-recovery basis in accordance with SWIFT Travel and Expenses Policy. The section below documents the identified scope areas for the project in detail. Confidential 3 Detailed scope definition 3.1 Prerequisites • To help you prepare for the forthcoming Professional Services assignment, SWIFT provides you with a Security Pre-implementation checklist which can be accessed here. You are requested to complete the security steps prior to the on-site/remote installation. In addition SWIFT will send you a Technical Pre-implementation checklist. This document focuses on the technical aspects of the implementation and contains the operational steps that must be performed and acknowledged before the installation. Failure to implement these security and operational checks will impact the execution of the Services. Should a SWIFT consultant notice that any of the prescribed step has not been completed before the installation, SWIFT reserves the right to postpone the project, to suspend or even terminate the ordered Services. • Before you take the decision to go-live with the Services delivered, you agree that SWIFT will discuss with you, based on your self-attestation, your compliance status against the SWIFT mandatory security controls and, in the case where you would not be fully compliant, you agree to share promptly with SWIFT your action plan to become compliant as soon as possible. Customers remain responsible to decide when to golive. 3.2 Purpose Once ZEMEN BANK S.C. orders the Alliance Warehouse product license, it comes automatically with the below Professional Services. 3.3 Project Initiation Description The goal of the Initiation phase is to • Formally kick off the project with key project stakeholders, align on project objectives, scope and dependencies. • Define an end–to-end project plan for the Alliance Warehouse implementation Services and Deliverables • Project initiation meetings for: o Introduction to the fundamentals of the Alliance Warehouse and its functionalities o Project kick-off covering implementation steps, dependencies and organization Benefits • Ability for the customer to have a holistic and detailed view on the scope, impact and planning to implement Alliance Warehouse SWIFT Professional Services - Alliance Warehouse implementation, configuration and hands-on training 27 May 2021 Page 7 of 17 Copyright © S.W.I.F.T. Availability of ZEMEN BANK S.C. project stakeholders for the workshop. 3.4 Alliance Web Platform Implementation and Configuration The purpose of this section is to: • Install and configure the Alliance Web Platform Server-Embedded. • • Install the Alliance Warehouse GUI on the Alliance Web Platform. Provide hands-on training for the Alliance Web Platform Server-Embedded applications. What Description Description Alliance Web Platform installation, hands-on training and configuration is conducted in maximum two remote sessions (for a total of seven (7) hours) by SWIFT Professional Services on the customer systems upon authorisation to do so. During the installation, SWIFT provides information about the Alliance Web Platform screens and functionalities. Deliverables 1. Pre-install checklist: The pre-install checklist will verify certain pre-requirements on the target system to be able to successfully implement Alliance Web Platform. SWIFT will review the results provided by ZEMEN BANK S.C. against Alliance Web Platform requirements and will highlight the necessary steps and conditions ZEMEN BANK S.C. needs to meet in order to ensure a smooth and successful implementation. The recommendations will be reviewed together with ZEMEN BANK S.C. and the SWIFT consultant after which both parties will reach an agreement on implementation and delivery. 2. Implementation services: The following actions/features will be performed/demonstrated: 1. Installation of one Web Platform Server-Embedded instance Installation of the Software Mandatory patch installation Test connectivity 2. Implementation of any non-SWIFT software is out of scope. Installation of Third Party software (e.g. ADK components) is not part of this service proposal and if applicable <Customer Name> needs to liaise with his vendor prior starting the installation to verify that a compatible version is available. • • 3.5 Alliance Warehouse Implementation and Configuration What Description Description Alliance Warehouse Implementation and Configuration of one Alliance Warehouse instance is conducted in maximum two remote sessions (for a total of six (6) hours) by SWIFT Professional Services on the customer systems upon authorisation to do so. During the installation, SWIFT provides information about the Alliance Warehouse screens and functionalities. Deliverables ZEMEN BANK S.C. will be supported by a SWIFT consultant in the following areas: • Presentation of the fundamentals of the product and its functionalities • Agree on the setup of the Alliance Warehouse • Initial configuration of the solution and hands-on training to set up the environment and operating the service with: o Installing Alliance Warehouse application in one system customer environment (one Alliance Warehouse instance). o Demonstrate how to create users that can sign on to Alliance Warehouse, and how to assign permissions to these users o Create and configure one datasource on Alliance Warehouse, which corresponds to one Alliance Lite2 AutoClient instance o Show how to start Alliance Warehouse and start/stop the feeding of messages from the configured datasource. o See pre-requisites. Import some messages and/or FileAct files from the datasource to demonstrate the importing of recently completed messages or files. o Show how to search for messages or files on Alliance Warehouse. Show how to export messages or files from Alliance Warehouse. o Show how to monitor and how to stop Alliance Warehouse. Assistance on installation of any other SWIFT application. Alliance Lite2 AutoClient Installing more than one Alliance Warehouse instance. Installing Alliance Warehouse on additional instances or in a multi-instance cluster set-up is supported in the pilot, but customers need to deploy the additional instances themselves. Troubleshooting issues on Alliance Lite2 not related to the Alliance Warehouse pilot Resilience set-up. Resilient set-ups can be deployed but are not covered by this service proposal. 3.6 Hands-on training to technical & business managers and operators What Description Description Hands-on training where the SWIFT Professional Services representative will navigate ZEMEN BANK S.C.’s users (max four (4) people) through the use of Alliance Warehouse screens, as well as operational and configuration aspects such as command line commands This hands-on training will be conducted during maximum two (2) remote sessions (for a total of six (6) hours). Deliverables During the project, ZEMEN BANK S.C. will be supported by a SWIFT consultant in the following areas: 1) Technical module : o o o Presentation of the fundamentals of the application and its functionalities Operational management and support: user management, message import, system start/stop, monitoring configuration of Alliance warehouse through the command line interface Accessing the GUI SWIFT Professional Services - Alliance Warehouse implementation, configuration and hands-on training 27 May 2021 Page 10 of 17 Copyright © S.W.I.F.T. Confidential 5 Financial proposal 5.1 Charges SWIFT will charge for the “Alliance Warehouse implementation, configuration and hands-on training” as detailed here: Detailed Pricing Services deliverable One-time Alliance Warehouse Services on one environment covering: • Implementation and Configuration of one Alliance Warehouse instance • Implementation and Configuration of one Alliance Web Platform instance • Hands-on training EUR 7,000 - Total EUR 7,000 - Services detailed in this proposal will be charged on a fixed price basis. SWIFT will appoint one consultant to be the project manager. He/she will be the central point of contact towards the ZEMEN BANK S.C. to arrange all practical matters and agree on timing, milestones and deliverables. For a successful execution of the project, a similar role is required at ZEMEN BANK S.C.. The maximum total number of days effort for the completion of all deliverables and related interactions is 4 days. In case the maximum number of days effort is likely to be higher for reasons not attributable to the SWIFT consultant(s), for example, due to additional training sessions required by the customer, long test-cycles, additional scope, change of project team members on the customer’s side, the level of support, then SWIFT will pro-actively inform the customer, and the parties will jointly agree on a new service proposal to cover the remaining working days required to finalise all deliverables. Unless stipulated otherwise, the services provided under this Service Proposal are fully delivered remotely; therefore, no travel-related expenses will be incurred. Should ZEMEN BANK S.C. nevertheless request the service to be performed on premises, then travel time and travel-related expenses will be charged on a cost-recovery basis in accordance with SWIFT’s Travel and Expenses Policy. Charges do not include travel time which will be charged at 950 EUR/day. Confidential Unless otherwise provided in the contract, standard working day of a consultant consists of 7.5 hours, performed within 09:00 – 18:00. A surcharge of 50 percent is applicable for outside office hours and 100 percent for weekends and public holidays. Charges include preparation work, project administration and project management, visa, travel preparation (if any), on-site work, desk work for recommendations, report and management summary, quality control and presentation to ZEMEN BANK S.C.. This service proposal and related pricing offer is valid for 3 months. 5.2 Billing terms Charges provided in this contract will be invoiced at the end of the month following the month of the project delivery. Travel costs will be invoiced as and when occurred. Unless otherwise provided herein, the terms of invoicing and payment are further detailed under SWIFT price list (ordering, invoicing and payment) as available under SWIFT.com. Confidential 6 Legal framework 6.1 Terms and conditions Unless the parties entered into separate contractual arrangements, this Service Proposal will be subject to the SWIFT Services Terms and Conditions for EMEA & APAC as available on SWIFT.com. 6.2 Subcontracting SWIFT has built overtime a network of selected service providers that can assist SWIFT in providing SWIFT Professional Services. In this model, SWIFT reserves the right to sub-contract the execution of the Professional Services in whole or in part, at SWIFT’s discretion. 6.3 Proposal acceptance Unless otherwise provided herein or otherwise agreed with SWIFT, to proceed with the Service Proposal, we invite you to place an e-order for the Professional Services. This is required before SWIFT resources can be secured against the project timeframes. To place the order, please use this link to the e-form on swift.com. In the form, you can include reference number “<SA00185>” in the SWIFT commercial quotation reference. 6.4 Roles and responsibilities You must comply with all obligations and other mandatory instructions applicable to you in connection with your use of SWIFT services and products, as set out in this service proposal and the other applicable SWIFT Contractual Documentation or as notified by SWIFT to you during the execution of the Professional Services or otherwise. In particular: a. You are responsible for providing and maintaining current, accurate and complete information and authorised representatives as may be required by SWIFT from time to time in connection with the provision or use of Services. When designating authorised representatives, you shall ensure these persons are and remain aware of and able to perform their roles and responsibilities, including any changes to such roles and responsibilities; b. You must supervise at all times the execution of the Professional Services that takes place on-site at your premises; c. You are responsible for complying with all operating requirements for your use of SWIFT services and products; d. You must ensure that you comply with the required pre-requisites and mandatory security requirements described in this Service Proposal or in related contractual documentation, such as in the SWIFT Customer SWIFT Professional Services - Alliance Warehouse implementation, configuration and hands-on training 27 May 2021 Page 15 of 17 Copyright © S.W.I.F.T. In that case SWIFT shall have the right to amend, through Change Request, the scope of the SWIFT Professional Services and/or to suspend or terminate the provision and the use of the ordered SWIFT Professional Services as further described in SWIFT Services Terms and Conditions for EMEA & APAC. You will be solely responsible for any consequences, including financial consequences, arising out of your non-compliance. 6.5 Change management process Either party may at any time upon written notice require changes to the scope of the engagement to the extent that it remains within the general scope of the ordered services (“Change Request”). Such Change Request must contain a reference to the relevant service proposal or agreement between the parties and must set out the exact changes that the requesting party wants to make. If the other party agrees with the requested changes (including any associated adjustment to the price and/or delivery schedule, as applicable), SWIFT will document such adjustment in writing within a reasonable time. SWIFT may refuse (but not unreasonably) a Customer’s Change Request or make it subject to reasonable conditions. If the Customer does not agree with a Change Request issued by SWIFT and SWIFT concludes that it is not possible to continue providing the ordered SWIFT Professional Services in a professional and reasonable manner without this change, SWIFT reserves the right to terminate the SWIFT Professional Services immediately upon written notice. Confidential 7 Remote connection service SWIFT can decide to execute all or part of the Services by remote session. No specific equipment is required on the customer side to use the remote connectivity tool. Remote access to the customer site always happens under full control and supervision of the customer. The customer has the possibility to suspend or terminate the remote session at any moment. In addition, the customer can decide to record the session using the functionality built in to the tool. For the technical details see the Knowledge Centre article. It is recommended to test the remote connectivity tool between SWIFT and the customer prior to agreeing to the service engagement. A customer not willing to grant the required remote access rights to SWIFT may still benefit from the Services by other means, however, this may not be feasible depending on the service.
