PROJECT EMPLOYMENT CONTRACT

Dear Emmanuel Cuizon,
This is to confirm your Project Employment with JT International Asia Manufacturing Corp. ("JTI AMC") under
the following terms and conditions:
1.
You will be assigned to the Production Department with the designation of Electronic
Technician. You shall report directly to the Team Leader .
2.
Your employment shall commence on 01 January 2021 and end on 31 December 2021, when
the specific phase of the project shall have been completed. Your employment shall cease
thereafter without the necessity of notice. It is understood that this engagement is solely and
specifically occasioned by the specific project for which you have been hired and is never
intended to result to a regular and/or indefinite employment with J Tl AMC. Likewise, JTI AMC
is under no obligation to hire you for any other project or for any extension of the project
subject of this contract.
3.
You shall perform the following duties and responsibilities throughout the duration of the
Project Phase:
Diagnosing and rectifying machine faults and inefficiencies and maintaining key
spare components.
Providing relief, as required, to operating crews by running designated machines
to production standard in terms of Safety, Technical Efficiency, Quality and
Housekeeping and maintaining any associated records.
Prioritizing own work to maximize machine efficiencies and achieve defined
machine performance targets.
Identify and implement technical measures on machinery and equipment to
maintain and improve machine efficiency and product quality.
Assist as required with the maintenance of all production and ancillary machinery,
keeping of records and continuous development of maintenance procedures and
practices.
Perform any other tasks commissioned by the supervisor. Compliance with EHS
procedures, labor law, corporate guidance, internal regulations and work
performance instructions.

You will receive the following amount in Philippine Pesos subject to lawful deductions:
Monthly basic salary:
Php 40,000.00
Rice Allowance (non-taxable)
Php1,200/month
Meal Allowance (taxable)
Php1,200/month
One time living allowance (taxable)
Php 45,000 upon hire
Medical Plan
Php200,000 per illness per year limit
Group Life Insurance
Monthly Basic Salary (MBS) x 24 months
Maximum of 15 days (pro-rated) - unused leaves are
not convertible into cash
Your employment benefits are limited to those granted under this contract, the Labor Code,
and related legislation such as 13th month pay, overtime pay and other statutory benefits (SSS,
Philhealth & PAGIBIG).

You understand and agree that these benefits are due to your status as a project employee
and do not in any way vest in you any permanent or regular status. Further, you understand
and agree that these benefits will cease once the term of your project employment expires,
i.e., upon the completion of the project or the particular phase thereof.
7.
JTI AMC reserves the right to terminate your project employment even before the expiration
of this project employment contract for any of the following reasons:
7.1.
If the project has already been completed and there is no longer any work to be done
;
7.2.
Pursuant to the authorized causes for termination of employment under Article 298
and 299 of the Labor Code, i.e., disease, installation of labor saving devices,
retrenchment, redundancy, and closure not due to serious business losses;
7.3.
Pursuant to the just causes for termination under Article 297 of the Labor Code, i.e.,
serious misconduct, gross insubordination, gross and habitual neglect of duties,
fraud/willful breach of trust, commission of a crime against the employer, and other
analogous cases; ;
7.4.
In addition to grounds of termination provided in the Labor Code stated above, your
project employment may be terminated in accordance to law for any just or valid
causes such as but not limited to discontinuance of the project, non-availability of
materials, inability to perform your duties and responsibilities or inefficiency with
respect to the position for which you are hired.
7.5.
Violation of any of JTI AMC's rules and regulations which you acknowledge to have
known prior to or on the date of signing of this contract.
8.
You agree to comply with all existing policies, rules and regulations of JTI AMC, as well as those
which may hereafter be issued. It shall be your duty to study and know the rules immediately
upon their promulgation or immediately upon hiring. You further agree that you shall devote
your utmost efforts to the performance of your assigned tasks, and in general, to the
furtherance of the aims and interests of JTI AMC.

Should you wish to resign before the expiration of this contract or before the completion of
the project phase, you must serve JTI AMC a written notice at least seven (Z) days before the
effectivity thereof.

You hereby undertake in perpetuity, to keep entirely confidential and to withhold from any
party any information that you may have received or may have had access to during the term
of this contract concerning JTI AMC or the clients or customers of JTI AMC. In other words,
you are forbidden to disclose, directly or indirectly, any confidential information to any person
without the written consent of JTI AMC or to use it for any purpose other than for the benefit
of latter. Prohibited disclosure includes but is not limited to, acts of copying, recording, or in
any way reproducing confidential information for any purpose other than that for which the
information is officially intended.
To ensure confidentiality, you shall observe adequate procedures and/or measures to prevent
the unauthorized disclosure, use, or reproduction of confidential information. In this regard,
you are required to handle all official documents of JTI AMC with utmost care. At J Tl AMC's
request, you shall return all confidential information you have received. It is understood by
the parties that any unauthorized disclosure of confidential information may be a ground for
disciplinary action and/or damages against the offender.
All information properly pertaining to the public domain as well as under compulsion of
disclosure by judicial process is excepted from the application of this provision.

During employee's employment hereunder, employee shall not engage directly or indirectly,
as an employee, officer, director, partner, manager, consultant, agent, owner (other than a
minority shareholder or other equity interest of not more than 1% of a company whose equity
interests are publicly traded on a nationally recognized stock exchange or over-thecounter) or
in any other capacity, in any business entity in competition with the company or any of its
subsidiaries.
For a period of one year following the termination of employee's employment for any reason,
employee shall not, in any capacity, whether as an employee, officer, director, partner,
manager, consultant, agent, or owner (other than a minority shareholder or other equity
interest of not more than 1% of a company whose equity interests are publicly traded on a
nationally recognized stock exchange or over-the-counter), directly or indirectly advise,
manage, render, or perform services to or for any person or entity engaged in a business in
competition with the company or any of its subsidiaries within the geographical location
where the company or any of its subsidiaries produces, sells, or markets its goods and services
at the time of such termination or within a one-year period prior to such termination.
