Barba + Wheelock Architecture, Preservation, Design (B+W) is pleased to respond to your
request for architectural/engineering services to assist the library planning committee in
developing a space program plan for the Thomas Memorial Library. I understand that you
anticipate limited services for the specific task of developing an optimal, fundable plan for
Cape Elizabeth.
I enjoyed speaking with you recently about the project. Having followed the project over
the past few years, we are familiar with the challenges ahead. We have reviewed several
of the documents available on line and toured and spent time at the library. I look
forward to offering our expertise in library planning and, if desired, in assisting in your
community planning process to achieve a successful outcome.
Barba + Wheelock is a mission-driven architecture firm committed to projects that have
the ability to affect social change. With more than 20 library projects in Maine, B+W
has extensive familiarity with public library planning and construction. We have
worked on libraries from pre-design programming and planning to pre-referendum
support, to comprehensive architectural design and construction administration. Nearly
all of these projects incorporate new construction and extensive renovations to existing
library buildings, including renovations to buildings from all time periods of construction
(1890 to 1990s). Combined with a considerable depth of experience in library planning,
programming, and renovation is our team’s experience with information technology
integration in support of state-of-the-art library service.
In working with libraries, we have become very familiar with their specific demands and
with the process of working with a variety of users and stakeholders. The result of our
collaborative effort is shown in the pages that follow. We look forward to lending our
expertise in library design to renew, re-envision and plan a reconfigured, enlarged and
revitalized library for Cape Elizabeth.
We are currently working with the Merrill Memorial Library in Yarmouth and contributed
to their recent success at achieving public and town support for the project. Construction
is anticipated to begin in September, allowing us ample time this fall to work with the
Thomas Memorial Library Planning Committee to undertake the challenge.

Ms. Barba brings over 30 years of experience to Barba + Wheelock Architecture, Preservation
+ Design. She has led projects of all types and sizes for libraries, schools and colleges,
municipalities, historical societies, churches, and private residences. Many of these projects
involve her strength in historic preservation as well as her commitment to projects that affect
social change. She is also active in the preservation and architecture communities, contributing
her time and skills to many non-profit organizations.
Ms. Barba has been involved in over a dozen library projects in Maine. In addition to her
extensive background in architectural design, Nancy Barba is a specialist in historic preservation
and contextual design. She is an Advisory Trustee and former President of Maine Preservation,
former Co-President for the Maine Olmsted Alliance, and the former chair of Portland’s Historic
Registration / Education
Preservation Committee, having served for seven years. Ms. Barba lectures widely on the

Standard Terms and Conditions of the Agreement

Below you will find our standard terms and conditions that we insert into our agreements for projects of this scale.
Hourly rates for 2013 are as follow:

At Cost
Reimbursable expenses
The Owner will pay normal reimbursable expenses at cost plus an administrative factor of 15%. Expenses shall include, but are not
limited to, direct out-of-house project specific expenses for: mileage (at the allowable IRS rate), tolls, printing, copying, film photography
(if requested), postage and delivery, and meals and incidentals for travel to project locations 100 miles or more from Portland, ME.
Payments
Payments Barba + Wheelock will be made monthly in proportion to the work performed. Payment is expected within 10 days of the
invoice date. Amount unpaid 30 days after the invoice date shall incur interest at the rate of 1 ½ % per month.
Responsibility of Owner
The Owner agrees to provide information regarding budget, schedule, program, site, and other pertinent matters as requested by
Architect from time to time. The Owner also agrees to discuss current and projected future needs and goals candidly with Architect and
to keep the Architect informed of changes in the Owner’s situation, needs and goals.
Architect shall not be required to verify any information obtained from the Owner or Owner’s attorney, accountant or other advisors and
is expressly authorized to assume the accuracy of information received from the Owner.
Limitation of Liability
In recognition of the relative risks and benefits of the Project to both the Owner and the Consultant, the risks have been allocated such
that the Owner agrees, to the fullest extent permitted by law, to limit the liability of the Consultant to the Owner for any and all claims,
losses, costs, damages of any nature whatsoever or claims expenses from any cause or causes, including attorneys’ fees and costs and
expert-witness fees and costs, so that the total aggregate liability of the Consultant to the Owner shall not exceed the amount of its total
fees for the project, or the Consultant’s total fee for services rendered on this Project, whichever is greater. It is intended that this
limitation apply to any and all liability or cause of action however alleged or arising, unless otherwise prohibited by law.
Indemnification
The Architect agrees, to the fullest extent permitted by law, to indemnify and hold harmless the Owner, its officers, directors and
employees (collectively, Owner) against all damages, liabilities or costs, including reasonable attorneys' fees and defense costs, to the
extent caused by the Architect’s negligent performance of professional services under this Agreement and that of its subconsultants or
anyone for whom the Architect is legally liable.
The Owner agrees, to the fullest extent permitted by law, to indemnify and hold the Architect harmless from any damage, liability or cost
(including reasonable attorneys' fees and costs of defense) to the extent caused by the Owner's negligent acts, errors or omissions and
those of his or her contractors, subcontractors or consultants or anyone for whom the Owner is legally liable, and arising from the
project that is the subject of this Agreement. Neither the Owner nor the Architect shall be obligated to indemnify the other party in any
manner whatsoever for the other party's own negligence.
Opinions of Probable Cost (also known as Estimates of Construction Costs)
In providing opinions of probable construction cost, the Client understands that the Design Professional has no control over the cost of
labor, equipment or materials, or over the Contractor's method of determining prices, or over competitive bidding or market conditions
and that the opinions of probable construction costs provided herein are to be made on the basis of the Design Professional's
qualifications and experience. The Design Professional makes no warranty, expressed or implied, as to the accuracy of such opinions as
compared to bid or actual costs. These opinions represent best judgment as a design professional with the construction industry.
However, we cannot and do not guarantee that proposals, bids, or the construction cost will not vary from opinions of probably costs
prepared by us and B+W shall have no liability for any damages or loss sustained by Owner’s use of or reliance on B+W” opinion of
probably costs. An independent cost estimator can be employed by the Owner, if Owner wishes greater assurance as to the construction
cost.
