ORANGE -­‐ RACE FOR THE RESCUES RULES REGULATIONS & INFORMATION Sunday, November 16th, 2014 8:30 AM – 12:30 PM * RAIN OR SHINE Location: at the Oak Canyon Park in Orange 5305 Santiago Canyon Rd., Silverado, CA 92676 *Specific load in Information will be sent to confirmed participants via email one week prior to event. 1. Qualifications to Exhibit: The Rescue Train reserves the right to remove, decline, or prohibit any exhibit or part of an exhibit, or proposed exhibit which, in its opinion, is not suitable to or in keeping with the character of Race For The Rescues. 2. Location of Exhibit: The Exhibitor agrees to confine his/her presentation within the contracted space only and to maintain a staff member in his/her booth space during event hours. The Rescue Train reserves the right, at all times, to relocate an exhibitor as it shall deem necessary for the proper conduct of the race. 3. Exhibit Installation and Removal: The Exhibitor agrees that no display may be dismantled or goods removed during the entire run of the race, but must remain intact until the event’s end time. The Exhibitor also agrees to remove the exhibit and equipment from the show area by the final move-­‐out time as set forth in paragraph 1 above. 4. Sublicense of Space: Space contracted by Exhibitor may not be sublet without prior written permission from The Rescue Train. 5. Food and Beverages: All Exhibitors who intend to prepare, sell, or give away food and beverage items MUST comply with all Orange County Environmental Services rules and regulations. Race For The Rescues permits only allow packaged food and no cooking at the event. The Rescue Train will not be responsible for obtaining required permits or paying any required fees for the preparation, cooking, selling or giving away of food and beverage items. The Exhibitor agrees to produce a copy of any required permits and proof of payment of any required fees upon request. The Exhibitor further agrees to hold The Rescue Train harmless for any and all damages, fines, and/or penalties incurred as a result of a food and/or beverage Exhibitor's failure to comply with all City requirements. 6. Cancellation of Contract: The Rescue Train reserves the right to terminate this contract and to withhold from the Exhibitor possession of the exhibit space if: (a) the Exhibitor fails to pay all space rental charges or (b) the Exhibitor fails to perform any terms and conditions of this contract, or (c) the Exhibitor fails to comply with all licensing requirements for the City of Orange. 7. Cancellation Policy (Vendors Only): In the event an Exhibitor wishes to cancel prior to September 10, 2014 a refund of 50% of paid city fees will be made upon receipt of written cancellation. No refund of fees for exhibit space will be made after September 10, 2014. 8. Postponement or Cancellation by The Rescue Train: The Rescue Train reserves the right to postpone or cancel the event at its discretion. In the event of such a cancellation, all monies will be refunded to sponsors or exhibitors. 9. Insurance and Indemnification: The Exhibitor agrees to add The Rescue Train and James Events as additional insured to any existing general liability insurance policy with a minimum liability of $1 Million for the day of the event and to provide proof of said insurance, upon request. The Rescue Train reserves the right to require any vendor to obtain general liability insurance, and add The Rescue Train and James Events as additional insured, pursuant to the terms set forth above, for the day of the event as a condition of approving the vendor application. Exhibitor shall indemnify, defend and hold harmless The Rescue Train and the James Events, AMCI and their respective directors, officers, agents, employees and volunteers, from and against any claims, demands, causes of action or damages (including attorneys' fees) arising out of the use by Exhibitor and occupancy of the Premises, any taxes, fees, fines, penalties assessed by any government or non-­‐ government entity against either Exhibitor or The Rescue Train based on Exhibitor's Agreed Use (or unauthorized use) of the Premises, any breach of the Rules and Regulations, any negligence or willful misconduct by Exhibitor, or any alleged defects or inherent dangers in connection with the Exhibit. 10. Damages: The Rescue Train shall not be liable for any damages, whether direct, indirect, general, special, consequential, punitive, or otherwise to Exhibitor, its product or exhibit, its agents and employees or visitors to its exhibit whether occasioned by T he Rescue Train, its volunteers, Board members, agents or employees, or by another Exhibitor, and its agents and employees.
