The Waukesha Transit Commission requests bids for the sale of two (2) thirty five (35) foot, 2002 Gillig Low Floor buses. All vehicles will be sold to the highest bidder on "as is, where is" basis. The bids shall be of a sealed type and shall be accepted until 2:00 p.m. (Central) Tuesday, June 28, 2016, at which time they will be opened and reviewed.

WTC reserves the right to accept or reject any and all bids. These buses can be inspected between the hours of 8:00 a.m. and 3:00 p.m. Monday through Friday by appointment only. For more information, contact:

Bidders must assign an individual price to each bus in which they are interested. Buses will be sold to the highest bidder for each bus; bidders wishing to purchase multiple buses will be awarded those buses for which they are the highest bidder. c.

CONTRACT FORM

The form of the Bill of Sale, which WTC will use in this transaction, is attached as Attachment 1. It will be executed by the WTC and furnished to each successful buyer for execution. Copies of this Bill of Sale will be provided to buyer for any applicable license application for buses. Buyer must agree to all terms and conditions within the Bill of Sale.

INSPECTION OF BUSES

Buses may be inspected between 8:00 am – 3:00 pm Monday- Friday during the bidding period by appointment only by contacting Jason Zachow at (262) 524-3847 or jzachow@ci.waukesha.wi.us

TIRES

Successful bidders are expected to supply their own tires. Arrangements for tires can be made with Jason

Zachow. If a bidder requires special arrangements, please contact Jason Zachow prior to the closing of the bid to discuss options.

The City of Waukesha Transit Commission, referred to herein as the Seller, in consideration of the Buyer’s payment to it of the Purchase Price, the receipt of which is acknowledged, hereby bargains, sells and conveys to Buyer the following property, referred to as the Equipment:

Model year 2002 Gillig Low Floor 35-foot bus, VIN

Seller warrants to Buyer that Seller has marketable title to the Equipment, and that Seller hereby delivers title to the

Equipment to Buyer free and clear of all encumbrances, liens and claims to title. Seller agrees to defend Buyer against any claims brought by any third parties based on any such alleged encumbrances, liens or claims to title.

Seller expressly disclaims any and all other warranties with respect to the Equipment, whether expressed or implied, including, but not limited to, warranties of merchantability, fitness for purpose, or patent infringement. The Buyer takes the

Equipment "as is" and "where is." Buyer waives all claims and causes of action against Seller based on the quality or condition of the Equipment.

Buyer shall take delivery at Seller’s facility, and Buyer shall be responsible for shipment of the Equipment from Seller’s facility, and for insuring loss to the Equipment after delivery at Seller’s facility.

Buyer agrees that it is responsible for the payment of all taxes or fees, charged by any government authority having jurisdiction, accruing in any way as a result of the sale of the Equipment to Buyer, including any additional sales taxes assessed but not included in the Purchase Price. Buyer agrees that it will indemnify and hold Seller harmless from any claims or demands for the payment of such taxes or fees by any such government authority, regardless of whether the responsibility for the payment of such taxes or fees is upon Seller by operation of law.
