Background
Clause 3.4.1.2 of the ERA Water Charter sets out the requirement for the Board to appoint an
independent Chairperson. Clause 3.4.3 of the Charter states:

The Chief Executive Officers of the Constituent Councils shall invite applications for the
position of Chairperson and assess such applications through such process as they
consider appropriate and make recommendations to the Constituent Councils on the
appointment of the Chairperson including the fee to be paid to the Chairperson and
other terms and conditions to attach to such appointment.
The CEOs of the Constituent Councils undertook a recruitment process for the appointment of an
Independent Chairperson for ERA Water. A detailed ‘Candidate Briefing Pack’, along with PD for the
role was produced in late August 2015 to provide information to potential candidates.
An advertisement appeared on SEEK during early September 2015 seeking expressions of interest
from suitably qualified candidates. The City of Burnside undertook the recruitment process on behalf
of the Constituent Council CEOs. Unfortunately only two applications were received, and both did not
have the necessary skills, background and / or qualifications for the role. As a result and after careful
consideration, the CEOs decided to re-advertise the role and advise the two applicants that they were
unsuccessful.
A second advertisement appeared on SEEK in late September / early October 2015. Three
applications were received, all of which were considered high calibre candidates (CV’s attached).
The CEOs met to discuss the three applications and resolved to interview the preferred candidate.
Due to the work commitments of Mr John O’Brien (the preferred candidate) the interview took place
on Tuesday 22 December 2015 and as a result only two of the three CEOs were available. The CEO
of Town of Walkerville was on leave and not present.
The panel considered that Mr O’Brien had a very impressive history in the water sector, including
stormwater management businesses. He has a strong background in management, governance (at
Board level) and understands both water pricing policy, the need to build and retain a strong customer
base, risk management, engineering operations and compliance in the water sector. He was clearly
the stand out candidate and the interview confirmed that he was the best candidate for the role.
Issues for Consideration
The Charter requires that an Independent Chairperson be appointed to ERA Water. The Constituent
Council CEOs are required to invite applications for the position of Chairperson and assess such
applications through such process as they consider appropriate and make recommendations to the
Constituent Councils.

Analysis of Options
A thorough recruitment and assessment process was undertaken. Two separate adverts appearing
on SEEK. The first call resulted in only two applications being received and both were considered
unsatisfactory for the role. A second advert shortly followed, again through SEEK and this time three
applications were received. All three met the criteria and had appropriate credentials. Mr John
O’Brien, was not only the stand out candidate. The panel was impressed with his background, skill,
expertise and understanding of the water sector.
It is unlikely that we will find a suitably qualified candidate if we were to advertise again.

It is recommended that the Independent Chair be paid a sitting fee of $500 per meeting. The ERA
Water Charter requires that the Board must meet at least once every two months.

Option 1 is the preferred option. The Constituent Council CEOs have undertaken the requirement to

applications. The CEOs are unanimous in their recommendation to the Constituent Councils that Mr
John O’Brien be appointed as the Independent Chairperson of ERA Water for a term of two years and
be paid a $500 sitting fee per meeting.

About ERA WATER – A Regional Subsidiary
ERA Water was established by its Constituent Councils (City of Burnside, City of Norwood
Payneham & St Peters and The Corporation of the Town of Walkerville) under Section 43 of
the Local Government Act, 1999 and came into effect on 21 July 2015.
ERA Water’s prime purpose (the Project) is to implement and oversee the collaborative long
term joint undertaking of the Constituent Councils to implement a stormwater capture,
treatment and distribution system in eastern Adelaide through, amongst other things, the
linking and aggregation of small aquifers and storages via a regional aquifer storage and
recovery system and the development of a cross-catchment, cross-council stormwater
supply pipeline around eastern Adelaide. The ‘Region’ means the collective geographical
area of the Constituent Councils.
Objectives and purposes of the Subsidiary include:

To develop, implement, oversee and manage practical solutions to provide water
supply diversity within and outside the Region;
To supply water to the Constituent Councils and other persons for irrigation purposes
within and outside the Region, except that priority shall be given to the supply of

To manage and oversee the distribution of water captured as part of the Project;
To provide strategic direction for the Project;
To fund, lease or own physical infrastructure required to undertake the Project;
To meet all legislative requirements of the Subsidiary;
To be responsible for the ongoing maintenance, replacement and other capital
requirements of all physical infrastructure owned by the Subsidiary;
To utilise proven water management planning principles and technologies;
To manage, operate and control the necessary infrastructure for the Project;
To maximise economic, environmental and social benefits to the community by
developing and implementing innovative water management principles and
techniques;
To identify, develop and implement water recycling and supply opportunities for the
Constituent Councils;
To provide technical and other expert services and advice to the Constituent
Councils in the area of water management and recycling including identifying

To represent the Constituent Councils and liaise with State Government regarding
the implementation or alteration of legislation in relation to water and licensing;
To be financially self-sufficient as far as possible.
Board of Management
The Board is the Subsidiary’s governing body and has the responsibility for the
administration of the affairs of the Subsidiary. All meetings of the Subsidiary are meetings of
the Board.

The Board consists of four (4) members, made up of a representative from each of the three
(3) Constituent Councils plus an Independent Chairperson. Board Members serve a
maximum term of two (2) years.

Chairperson of the Board
The Chairperson must preside at all meetings of the Board and, in the absence of the

At its meeting of 7 August 2015, the Board appointed Kiki Magro, CEO Corporation of the
Town of Walkerville as the Acting Chairperson, pending the appointment of an Independent
Chairperson.
The Independent Chairperson will receive a fee of $500 (per meeting), which is reviewed by
the Constituent Council CEOs annually.
Meetings
The Board currently meets monthly (for the first three months) and will then meet every two
months.
A quorum of the Board is three (3).
Appointment of Staff
The Subsidiary may employ staff and may appoint a General Manager on a fixed term
performance based employment contract. The Board has appointed Colin Pitman as its
interim Acting General Manager / Project Manager for a period not to exceed six (6) months
pending the appointment of a General Manager.
