APPENDIX B:
GENERAL CONDITIONS OF THE AGREEMENT FOR SERVICES VALUED UP TO

The Service Provider agrees that the following general conditions shall govern this Agreement for Services dated on the

1.0
STANDARDS: The Service Provider shall perform the Services in a competent, conscientious and professional
manner, and in accordance with policies, procedures and regulations of the U of S and all applicable laws. The
Service Provider represents he/she/it is able to competently perform the Services, has the necessary
qualifications, knowledge, skill and ability and will provide a quality of service at least equal to that which would
generally be expected of a competent contractor in a like situation.
2.0
CONFLICTS OF INTEREST: The Service Provider shall disclose any current, future or potential conflicts of
interest arising in connection with the performance of this Agreement. Non-disclosure may constitute sufficient
cause for the U of S to terminate this Agreement.
3.0
LIABILITY: The Service Provider shall be liable to the U of S for all losses, damages, costs and expenses of
whatever nature or kind the U of S may suffer, sustain, pay or incur as a result of a breach of this Agreement or
the negligent or wrongful acts or omissions of the Service Provider or his/her/its employees, servants, agents,
subcontractors or suppliers or their directors or employees arising in connection with the performance, purported
performance or non-performance of this Agreement.
4.0
INDEMNITY: The Service Provider shall indemnify and hold harmless the U of S , its Board of Governors,
students, employees, servants and/or agents for all claims, demands, actions and costs (including including
reasonable solicitor's fees and expenses of litigation) initiated, instituted or awarded against them arising out of
breach of this Agreement or the negligent or wrongful acts or omissions of the Service Provider, his/her/its
employees, servants, agents, subcontractors or suppliers arising in connection with the performance, purported
performance or non-performance of this Agreement.
5.0
NO ASSIGNMENT: This Agreement is not assignable. The Service Provider shall obtain the prior written
consent of the U of S Coordinator before assigning duties to a person other than as identified in Appendix A. Any
employees, agents or subcontractors of the Service Provider providing Services to the U of S shall constitute
employees, agents and subcontractors solely of the Service Provider and shall not for any purposes be
construed as employees, agents or contractors/subcontractors of, acting for, or on behalf of the U of S. Whether
with respect to third parties or otherwise, no acts performed, or representations, whether oral or written, made by
the Service Provider shall be binding on the U of S.

6.0
INDEPENDENT CONTRACTOR/WCB: The Service Provider shall perform the Services as an independent
contractor, shall be responsible to discharge his/her/its liabilities and remit all required applications, reports,
payments and contributions in respect of him/her/itself as an independent contractor, whether in respect of
income tax, Canada Pension Plan, Employment Insurance, Workers Compensation, Goods and Services tax,
Provincial Sales Tax (PST), any applicable liability insurance, or otherwise (in this clause “Obligations”). If the
Services are assessable by the Saskatchewan Workers' Compensation Board (WCB) and/or Saskatchewan
Finance for PST, the Service Provider represents he/she/it is, or shall be, registered with WCB and/or SK
Finance as the case may be, and will be responsible to pay and/or remit all applicable WCB premiums and
assessments and PST. The Service Provider agrees to indemnify and holds the U of S harmless against liability
of the U of S which may arise in connection with any Obligations of the Service Provider, his/her/its employees,
agents, and subcontractors.
7.0
EXTERNAL MARKETING: The Service Provider shall not use the name of the U of S, its trademarks, logos or
symbols for any external marketing purposes whatsoever without express written permission from the authorized
representative of the U of S. The U of S shall not use the Service Provider's name, trademarks, logos or symbols
for any external marketing purposes whatsoever except with or his/her/its prior written consent.
8.0
CONFIDENTIALITY: The Service Provider agrees that, during and after the term of this Agreement, he/she/it
shall maintain in confidence and use only on behalf of the U of S in furtherance of his/her/its contractual duties
and obligations, or in the enforcement of the terms of this Agreement, any and all documents, data, information,
initiatives, trade secrets, proprietary business information and other material of the U of S provided to him/her/it
by the U of S or developed by the Service Provider in connection with the performance of this Agreement.
Disclosure outside of this Agreement may not occur without express written agreement of both parties.
9.0
OWNERSHIP COPYRIGHT, WAIVER OF MORAL RIGHTS: Legal ownership and copyright of all intellectual
and other property developed in the performance of this Agreement including all deliverables described in
Appendix A, in which proprietary interests can subsist, including without limitation, program source code and
creative designs such as engineering or architectural drawings, artwork, negatives, colour separations, plates,
website designs (herein “Material”) will belong to the U of S. The Service Provider hereby waives any moral
rights he/she/it may have in or related to the material and shall obtain waivers of moral rights of all creators
permitted, retained or employed by the Service Provider to develop Material. The parties agree that the Service
Provider shall maintain legal ownership, copyright and moral rights in any and all Material developed by the
Service Provider prior to the parties entering into this Agreement.
10.0
RIGHT TO TERMINATE: Either party may terminate this Agreement upon or after material breach by the other
party. In addition, the U of S reserves the right to terminate this Agreement for any reason it so chooses, at its
sole discretion. Should the U of S exercise the right to terminate without cause, the U of S will pay the Service
Provider an amount to fairly reflect the value of the Services provided to the U of S to the date of termination.

APPENDIX B:

11.0
ENTIRE AGREEMENT: This Agreement (together with and including its Appendices) represents the entire
understanding and supersedes all prior negotiations and agreements of the parties with respect to its subject
matter. No amendment or waiver of this Agreement shall have any force or effect unless in writing and signed by
the Service Provider and the authorized signing officers of the U of S. Any terms which by their nature are
intended to survive the expiry or termination of this Agreement shall continue in full force and effect after
termination, including but not limited to indemnification and confidentiality obligations.
12.0
GOVERNING LAWS: This Agreement shall be subject to, and governed by, and interpreted in accordance with
the laws of Canada and the Province of Saskatchewan.
13.0
INSURANCE: The U of S has a preference for all of the insurance requirements listed in section 13.0 to be met
(drop-down list: Option 1). If a modified version of section 13.0 is desired, select the insurance option (dropdown list: Options 2, 3 or 4) and obtain an email approval from Purchasing Services. If the request is granted,
the signing officer is to initial their approval at the end of section 13.0.
Option 1: Clause 13.A, 13.B, 13.C and 13.D applies to this Agreement.
13.A
The Service Provider shall obtain, maintain, and pay for during the period of this Agreement, the
following insurance that applies to this Agreement.
13.B
Commercial General Liability Insurance: With a limit of not less than TWO MILLION CANADIAN
DOLLARS($2,000,000.00 CAD) inclusive per occurrence for bodily injury (including death), and
damage to property including loss of use thereof. Such insurance shall include coverage for broad
form property damage, contractual liability, completed operations, product liability and non-owned
automobiles. Such insurance shall also include the U of S as an additional insured and shall
contain a cross liability clause.
13.C
Automobile Liability Insurance: With a limit of not less than TWO MILLION CANADIAN DOLLARS
($2,000,000.00 CAD) for all owned, non-owned, leased or rented licensed vehicles used in the
performance of this Agreement.
13.D
The Service Provider shall provide the U of S Coordinator with certificates of above insurance, duly
signed by an authorized representative of the insurer, upon request.
